DISSOLUTION DEED

Whereas M/s MISRA COLD STORAGE Sandi Road Hardoi is a partnership

firm wherein Dr Kalpana Mishra , Sri Yogendra Dutt Misra, Sri Raj Dutt Mishra
and Smt. Prabha Mishra are partners. A deed of partnership was executed
amongst partners on 01.05.2021

And whereas due to mutually decided terms as mentioned in the family

settlement Dr. Kalpana Mishra and Sri Yogendra Dutt Mishra have taken
voluntary retirement w.e.f. 31.07.21 partnership firm stand discontinued and
dissolved.

And whereas partners have mutually settled terms and conditions of the
dissolution deed; And whereas the partners deem it proper to reduce it to
writing the agreed terms of dissolution, to avoid any misunderstanding in
future; Whereas this deed of dissolution is executed on 01.08.2021 witnesseth
as under.

1. That the business in the name and under the style of M/s MISRA COLD
STORAGE Sandi Road Hardoi has been discontinued and stand
dissolved on 31.7.2021
2. That remaining partners namely Sri Raj Dutt Mishra and Smt. Prabha
Mishra have taken over entire running business with all its assets and
liabilities of the erstwhile firm as on 31.07.2021
3. That the books of account has been closed on 31.07.2021 and profit
loss account & balance sheet have been prepared which has been
examined and accepted by all partners.
 4. That remaining partner Sri Raj Dutt Mishra and Smt. Prabha Mishra
shall run above business in his partnership in same name and under
style of M/s Misra Cold Storage Sandi Road Hardoi. Retiring partners
shall never make any obstruction in running business subject to, and in
accordance with, the execution of family settlement dated ..
5. That all assets including land & building and machinery and liabilities of
firm ending on 31.7.21 has been taken by remaining partners.
6. That all pending cases of GST VAT & Income Tax shall be finalised by
remaining partners.
7. That in case of any dispute amongst the partners the matter shall be
referred to an arbitration and award of the arbitrator or arbitrators as the
case may be shall be final and binding upon all the partners

Wherefore the partners have signed this deed of dissolution in the presence of
witnesses mentioned below :-
