stipulated time at destination as per defined KPI. 10. Proper period
ic maintenance of vehicle. 11. Addressing any issues on the road way
s. 12. All vehicles must be fitted with GPS system certified by TSL &
access to be provided to dept. 13. Document handling & following exi
t process at Security gate to out the Vehicle. 14. Receiving copy cer
tified at customer end. 15. All toll charges on route till delivery o
f material at customer point will be borne by vendor. 16. Submit the
monthly bill by 10th of every month to Manager TSK. TSL-Scope 1. I
ssue of DO mentioning KM range. 2. Loading at EPA 3. Weighment, Invo
ice and other Necessary documentation required for entry & exit the Ve
hicle at EPA works. Other conditions: 1. Hindrance during Entranc
e, Movement inside works & non-compliance to TSL & EPA safety standard
s, cost of safety shall be recovered from party as per company guideli
nes. 2. The vendor representative ensure the correctness of document
s before taking the vehicle for exit from works. There would be a pena
lty of Rs 5000/- for any instance of loss of documents, Wrong Delivery
of document. 3. The transporter to ensure that there will be no loss
of material during transportation. For any loss of tonnage, 1.25 time
s the cost of lost tonnage material value will be recovered from vendo
rs monthly bill. 4. Tata Steel to inform the monthly plan and destin
ation wise no of vehicles to be placed. The Transporter will have to p
lace vehicles as per plan. Non-compliance to monthly despatch target (
subject to material availability for despatch) shall attract a penalty
of Rs.10000/ every 100MT shortfall. 5. For non-satisfactory perform
ance for 1 month, TSL may engage another vendor and cost to be recover
ed from Vendor bill. 6. Repeated failure to achieve the given monthly
despatch target may lead to termination of the work order. 7. The
quantity mentioned in the PR is tentative. The job will be done as per
the monthly plan with respect to material availability. 8. The serv
ice provider cannot engage workers of other service providers without
no objection from the other vendor. 9. For any new destination for d
elivery of material, separate service line items will be added time to
time & transportation to new locations is in scope of this WO. 10. V
endor should arrange 4 wheeler for movement of their workers inside wo
rks & gate pass for the same. 11. All vehicles must be fitted with G
PS system certified by TSL only. 12. Job needs to be started as per
PO terms finalised during contract formulation. 13. SOP for job exec
ution to be shared during Pre-bid. For every violation of SOP , Rs.500
0 for each instant will be recovered. 14. Provision of new source and
destination inclusion should be considered by procurement in syndicat
ion with vendor in case of any change in business need of department d
uring the contract period with valid logic like increase in resources/
change in source and destination / volume of work of similar kind. 1
5. Material must be delivered at destination within the stipulated tim
e limit decided by dept. Any deviation or delay, need to be intimated
& take consent from dept. Delay without proper justification will lead
to impose a penalty of Rs.20000 per instance. NO GUARANTEE OR COMM

ITMENT TSL does not commit any quantum of work to the Contractor and
the same is likely to vary from time to time and any internal norms f
ollowed by TSL and shall not be treated as binding on TSL. No claim sh
all be entertained by TSL in this regard. TSLS RIGHT TO PLACE PARAL
LEL CONTRACT TSL reserves the right to place contract with any other
agents /transporters/Contractors or Contractor or at any time during t
he period of contract as it may deem fit. TSL may appoint another agen
t /transporter/Contractors or Contractor for a completed contracted pe
riod or a limited period of time as TSL deems fit. THEFT TSL rese
rve the right to impose penalty of 1.5 times of total material value i
n case of any such event reported. Also the downgrading of star rating
by one notch in CSMS. RISK PURCHASE: If the vendor is not able to
provide services as per TSLs requirement, TSL has right to engage any
other agency to do the job and difference of market rate and contract
rate will be recovered from the vendor. ASSIGNMENT The Contractor
shall not sublet/subcontract, transfer, or assign the Contract or any
part thereof without the written permission of the Contract Administra
tor of TSL, except as stipulated otherwise in the Contract. In the eve
nt a contractor contravenes this condition, the Contract Administrator
shall be entitled to place the Contract elsewhere on the contractors
account and at their sole risk and the contractor shall be liable for
loss or damage as per companys rule which the Contract Administrator m
ay sustain in consequence or arising out of such placing of the Contra
ct. Sub-contractors identified by main/prime contractors will be subje
ct to the same safety & technical competency evaluation by screening t
eam of TSL as main/prime contractors for all Higher Risk work. Main/pr
ime contractor shall be fully liable and responsible to TSL for the ac
ts, errors, and omissions of its subcontractors and shall not be relie
ved of any obligation to TSL under the Contract(s). Subcontractor shal
l agree in writing to be bound by all obligations of contractor set fo
rth in the Contract. The Contractor shall not cause to allow any chang
e in the constitution of its firm without obtaining prior written appr
oval of TSL. WAIVER OF RIGHTS No forbearance, delay or influence b
y TSL in enforcing any of the provisions of the Agreement shall prejud
ice or restrict the rights of TSL nor shall any waiver of its rights o
perate as a waiver of any subsequent breach and no rights, powers, rem
edies herein conferred upon or reserved for TSL is exclusive of any ot
her right, power or remedy available to TSL and each right, power or r
emedy shall be cumulative. Any time concession or indulgence granted o
r shown by TSL to the Contractor as regards any of the terms of the Ag
reement will not prejudice TSLs rights under the Agreement and/or Law.
SEVERABILITY If any of the terms / conditions of the agreement shal
l become unenforceable for any reason whatsoever, the ensuing lack of
enforceability shall not affect the other provisions hereof, and the p
arties hereto shall endeavour to substitute forthwith such other enfor
ceable provision as will most closely correspond to the legal and econ
omic contents of the said terms / conditions. NOTICES All notices
under the Agreement shall be in writing and shall be served, either by
hand delivery or by send by the same by registered post addressed to
either party at the last known place of business or by facsimile and i
n providing the services of such notice, it shall be sufficient to sho
w that the same has been received in person or property addressed by r
egistered post. NO INDIRECT OR CONSEQUENTIAL DAMAGES The Contracto
r shall not be entitled for any reasons, whatsoever, for any loss of p
rofits or consequential or remote or indirect damages. RELATIONSHIP
BETWEEN THE CONTRACTOR AND TSL Nothing in the Agreement shall be co
nstrued to imply a joint venture, partnership, principal-agent relatio
nship or co-employment or joint employment between TSL and the Contrac
tor. The Contractor, in furnishing services to TSL hereunder, is actin

g independently on its own. Employees engaged/employed by a party sh

all be deemed employees of that party and will not for any purpose be
considered employees or agents of the other party. Except as may other
wise be provided in the Agreement, each party shall be solely responsi
ble for the supervision, daily direction, and control of its employees
and payment of their salaries/wages, benefits, provision for amenitie
s, compensation, disability benefits and the like. TEMPORARY SUSPENS
ION AND CANCELLATION OR TERMINATION OF CONTRACT I) Temporary Suspensi
on: The TSL may at any time temporarily stop the work being executed u
nder the Contract or any part thereof by notice in writing to the Cont
ractor. All work so stopped shall be resumed by the Contractor based o
n a schedule to be mutually agreed upon between the TSL and the Contra
ctor. II) The TSL will not pay the Contractor for any supply/work, wh
ich is executed during such suspension and the TSL shall not be liable
to the Contractor for any damages or loss caused by such suspension o
f work. III) Cancellation or Termination of Contract: Without prejudi
ce to clauses concerning Force Majeure and Arbitration hereof and to a
ny other remedy available, the TSL at its option, may cancel the Contr
act at any time by simple written notice to the Contractor in case of
Contractors non-compliance with and has breached its undertakings unde
r the Contract/ Order and more specifically in case any of the followi
ng circumstances occurs: A) Unjustified interruption of contractual s
ervices by the Contractor including delays and/or failure to maintain
delivery schedule of plant and equipment, designs and drawings and oth
er supplies or completion of work as agreed to. B) Errors, negligence
, insufficiencies in the contractual work under execution or failure t
o supply required materials as per specification or manpower or in oth
er similar circumstances affecting the quality of Work for reason attr
ibutable to the Contractor. C) If the Contractor refuses to implement
instructions received from the TSL or the Engineer within the stipula
tions of the Contract/Order. D) Where the Contractor is declared in l
iquidation or bankruptcy or is involved in similar proceedings or has
been implicated repeatedly in litigation or may have entered into or t
ransfers with his creditors or others which might compromise the Contr
actors solvency. IV) In any of the cases described above, the TSL sha
ll inform the Contractor of its decision to cancel the Contract/Order
or to terminate the Contractors services, in whole or part under it, s
pecifying in such notice the reason or the basis for this decision. Th
e Contractor shall within fifteen (15) days from the above notice of d
efault, correct such default or satisfy the TSL regarding the action t
aken by him for the corrective action, failing which the TSL at his op
tion will cancel the Contract/Order forthwith. On such an event the Co
ntractor shall immediately stop all work in connection with the Contra
ct/Order, except as directed by the TSL. In such case, the TSL shall b
e at liberty to contract with other parties or to perform with his own
personnel those supplies/ services undertaken by the Contractor in th
e Contract/Order. In such case, the Contractor shall be liable for any
additional costs incurred by the TSL for obtaining and/or erecting th
e balance job / work. In case of termination of part of the Contract/O
rder, the Contractor will continue performance of the Contract/Order t
o the extent not terminated by the TSL. V) The TSL shall be at libert
y to terminate this contract or any order issued in pursuance to this
contract without assigning any reason by serving 15 days written notic
e to the contractor. In such an event the contractor shall not be enti
tled for any compensation from TSL. ARBITRATION (I) Governing Law
and Jurisdiction This Contract/Order shall be construed, governed and
enforced in accordance with the law of India. The parties hereby agre
e that jurisdiction over any dispute arising under this Contract/Order
shall be vested only in the Courts of India and the parties submit to

the jurisdiction of the said courts at Jamshedpur in the state of Jha

rkhand. (II) Dispute Resolution Any dispute or difference arising
between the parties hereto in respect of any aspect of this Contract/O
rder or the interpretation construction or effect of the terms and con
dition of the Contract/Order shall be first settled mutually by negoti
ations between the parties. In case no settlement is reached within a
period of 60 (sixty) days from the date of dispute raised by one party
on the other, such dispute or difference may be referred to a Sole Ar
bitrator by the aggrieved party. Should the parties not agree to the a
ppointment of a Sole Arbitrator, each party shall appoint its own Arbi
trator and the two Arbitrators so appointed by the parties shall, befo
re entering upon the reference, appoint the third Arbitrator who shall
act as the presiding Arbitrator. The arbitration proceedings shall be
conducted and governed by the Arbitration and Conciliation Act, 1996
and amendment made thereof. The language of the arbitration shall be E
nglish and the place of arbitration shall be at Jamshedpur. The partie
s may however mutually agree to any other venue in India for the arbit
ration, failing which the Arbitral Tribunal shall decide the venue.
The Award made by the Arbitral Tribunal shall become final and bindin
g upon the parties and shall be enforced in accordance with applicable
provisions of the Arbitration and Conciliation Act, 1996. TEMPORAR
Y SUSPENSION Tata Steel can temporarily suspend the contract in view
of certain problems in dispatch of material or hold up with Service Pr
ovider. Tata Steel shall notify to Service Provider such periods of ce
ssation of supply for which Service Provider shall not claim any damag
e from Tata Steel.

· Diesel PVC:
Freight adjustment on account of diesel price variation would be done on
the basis of distance covered and diesel consumption. The price of
diesel (Normal HSD, IOCL Dubri) 88.47 Rs./L as on 1st Apr#21 (available
on iocl.com) will be considered as base Diesel Rate.
Following methodology will be used for the purpose of revision in
freight rates:
(i) Freight rates shall be reviewed quarterly and shall be made
effective from 1st of the months (Jan, Apr, July & Oct) for suitable
adjustment based on the actual price (increase/decrease) of diesel in
Dubri as per IOCL website.

(ii) Any variation in the actual diesel price, either upward or downward
shall be applied as per the contract methodology above and adjustment
shall be made accordingly. Diesel component will be calculated
destination wise assuming 2.5 kmpl diesel consumption, 25 MT average
payload and distance as in RFQ. Distance of add-on destinations will be
as per latest Motoring guide / Google Map available with department#s
approval
Formula : Diesel Consumption (L) = Distance / mileage
Change in Freight = Diesel Cons * (Change in diesel rate ) / Payload
(iii) The new rates would be rounded-off to the nearest whole number in
Rs./MT and shall be made effective from the 1st day of the month
following the 3-Month period. The new rates so finalized shall remain
effective for a period of 3 months.
· Deployment Plan:
# Bulkers for Local transportation(from Emami plant to TSK inside,
Jajpur) within 20 days of order placement.
# Transportation under the remaining line items to start
immediately as per availability of vehicle.
# Full-fledged job with 100% deployment within a maximum of 45
days' of order placement.
· Add-on clauses:
1. Rates for new destinations within a radius of 25 km from any of the
existing destination would be same as that of the existing destination.
2. The rates finalized shall be converted in to Rs. per ton per Km and
shall be used for calculation of rates for destinations beyond 25 Kms
from the nearest source.
3. Add-ons will be proposed only within the states of Odisha, Jharkhand,
West Bengal & Bihar
· No conditional clauses will be entertained
· SECURITY DEPOSIT:
Transporters will arrange to furnish a bank guarantee of 1% of yearly
order value or Rs. 25 Lakhs (Rs. Twenty five Lakhs Only) whichever is
higher from any of the Nationalized bank/Scheduled Banks (approved by
RBI) in favour of TATA S TEEL LIMITED in the format provided by Tata
Steel which should be valid till the validity of contract plus six month
claim period. In case of failure in respect to any of the terms &
conditions, BG will be forfeited in full or in part depending on the
severity of failure as per Tata Steel discretion.
· No Overloading :
Loading of vehicles will be governed by vehicle carrying capacity
endorsed in RC book and tolerances if any permitted by the RTO. Any
violation against the above norm, when noticed, will trigger a penalty
clause which will be applicable not only on the overload quantity
noticed but also on the full load quantity during the said period and
recovery / deduction will be to the tune of freight recovered for the
full quantity. In case of any change in tare weight of vehicle
transporters must inform Head Outbound Logistics, TSK to incorporate the
changes in VTS system. Any violation detected later on will be at
transporter#s responsibility and will attract serious consequence.
· Indemnification:
Transporters will be solely liable an d responsible for any violation of
any statutory provision including that mentioned in the above clause
VI-8 as well as breach of any terms and condition of this Agreement and
shall indemnify TATA STEEL against all claims, demand made and / or any

penalty / interest imposed by an y authority or claimed by any third

party/customer on TATA STEEL including all expenses incurred or to be
incurred or loss suffered by Tata Steel due to breach of any terms and
condition by transporter under this agreement. Notwithstanding to the
aforesaid violation, TATA STEEL reserves the right to collect / gather
information in any manner, which it may, deems fit and monitor on a
periodic basis towards the compliance of the above by the transporters.
In case of non-compliance by the Transporter, TATA STEEL may take
appropriate action for any such breach / violation of the terms and
conditions of this Agreement, against the Transporter after serving due
written notice in this regard.
· Vehicle age should not be more than 10 years

· All other terms and conditions as in RFQ and Pre-bid will be strictly
followed

To bring about improvements in the logistics system inside Works, and

strengthening the road safety standards, following Safety measures are
implemented for any work inside the Steel works, with effect from 1st
September 2008 :
1. All 4 wheelers must have seat belts on the rear seat, and persons
sitting on the rear seats must fasten the seat belts.
2. The speed limit on main roads reduced to 35 KMPH. Accordingly, the

speed monitoring camera shall be set at 35 KMPH. The existing speed
limit of 16 KMPH on the other roads shall remain unchanged.

time may lead to cancellation of order or any other action or both as deemed fit by Tata Steel.
