Business Associations (LLAW3010) exam
2021-22 second semester
The LLAW3010 Business Associations exam is scheduled for 10 May (Tuesday) from
9:15 am to 1 pm. The exam paper will be available for downloading at the course
Moodle page. Questions on the exam paper may be posted at the Default Course Forum
on the course Moodle page within the first 30 minutes and answers will be posted there.
The examination paper (representing 100% of the course grade) consists of 2 parts. You
MUST answer:
• Question 1 in Part A (representing 70% of the course grade) which is a
hypothetical/problem set question, and
• ANY ONE of the two questions in Part B (representing 30% of the course
grade) one of which is a shorter hypothetical/problem set question and the other,
a discussion/essay question.
You must indicate clearly which question you are answering.
You should type your answers in font size 14 and limit your answer to Question 1
to 3,000 words and your answer to either one of the questions in Part B to 1,200
words .
You should make sure only your university identification number (UID) appears
at the top right hand corner of every page of your answer. Individual names should
NOT appear anywhere in the document.
You must submit your answer through Moodle no later than 1 pm on 10 May
2022. Up to 20 marks may be deducted for a late submission after 1 pm and a
submission which is over two hours late, i.e., after 3 pm, will receive a zero mark
(0%).
You should assume that the Companies Ordinance, Cap 622 and the Companies
(Winding Up and Miscellaneous Provisions) Ordinance, Cap 32 (including the
amendments which came into effect on 13 February 2017) are in effect at all the times
mentioned in the exam questions.
The exam will only be on the cases and text extracts assigned and the statutory
sections and model articles in the bundle uploaded to the Moodle folder
"Legislation". Any other cases, CO sections and model articles which are not part of
the course you cite in the exam will not be given any marks.
