4.1. This is an application for the final winding up of the respondent in

terms of sections 344 (f) and 344 (h) of the Companies Act 61 of
1973, read with item 9 of schedule 5 to the Companies Act 71 of
2008.

5. ISSUES TO BE DECIDED

5.1. Whether the appellant has made out a case for the winding of the
respondent in terms of sections 344 (f) and 344 (h) of the
Companies Act 61 of 1973, read with item 9 of schedule 5 to the
Companies Act 71 of 2008.

6. Applicant’s submissions:

6.1. The applicant contends that it has made out a case for the winding
up of the respondent.

6.2. The respondent is indebted to the applicant in the amount of

R8 999 994.42.

6.3. A provisional order for the winding up of the respondent was

granted by Madam Justice Keightley on 9 June 2021. The
provisional order was granted based on the respondent’s
indebtedness to the applicant in the amount of approximately
R22 000 000.00.

6.4. On the return date (28 July 2021), provisional order was discharged
before His Lordship Fourie AJ. The provisional order was discharged
on based on the settlement agreement entered into between the
applicant and the respondent.

6.5. In terms of the settlement agreement, it was agreed, inter alia, that
the respondent would, within 24 hours of the granting of the order
discharging the provisional order, make payment to the applicant
in the amount of R14 000 000.00 and the balance would be paid at
a later stage when the respondent received payment from the City
of Erkhuleni.

6.6. The settlement agreement was made an order of court before His
Lordship Fourie AJ.

6.7. Subsequent to the discharge of the provisional order as aforesaid,

the respondent made payment to the applicant in the amount of
R14 000 000.00 as contemplated in the settlement agreement but
has subsequently failed to pay the outstanding balance of
R8 999 994.42, which amount is due, owing and payable.

6.8. On 2 September 2021, a letter of demand in terms if section 345 of

the Companies Act 61 of 1973 was addressed to the respondent.
The respondent has failed to discharge of its indebtedness and is
accordingly deemed to be commercially insolvent and unable to
pay its debts as and when they become due.

6.9. The applicant has complied with the procedural requirements

contemplated in section 346 of the Companies Act 61 of 1973 in
that this application has been served on the respondent, the
Master of the High Court, the South Africa Receiver of Revenues
and the applicable trade union.

6.10. Service has not been effected on the employees of the

respondent, however, if regard is had to service affidavit and return
of service, it appears that the respondent has vacated its premises

and no longer trading. In the circumstances, the application could

not be served on any premises.

7.1. The respondents submits that it is necessary for the Honour to read
all the papers which are not lengthy.
