MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This AGREEMENT made and entered into by and between:

        CIRIACO A. LOMAS-E, JR., of legal age, Filipino, married and currently
residing at Kibaritan, Malinao, Kalilangan, Bukidnon, hereinafter referred to as the
FIRST PARTY;

        JOBTECH INTERNET COMMUNICATION SERVICES, a business duly

existing and operating under and in accordance with the laws of the Republic of the
Philippines with office address at Purok-6, Central Poblacion, Kalilangan, Bukidnon,
duly represented by its proprietor, MR. OLMAN C. HEWE, hereinafter referred to
as the SECOND PARTY;

WITNESSETH:

WHEREAS, the FIRST PARTY is the current Group Commander at Kibaritan

Military Reservation, situated at Kibaritan Hill, Malinao, Kalilangan, Bukidnon.

WHEREAS, the SECOND PARTY is engaged in a business providing internet

services and wish to install a single pole tower for internet receiver on the said
military station.

WHEREAS, the FIRST PARTY is willing to accept the latter, subject to the
terms and conditions laid down below.

NOW THEREFORE, for and in consideration of the above premises and of

the mutual covenants and stipulations herein contained, the parties have hereto
agreed as follows:

1. That the FIRST PARTY undertakes to allow the SECOND PARTY to install
the equipment necessary to their internet installation business.

2. In return, the SECOND PARTY will provide free internet with 20mbps
every month on the premises of the FIRST PARTY for a period of five (5)
years.

3. That in installing said equipment, the SECOND PARTY undertakes not to

cause any harm on the subject premises.

4. That upon expiration of this agreement, the SECOND PARTY will remove
all its installations on the premises unless renewal of agreement is made
fifteen (15) days prior to the expiration.

5. That there is no monetary consideration involved in this agreement.
