DEED OF ABSOLUTE SALE

This DEED OF ABSOLUTE SALE is made and executed on this __twenty ninth_____ day of

hereinafter called the "SELLER" (which expression shall mean and include his legal heirs,
successors, successors-in-interest, executors, administrators, legal representatives and assigns).

16A, Faridabad__________________________, hereinafter called the "PURCHASER" (which
expression shall mean and include his legal heirs, successors, successors-in-interest, executors,
administrators, legal representatives and assigns).

The SELLER and the PURCHASER are hereinafter referred collectively as parties and
individually as party.

• WHEREAS the VENDOR represent that she is the absolute owner of Industrial converted
land bearing Sy No. 20, having Khatha No. 121/13, having E-Khatha No.
150300700101520001, situated at Bhudena Village, Faridabad Haryana- 121001,
measuring all about 2 Acre 31 Guntas, which is morefully described in the SCHEDULE
hereunder and hereinafter referred to as the SCHEDULE PROPERTY; and

• WHEREAS originally Shri P. Narwat, had acquired larger portion of the Agricultural
Land bearing Sy No. 20, measuring 9 Acres 31 Guntas, situated at Bhudena Village,
Faridabad, Haryana- 121001 from Sri. C.S. Narwat and others, vide sale deed dated
28/04/1980, which was duly registered as document No. 318/1983-84, Book – I, Volume
No. 15, in Page 30, in the office of the Sub-registrar, Badhkal Road, Faridabad; and

• WHEREAS the said Shri P. Narwat, converted the aforesaid land measuring 9 Acres 31
Guntas, from agricultural to non-agricultural purpose (i.e. Industiral Purpose) vide order
bearing No. BTS/ALN/SR(O)85/1992-93, dated 12/04/1993, duly issued by the Deputy
Commissioner, Faridabad Rural District; and

• WHEREAS subsequently Shri P. Narwat, sold a portion out of the larger converted
property bearing No. 20, measuring about 2 Acre 31 Guntas out of 9 Acres 31 Guntas to
VENDOR (which has been described in the SCHEDULE hereunder), vide the Sale Deed
dated 08/12/1993, which was duly registered as document No. 1021/1994-95, in Book –
II, Volume No. 1690, in pages 227 to 235, in the office of the Sub-registrar, Badhkal Road,
Faridabad Rural District ; and

• WHEREAS thus VENDOR became the owner of the SCHEDULE PROPERTY and
obtained KHATHA of the SCHEDULE PROPERTY from the Revenue authorities in her
name and at present Khatha is standing in the name of the VENDOR and the VENDOR
has duly paid all taxes and other cesses to the concerned authorities in timely manner; and

• WHEREAS the VENDOR represent that she has been in continuous possession and
enjoyment of the SCHEDULE PROPERTY ever since its acquisition; and

• WHEREAS the VENDOR herein for her family necessity and to invest in other
immovable property have offered to sell the SCHEDULE PROPERTY for a total
consideration of Rs.
/- (Rupees only) and the PURCHASER has agreed to
purchase the SCHEDULE PROPERTY on the representations made by the VENDOR; and

• WHEREAS the VENDOR hereby represents to the PURCHASER that she is the true and
absolute owner of the SCHEDULE PROPERTY and hereby confirms that apart from her
no other person(s) has/have any right, title, interest and/or claim in or upon the same and
the SCHEDULE PROPERTY is free from all sorts of encumbrances / attachments /
injunctions/ acquisition / requisition proceedings and/or claim/s put forth by any other person/s
and or statutory authority/ies; and

• WHEREAS the VENDOR hereby assures and covenants that the SCHEDULE
PROPERTY is free from all encumbrances, charges attachments, court decrees,
maintenance claims and any other claims of whatever nature and that the SCHEDULE
PROPERTY is not a subject matter of any proceedings under the Income-tax Act, Wealth
Tax Act, Gift Tax Act, Reserve Bank of India Act and any other authority. The VENDOR
further assures the PURCHASER that the SCHEDULE PROPERTY is not a subject
matter of acquisition proceedings either under the State Act or under the Central Act or
any other act empowering any other authority to acquire the SCHEDULE PROPERTY;
and

• WHEREAS the VENDOR herein further represented that she is not entered into any sort
of agreement or arrangement with any other person(s) in respect of the SCHEDULE
PROPERTY conveyed under this deed of sale; and

• WHEREAS on the representations made by the VENDOR to the PURCHASER who has
paid the consideration to the VENDOR as mentioned herein below in Clause 2 infra the
PURCHASER has called upon the VENDOR to execute this deed of sale.
