APPOINMENT OF VILLEGAS ARIAS ATIENZA LAW

(AVA LAW), THE SUCCESSOR- IN- INTEREST OF
ABILA VILLEGAS JR. LAW OFFICES AS LEGAL
COUNSEL OF THE WORLD WAR II VETERANS
LEGIONNAIRES OF THE PHILIPPINES INC.,
(WW2VLPI).

WHEREAS, Abila Villegas Jr. Law Offices has successfully rendered the
necessary professional legal services to the World War II Veterans
Legionnaires of the Philippines Inc. , (WW2VLPI) which resulted in a
final and executory judgement issued by the Supreme Court in favor of its
client, World War II Veterans Legionnaires of the Philippines Inc.,
(WW2VLPI) under G.R. NO. 90245 covering a parcel of land consisting of
Five Hundred Two and Four (502.4) hectares situated in Quezon City.

WHEREAS, as payment and/ or compensation for the aforesaid legal

services, the Abila Villegas Jr. Law Offices became the assignee and by
operation of law, the co-owners of Fifteen Percent (15%) of the subject
property consisting of Seventy-Five (75) hectares situated at Quezon City
pursuant to Board Resolution No. 92-00011 Series of 1992 which was
duly executed and ratified by the Board of Directors and Officers of World
War II Veterans Legionnaires of the Philippines Inc. (WW2VLPI) on
May 9, 1992.

WHEREAS, in addition thereto, the said law firm filed a Petition for
Registration of Title covering the said property property which to date is
still pending before the Regional Trial Court of Quezon City;

WHEREAS, Abila Villegas Jr. Law Offices has recommended to the

WW2VLPI the designation and/or appointment of the Villegas Arias
Atienza Law as its successor-in-interest in order to continue providing the
World War II Veterans Legionnaires of the Philippines Inc. (WW2VLPI) the
necessary and appropriate administrative and legal services including to
enter into a Contracts and/or Memorandum of Agreements (MOA) with third
party on behalf of (WW2VLPI);

WHEREAS, World War II Veterans Legionnaires of the Philippines Inc.

(WW2VLPI) has accepted Villegas Arias Atienza Law as their new legal

counsel to handle all legal affairs as well as the administrative aspect of the
WW2VLPI relative to the aforesaid subject property including the filing of
various legal cases for the protection of the rights and interest of
WW2VLPI ;

WHEREAS, the WW2VLPI further agree to compensate Villegas Arias

Atienza Law for its various legal services by way of a Ten Percent (10%)
success fee payable in cash or its equivalent in the event of any successful
litigation;

WHEREAS, in order to ensure the successful handling and culmination of

all legal matters referred to it, the WW2VLPI has agreed to the inclusion of
members of the law firm namely, Mr. Arvin L. Atienza as Board Secretary,
Tim Gabriel as Secretary General, Josephine Micaela Sotto and Melanie
Cabrera to sit as members of the Board of Directors and further
appointment of its qualified nominees as may be determined by the law
firm;

WHEREFORE, be it RESOLVED, as it hereby resolved, that the aforesaid

Resolution be APPROVED, as the same is hereby, APPROVED,
RATIFIED AND CONFIRMED effective immediately.
