CONTRACT OF LEGAL SERVICES

This agreement is made between ___________, hereafter referred to as "Lawyer", and

_____ and _______, hereafter referred to as "Client."

This agreement will not take effect, and the Lawyer will have no obligation to provide
legal services, until Client returns a signed copy of this agreement, and pays the fee
required by this agreement.

RESPONSIBILITIES OF THE LAWYER AND CLIENT.

The Lawyer will perform the legal services called for under this agreement, keep Client
informed of progress and developments, and respond within a reasonable time to
Client's inquiries and communications.

Client will be truthful and cooperative with Lawyer, provide on a timely basis all
information and documents necessary to Lawyer's effective representation of Client's
interests, keep Lawyer reasonably informed of developments and of Client's address,
telephone number, and whereabouts, timely make any payments required by this
agreement and abide by this agreement.

Client should keep in mind that Lawyer's ability to adequately represent and advise
Client is dependent upon Client keeping Lawyer fully informed.

PROFESSIONAL FEES

1. For the instant case, a fee of 30,000 pesos (Php 30,000) will be charged as an
ACCEPTANCE FEE, which will be due upon confirmation of this agreement. This
is a non-refundable cost.

2. The APPEARANCE FEE is three thousand pesos (Php 3,000) for each appearance
in court and/or conference/meetings, including all out-of-pocket expenses spent
in connection with the case's handling, and is due on or before the scheduled
court appearance or conference/meetings.

3. Ten thousand pesos (Php 10,000) payable during the PRE-TRIAL of the instant
case.

4. Fifteen thousand pesos (Php 15,000) payable upon receipt of a favorable Decision
from the Honorable Court.

5. MOTIONS, AFFIDAVITS AND ANY OTHER PLEADINGS prepared and filed in

court (Php 2,000) payable 2 days before the date of filing.

6. YOU WILL BE RESPONSIBLE FOR ANY DISBURSEMENTS MADE TO THIRD

PARTIES in order to move your case forward, such as courier travel, process
service, searches, transcripts, certificates, and photocopying. For your review, a
monthly Billing Statement for the incurred expenses, accompanied by receipts,
will be delivered to you. Everything else is included in my charge.

7. The Lawyer will be entitled to the complete aggregate amount of the

aforementioned professional costs if the current action is settled amicably at any
point during the proceedings.
 8. If the current case is appealed, a separate contract and billing will be agreed upon
ONLY WITH RESPECT TO THE APPEAL.

I sincerely hope that neither of us will feel compelled to end our relationship
prematurely. If either of us decides to end our relationship, I will expect you to pay all
outstanding bills before I release your file. Similarly, if we both agreed that the
professional fees would be contingent on the outcome of the case and the case is
withdrawn, I will be entitled to full payment of the professional fees accrued from the
beginning of the proceedings until the last pleading filed before your file is released.

If the foregoing terms and conditions are acceptable to you, kindly indicate your
