DEED OF ABSOLUTE SALE OF MOTOR VEHICLE

This Deed of Absolute Sale is made, executed, and entered into by:

VINETEE TREZZ TRADING CORP., a company duly organized and approved

by the Securities and Exchange Commission in accordance with the
Corporation Code of the Philippines with business address at Sitio Curva,
Brgy. San Vicente, Liloan, Cebu, Philippines, represented herein by its
President, ER M. LAWAS, and hereafter referred to as the SELLER.

SWABI TRADING CORP., a company duly organized and approved by the
Securities and Exchange Commission in accordance with the Corporation
Code of the Philippines with business address at Lot no. 3586-B Ibabao St.,
Brgy. Agus, Lapu-Lapu City, Cebu, Philippines, represented herein by its
President, MANUEL L. VELASCO, and hereafter referred to as the BUYER.

WHEREAS, the BUYER, has offered to buy, and the SELLER, has agreed to
sell the above described 120 Units CKD TRUCKS/MOTOR VEHICLE, for the
amount of FOUR MILLION EIGHT HUNDRED THOUSAND PESOS
(Php4,800,000.00) Philippines Currency.

NOW THEREFORE, for and in consideration of the sum of FOUR MILLION

EIGHT HUNDRED THOUSAND PESOS (Php4,800,000.00) Philippines
Currency, hand paid by the buyer to the seller, the SELLER DO HEREBY
SELL, TRANSFER, and CONVEY by way of Absolute Sale unto the said
BUYER, his heirs and assigns, the certain the above described 120 Units
CKD TRUCKS/MOTOR VEHICLE, free from all liens and encumbrances of
whatever nature including taxes as of the of this sale.
