OFFER LETTER

Dear Archana Hariharan,
Considering your interest and experience, it gives us immense pleasure in inviting you to
join MedEx as one of its valuable members.
With reference to your application and subsequent interview with us, we are pleased
to appoint you as Clinical Analyst in our organization.

Training Period: 3 Months

Salary Annexure:
Your Annual Total Employment Cost to the company would be Rs. 15,36,000/- i.e,
(Fifteen Lakhs Thirty Six Thousand Rupees Only). Compensation structure is as
below.

Place/Transfer:
Your present place of work will be at remote, but during the service, you shall be liable to
be posted / transferred anywhere to serve any of the Company's Projects or any other
establishment in India or outside, at the sole discretion of the Management.


Probation/Confirmation:

You will be on a training period for the three months, during which you can avail
maximum of 4 leaves and maximum of 1 leave in a month. Based on your performance
your services will be confirmed with the company in written after six months.
During the probation period your services can be terminated with seven days’ notice on
either side and without any reasons whatsoever. If your services are found satisfactory
during the probation period, you will be confirmed in the present position and thereafter
your services can be terminated on one month’s notice on either side.
Your appointment is contingent upon satisfactory reference and background checks,
which may be conducted at any time from the date of joining to 90 days, and which
include a verification of your application, education and employment history. Your
employment is also contingent upon your ability to work for the company without
restriction.

Your designation may be changed at the discretion of the company depending on the
work assigned to you.

You may be required to travel on company work and you will be reimbursed on
the company’s policy.

You or company may terminate your service at any time by giving 90 Days’ notice or
basic salary in lieu, therefore.




TERMINATION:

You may terminate your employment with the Company, without any cause, by giving
not less than Three MONTHS prior notice or salary for unsaved period, left after
adjustment of pending leaves, as on date.

Leave:
Leave Rules apply on your confirmation in the Company’s Service. Total number of paid
leaves are 11 per year.
During the period of your employment with the Company, you will devote full time to
the work of the Company. Further, you will not take up any other employment or
assignment or any office, honorary or for any consideration, in cash or in kind or
otherwise, without the prior written permission of the Company.

1. In case you leave our employment without giving notice, we shall have the right to
deduct an amount equivalent to the notice period of one-month gross salary from any
amount that may be payable to you or call upon to make the payment in lieu of shortfall
in notice period, besides taking action for breach of contract.

2. Absence for a continuous period of three days without prior approval of your
superior, (including overstay on leave / training) would result in your losing your
lien on the service and the same shall automatically come to an end without any
notice or intimation

3. You will be required to comply with all such rules and regulations as the Company
may frame from time to time.

The Conflict of Interests Policy also refers to the need on your part, during your
employment and for a period of one year from the cessation of your employment with
MedEx (irrespective of the circumstances of, or the reasons for, the cessation) not to
solicit, induce or encourage:
Any Employee of MedEx to terminate their employment with MedEx or to accept
employment with any competitor, supplier, or any customer with whom you have a
connection







Any customer or vendor of MedEx to move his existing business with MedEx to a third
party or to terminate his business relationships with MedEx.
Any existing employee to become associated with or perform services of any type for any
third party.
In case of any conflict or doubt, please discuss the matter with your Business Unit Head,
understand the position of MEDEX and resolve the conflict

CONFIDENTIALITY:

In consideration of the opportunities, training and access to new techniques and know-
how that will be made available to you, you will be required to comply with the
confidentiality policy of the company. Therefore, please ensure that you maintain as
secret and confidential all Confidential Information (as defined from time to time in the
Confidentiality Policy of the Company) and shall not use or divulge or disclose any such
Confidential Information except as may be required under obligation of law or as may be
required by MedEx and in the course of your employment. This covenant shall endure
during your employment and for a period of one year from the cessation of your
employment with MedEx (irrespective of the circumstances of, or the reasons for, the
cessation).
1. You will not (except in the normal course of the Company's business) publish any
article or statement, deliver any lecture, or broadcast or make any communication to the
press, including magazine publication relating to the Company's products or to any
matter with which the Company may be concerned, unless you have previously applied
to and obtained the written permission from the Company.

2.Will be required to maintain utmost secrecy in respect of Project documents, offer,
design documents, Project cost & Estimation, Technology, Software packages commercial
You license profile., Company’s polices, Company’s patterns & Trademark and Company
‘s Human assets.

3. Any of our technical or other important information which might come into your
possession during the continuance of your service with us shall not be disclosed,
Divulged or made public by you event hereafter.





PERFORMANCE APPRAISAL

Performance Appraisal: During your employment you will abide by the organizations'
policy on performance assessment and appraisal system(s). Consequent to this, you
may be promoted or reassigned to other grades or roles. On such movement, you will be
governed by the terms and conditions applicable to the new cadre or position. This
includes the termination of employment, with the appropriate notice on either side.

You will be eligible to the benefits of the Company.


Assignment of Intellectual Property
During your tenure with the Company, you shall disclose and assign to MedEx as its
exclusive property, all developments developed or conceived by you solely or jointly
with others that are related to the Company's business or that results from work that
you perform for the Company or using the Company's equipment, supplies or facilities
and shall comply with the Policies of the Company in relation to Intellectual Property
1. If at any time in our opinion, which is final in this matter you are found non-performer
or guilty of fraud, dishonest, disobedience, disorderly behavior, negligence, indiscipline,
absence from duty without permission or any other conduct considered by us deterrent
to our interest or of violation of one or more terms of this letter, your services may be
terminated without notice and on account of reason of any of the acts or omission the
company shall be entitled to recover the damages from you.

2. You will not accept any present, commission or any sort of gratification in cash or kind
from any person, party or firm or Company having dealing with the company and if you
are offered any, you should immediately report the same to the Management.

3. You will be responsible for safekeeping and return in good condition and order of all
Company property, which may be in your use, custody or charge.









GENERAL:
We trust that you have not provided us with any false declaration or willfully suppressed
any material information. If you have, you will be liable for removal from service without
notice. Please note that you are required to inform us if there are any agreements, oral or
written, which you have entered, and which relate to your commitments under this
Agreement.

1. You shall abide by the Rules and Regulations applicable to you, which are in force of as
may be framed and / or amended from time to time. Your hours of work and attendance
shall be regulated as per duties entrusted to you from time to time.

2. This Offer letter is being issued to you on the basis of the information and particulars
furnished by you in your application (including biodata), at the time of your interview
and subsequent discussions. If it transpires that you have made a false statement (or have
not disclosed a material fact) resulting in your being offered this appointment, the
Management may take such action as it deems fit in its sole discretion, including
termination of your employment.

3. You are required to engage yourself exclusively in the work assigned by MedEx and
shall not take up any independent or individual assignments (whether the same is part
time or fulltime, in an advisory capacity or otherwise) directly or indirectly without the
express written consent of your Business Unit Head.

4. You shall ensure that you shall not, directly or indirectly, engage in any activity or have
any interest in, or perform any services for any person who is involved in activities, which
are or shall be in conflict with the interests of MedEx.

5. Your employment terms may be specifically enforced legally, if required. In this
connection, if any of the provisions of this Agreement are declared or found to be void
or unenforceable due to any reason whatsoever, the remaining provisions of this
Agreement shall continue in full force and effect.

6. These employment terms supersede and replace any existing agreement or
understanding, if any, between MedEx and you relating to the same subject matter.







ON SEPERATION
On acceptance of separation notice, you will immediately give up to the company
before you are relieved, all correspondence, specifications, formulae, books,
documents, cost of data, market data, literature, drawings, effects or shall not make or
retain any copies of these items.
