CONTRACT TO SELL  

KNOW ALL MEN BY THESE PRESENTS:

This CONTRACT TO SELL, made and executed this ____________ by and


between:
 
        IMELDA BANNAWOL SILLERO, of legal age, married, Filipino, and with
residence and postal address at Tubtubon, Sibulan, Negros Oriental, hereinafter
referred to as the "SELLER";

-AND-

       DARY P. ARAN, married, of legal age, Filipino and with residence and
postal address at Dumaguete City, Negros Oriental, , hereinafter referred to as
the “BUYER”.

WITNESSETH;
        WHEREAS, the SELLER is the owner of parcels of land known as Lot
7338, Pls-1026 with an area of 54,494 square meters, more or less, Lot 7836,
Pls-1026 with an area of 25,908 square meters, more or less and Lot 8001, Pls-
1026 with an area of 12,709 square meters embraced by OCT No. 9950, by
virtue of a Deed of Absolute Sale of Parcels of Land hereto attached, located at
Barangay Santa Agueda, Pamplona, Negros Oriental, Philippines.

        WHEREAS, the BUYER has offered to buy and the SELLER has agreed to
sell the above mentioned properties;
 
        NOW THEREFORE,  for and in consideration  of the total sum of ONE
MILLION FIVE HUNDRED THOUSAND PESOS (Php: 1,500,000.00) Philippine
Currency, and of the covenants herein after set forth the SELLER  agrees to sell
and the BUYER agrees to buy the aforesaid properties subject to the following
terms and conditions:
 
1.  The total consideration shall be ONE MILLION FIVE HUNDRED THOUSAND
PESOS (Php: 1,500,000.00) PESOS, Philippine Currency, payable as follows:

a) The amount of ONE MILLION (Php: 1,000,000.00) PESOS, representing


earnest money shall be payable by the BUYER to the SELLER upon signing of
this Contract to Sell;
 
b) The monthly installment in the amount of ONE HUNDRED THOUSAND
PESOS (Php: 100,000.00) PESOS, shall be payable starting July 15, 2022
until November 15, 2022,

2.   The BUYER shall be responsible to pay for capital gains taxes and other
transfer fees to transfer title.

3. The SELLER shall execute a DEED OF ABSOLUTE SALE in favor of the


BUYER, upon execution of this contract to sell.

4. The SELLER shall warrant peaceful possession of the BUYER and deliver
possession thereof to the BUYER upon execution of this contract to sell

5. The SELLER shall only deliver the original duplicate of title of said property
and other documents necessary to transfer title upon full payment of the
purchase price.

6. That any violation of the parties in the performance of their duties in this
contract, and give rise to its cancellation, the parties shall return whatever they
have received and the guilty party shall pay damages in addition thereto.

7. That this agreement shall bind their heirs and assigns in case of death and
incapacity.

IN WITNESS WHEREOF, the parties have hereunto affixed their signatures, this
