PURCHASE AND SUPPLY AGREEMENT

This Agreement made and entered into by and between:

PARTY”:

MNCJ TRADING represented by _ NICOLE MARTIJA______ Supplier of Armour Rocks and

Aggregates with office address located at _ #143-A PINAGTONG ULAN, LIPA CITY, BATANGAS__,
Philippines as the “SECOND PARTY”:

RECITALS

WHEREAS, both parties expressed business cooperation, assistance and support for the development,
implementation and supply of construction material and other minerals such as Armour/Boulders
sand/aggregates and related products for reclamation projects in all areas.

NOW THEREFORE, the PARTIES hereby mutually agreed as follows:

SECOND PARTY:

 Will secure the supply of ARMOUR ROCKS / AGGREGATES, FREE ON BOARD (FOB).
 Will provide necessary documents such as ECC / Permits / Assay Test / Permit to Transport
Materials.
 Will provide Equipment’s for the loading to the site.
 Will guarantee that all materials shall conform to the acceptable specification as required by the
First Party.

FIRST PARTY:

 Will provide 20% DP for the initial order of ____ CUBIC METER (CBM) more or less
upon issuance of P.O. and NTP (roll over).
 Will guarantee to pick up _______ CUBIC METER (CBM) more or less per month.
 Will guarantee that supplier will conform to the acceptable payments terms and condition
including the required down payment as agreed.

PRICING / TERMS:

BOTH PARTIES agreed the price of: __________________________

 ARMOUR ROCK @ PHP _______ / CUBIC METER (CBM) - “FOB (FREE ON BOARD)”

Either FIRST PARTY or SECOND PARTY shall relieved of and excused from its obligation to perform
hereunder during any period that their or its performance is prevented or delayed by Act of God, war,
blockade, revolution, riot, insurrection, civil commotion, strike, lock out, fire blood, storm, tempest or
other inclement weather conditions, unforeseen blockade of the access channel at loading port,

maintenance practice of the port facilities by the duly constituted Port Authority, government
restriction, regulation or order, in the event that such a Force Majeure condition occurs or is anticipated,
the party directly affected shall advise the other party by facsimile or telex as soon as possible, and shall
then submit a certificate issued by Government Authority or Chamber of Commerce as evidence of the
Force Majeure condition within 30 days, if possible, after such Force Majeure condition. If the Force
Majeure last over three months, FIRST PARTY shall the right to cancel the CONTRACT.

This agreement may not be released, discharged, supplemented, interpreted, amended, varied or
modified in any manner except in writing signed by duly authorized officer or representative of each of
the parties hereto.

Know to me and to me know to be the same persons who executed the foregoing agreement and they
acknowledge that the same their free acts and voluntary deed. This Purchase and Supply Agreement
(SA) consisting of two (2) pages including the page on which this acknowledgement is written, has been
signed on the left margin by the parties and witnesses, and sealed with notarial seal.
