TRUST created under that certain declaration of trust dated December 14, 2000 by-ROMAN :tvffiNDOZA and RAQUEL R.. MENDOZA, as settlors and trustees. ROMAN MENDOZA is the

trustee duly appointed and acting under and by .terms of that declaration of trust. ROMAN 11ENDOZA filed a petition with the Los Angeles Superior Court to modify the terms. of THE :MENDOZA FAMILY TRUST, dated December 14, 2000. Oil February 8, 2006, theCourt issued an Order approving the petition for modification. A true and correct C9PY of the Order

Approving Modification of Trust is hereto attached as Exhibit Land incorporated herein by-this reference. The settlor now wishes to exercise his right of amendment, as set forth in subsection (d) of Section 6.1 the "Power of Appointment Trust" (pg. 3 of Exhibit I) and, to that .end, does hereby amend that declaration -of'trust in the terms set forth in this amended and restated declaration ef'trust, The trustee hereby consents to the terms of this amended and restated declaration. The parties agree-that upon 'execution of this instrument, that declaration of trust

shall be replaced in whole, and-the terms of this amended and restated declaration of trust shall supersede the terms ef that declaration of trust for all purposes. The settlorand the trustee confirm that all assets currently titled -in the name of THE :MENDOZA FAMILY TRUST, shall continue to be held by the trustee as trust assets of the amended and-restated trust.
