This Electronic Claim Clearing System (ECCS) Maintenance and Support Memorandum of
Understanding (MOU) is made on _________________

BETWEEN:

MEDILINK-GLOBAL BANGLADESH LIMITED (Registration Number: C-173807), a private company

duly incorporated in Bangladesh with limited liability under the Companies Act, 1994, having its
operating office located at House #11267, Vatara Main Road, Vatara, Dhaka -1212, Bangladesh
hereinafter referred to as “Medilink-Global” (which expression shall, unless excluded by or
repugnant to the context or meaning thereof, mean and include its successors-in-interests and
assignees) of the One Part;

AND

[Insert Name of the Hospital] (Registration Number: [Please Insert]), a private company duly
incorporated in [Please Insert] with limited liability, having its registered office located at [Please
Insert] hereinafter referred to as “Hospital” (which expression shall, unless excluded by or
repugnant to the context or meaning thereof, mean and include its successors-in-interests and
assignees) of the Second Part;

(Hereinafter both Medilink-Global and both the Hospital be jointly referred to as “Parties” and
individually as “Party”)

RECITAL

The Hospital is desirous in exploring the use of the ECCS System to facilitate online verification and
Guarantee of Payment (GOP) request of designated healthcards issued by the Healthcare Payors
served by Medilink-Global when these covered members seek medical services at the Hospital.

NOW, THIS MOU WITNESSETH AS FOLLOWS:

1. Medilink-Global hereby agrees to enable the access to the Hospital and the Hospital hereby
accepts the use of the said ECCS System.

2. Medilink-Global shall provide the user access IDs to the Hospital and user training with proper
guidance and instructions pertaining to its functions and operations.

3. Medilink-Global shall be responsible for all maintenance, technical; support and service of the
ECCS System.

4. Medilink-Global shall operate a fully manned Helpline Support Service on working hours/days for
the convenience of both the members and the Hospital.

5. Save and except where attributable to or resulting from the willful default or negligence of
Medilink-Global, its employees or agents, Medilink-Global shall not be liable or responsible in
any way whatsoever for any loss, damage, injury, inconvenience or embarrassment suffered by
the Hospital, members and/or any other party by reason of any and all erroneous performance or
delay in reasonable control of Medilink-Global including but not limited to causes such as
computer, electronic or electrical and communications system failure or malfunction, breakdown,
interruption or failure in the supply of electricity power for any period or length of time.

6. The Hospital shall allow its users to access to ECCS System from the computers at its premise
and ensure the internet connectivity of the premise.

7. The Hospital hereby acknowledge that the ECCS System shall remain the rightful property and
asset of Medilink-Global and that the Hospital shall, at all time and in its best endeavor, take all
reasonable precaution and care against abuse, misuse, harm, damage and theft of the same.

8. Any notice required or permitted by this MOU or any document executed and delivered in
connection with this MOU shall be deemed to have been secured properly if hand delivered or
sent by courier, charges prepaid and properly addressed, to the respective Party to whom such
notice relates at the following addresses:

Or such other address as shall be furnished in writing by any Party to the other Party. All such
notices shall be considered received when hand delivered or four business day after delivered to
the courier services.

IN WITNESS WHEREOF, each Party to this MOU has caused it to be executed at KUALA LUMPUR,
MALAYSIA on the date indicated above.
