purposes and for use by prospective investors, in connection with the
proposed sale of Petrochemical plant Bradu assets of Oltchim SA – in
insolvency (“Oltchim” or the “Company”), as further described herein (the
“Transaction”). Unless otherwise indicated or the context so requires, all
references in this Information Memorandum to “Oltchim”, the “Company”,
“we”, “our” and “us” or similar terms, refer to Oltchim SA.

Perimeter of Petrochemical plant Bradu
The Petrochemical Plant Bradu comprises an aggregate area of 1,685,005 sq. m of land together
with the buildings erected thereon and related process plants (except, however, for the buildings
bearing cadastral nos. 1242/9-C5 – 1242/9-C18 and 1242/9-C14/1, registered with the Land Book
no. 81197 of Bradu locality which are owned by Linde Gaz Romania SRL) located within the Bradu
Industrial Plant, in Bradu locality, Arges County, as reflected in Annex no. 8.
The Petrochemical Plant Bradu also includes the roads networks inside the Bradu Industrial Plant as
well as the underground and aerial cables and pipes network together with all points of connection
to utilities.
All immovable assets allotted to this bundle shall be transferred to the buyer thereof in exclusive
ownership.
In respect of the land underlying the buildings bearing cadastral nos. 1242/9-C5 – 1242/9-C18 and
1242/9-C14/1 referred to above, the buyer of this bundle shall have to observe the superficies right
registered by Linde Gaz Romania SRL with the Land Book.
Certain easement rights aimed at ensuring access to the roads network for other immovable assets
pertaining to third parties have been partially created over the land plots bearing cadastral nos.
81943 (Land Book 81943), 81949 (Land Book 81949), 81960 (Land Book 81960), 81961 (Land
Book 81961), 81962 (Land Book 81962) and 82937 (Land Book 82937) allotted to this bundle. Since
registered with the Land Book, the buyer of this bundle shall be required to observe such easement
rights.
For technological flows and the IP rights included in this bundle, please refer to section
“Petrochemical Plant Bradu: Key information on assets”.
Current employment at assets of the Petrochemical Plant Bradu amounts to approximately 110
FTEs. However, no obligatory transfer of employees in this sale is contemplated.
Without prejudice to buyer’s assessment of market price and its offer, assets in an insolvency
auction are assigned an asking price based on a valuation under the reorganization plan. As such,
the Pertochemical plant Bradu Bundle has an estimated asking price under the current
Reorganization plan of EUR 85.6 mn1.

Granting of • Third parties’ rights in respect of the immovable assets allotted to this
bundle (i.e. superficies rights and easement rights) that have been

Petrochemical plant Bradu: Main permits transfer considerations
For most of the relevant permits/endorsements referred to above, the

applicable legislation includes provisions which allow the transfer of said
permits to the transferee of the relevant assets in case the activity covered by
said permits remains unchanged and the relevant formalities are observed.
Hence, the integrated environmental permit, the environmental permit, the
water management permit, the greenhouse gas emission permit, the
statements and registrations of the locations with the National Antidrug Agency
and the electricity distribution license may be transferred, according to the
relevant legal provisions.
New authorisation and registration procedures will be required to be carried out
by the winning bidder in connection with the registrations under REACH
Regulation, the permits for ex installations, the endorsements for inclusion of
jobs in the category of special working conditions, and the registration
certificate for the authorisation of nuclear activities. Also, the technical
connection approvals for consumption points have to be updated.
Oltchim contemplates supporting to the fullest extent permitted by law the
winning bidder in connection with the necessary technical documentation in
view of smooth authorisation procedures to be completed shortly after the
closing of the sales.
