DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:

This INSTRUMENT is made, executed and entered into by and between:

EUSEBIO M. AGUAS, JR., of legal age, married to ROSANA T. AGUAS, Filipino with
residence and postal address at Poblacion, Parian, Mexico, Pampanga, hereinafter referred to as
the VENDOR;

-AND-

J&E LAND DEVELOPMENT CORPORATION, a corporation duly organized under

the laws of the Republic of the Philippines, with office address at J&E Land Compound, San Jose
Malino, Mexico, Pampanga, duly represented by, EDVIC GO YAP, hereinafter referred to as the
VENDEE;

WITNESSETH:

WHEREAS, the VENDOR is the lawful and registered owner of a parcel of land, bounded
and described as follows;

PORTION OF TRANSFER CERTIFICATE OF TITLE NO. 283447-R

PORTION OF 45,875 sq.m.

“A parcel of land (Lot no. 2426-B-4 of the subd. PSd-03-024123,

being portion of lot 2426-B, (LRC) Psd -162387 L.R.C Rec. No. ____, situated
in the bo. of San Jose Matulid, Municipality of Mexico, Province of
Pampanga. Bounded on the NE., along line 1-2 by Lot 2426-B-3, of the
subd. Plan; on the SW., along line 2 to 6 by Lot 2378, Mexico Cad.; along
line 6-7-8 by Lot 2426-A,(LRC) Psd-162387; along line 8-9 by Road; on the
NW.., along line 9-1 by Lot 2209, Mexico Cad. Beginning at a pt. marked
“1” on plan…xxx… containing an area of FIFTY THOUSAND FIVE
HUNDRED FOUNINETY SIX (50,596) SQUARE METERS…xxx”

NOW THEREFORE, for and in consideration of the sum of NINE MILLION ONE
HUNDRED SEVENTY FIVE THOUSAND PESOS (PhP 9,175,000.00), Philippine Currency, the
receipt hereof is hereby acknowledge, by the VENDOR from VENDEE, the VENDOR hereby SELL,
CEDE, TRANSFER and CONVEY unto the VENDEE, her heirs, successors, and assigns the above
mentioned parcel of land.
The VENDOR undertakes to execute and deliver such other documents, contracts or
instruments as are necessary to transfer title to the VENDEE. The VENDOR warrants that the
title on the above-described parcel of land is free from all liens and encumbrances and that the
vendor will defend their rights against any claim of any person whatsoever.
