We are pleased to appoint you as Digital Marketing Manager effective from Nov 1, 2019 with
M/s ITFOX Technologies LLP. (hereafter referred to as “the Company”) your initial place of
posting will be at ITFox Technologies Manpur West Haldwani.
You will be issued a letter of appointment upon meeting the prerequisites as mentioned below.
Meanwhile, the Company is pleased to issue the following letter of intent.
Salient terms and conditions of your appointment with the Company are as follows.
1. Your annual Cost to Company (CTC) will be INR 240,000.00. Variable component is
additional and is paid in addition to your CTC.
3. Applicability of Location specific allowances may vary according to location and/or the
Company policy. Company may provide facilities in lieu of these allowances.
4. Your initial place of work will be India > Uttarakhand > Haldwani − Office. During the
course of employment in the Company, as per exigencies of work you shall be liable to
be transferred at the discretion of the management from one work, department, section,
or job to another, in which case your designation could also be suitably changed. Your
services can also be transferred to any other offices in India in the larger interest of the
company, at the sole discretion of the management. In such situations your terms of
appointment shall remain unchanged.

5. The Company operates 7 days a week, 24 hours a day. You will be expected to attend
office − as assigned to you by your supervisor in compliance with laws in force. As a
Fulltime employee, you will be eligible for 1 weekly off (Any 1 days of the week,
depending upon business needs).You may however be required to attend office on your
off days if the business needs so demand. In such cases, you will be eligible for
compensatory off according to the Company policy.
6. As a full time employee, You will be entitled to festivals & national Holidays, Casual and
Sick leaves and Privileged leaves as per the leave policy of the company.You can avail
these, subject to prior approval by the Company. For Part time employees, earned
leaves will be prorated as per your work schedule. For the purposes of the leave year
shall run from January to December.
7. The appointment letter issued to you, will, inter alia, contain the following terms
a). Probation
You shall be on probation for a period of 6 months (hereafter referred to as the
“Probation Period”) from the date of commencement of your duties, the period of which
may be further extended at the sole discretion of the senior management. After the
completion of the Probation Period, which shall be determined by the Company in its
sole discretion, your appointment will be confirmed in writing by the Company, subject to
your satisfactory performance in the Probation Period.
b). Appraisal
You are eligible for yearly Performance based Appraisal according to the policy.
c). Termination
During probation period, your services can be terminated without notice and assigning
any reason, if your services are not found satisfactory, at the discretion of the
management. After confirmation of your employment, notice of termination of
employment will be one (1) month notice in writing or 2 weeks’ salary in lieu of notice
from either party. Notwithstanding the aforementioned, the company shall be entitled to
terminate your employment without notice and compensation in any of the following
events:
i). If you are in the opinion of the company, guilty of dishonesty, misconduct or
negligence in the performance of your duties

ii). If you have been found to have committed a serious breach or continual material
breach of any of your duties or obligations.
iii). If you are found to have made illegal monetary profit or received any gratuities or
other rewards, in cash or in kind, out of any of the company’s affairs or any of its
subsidiaries or related companies.
You would also be liable to be removed from the services at any time without notice and
compensation, in case, if any information furnished by you in connection with the above
appointment is found incorrect at any stage or contact information is found suppressed.
8. Absence for a continuous period of Five days without prior approval of your supervisors,
(including overstay of leave / training), would be treated as abandonment of service and
can lead to your services being terminated without notice. In such an eventuality the
Company reserves the right to recover from you, all expenses incurred with regard to
any training and development, special education, upskilling or on the job training
imparted by the Company or damages suffered by Company due to loss of billing.
You will not, without the previous written consent of the Company become interested or
engaged directly or indirectly, in any trade, business and occupation. You will not (except
in the normal course of the company’s business) publish any article or statement, deliver
any lecture or broadcast or make any matter with which the company may be concerned,
unless you have obtained permission from the company.
You uphold the highest standards of personal conduct and integrity and comply with
Company’s code of conduct, policies and procedures, forming part of Company Policy.
Any violation of these or any other provisions of the Company Policy can result in
disciplinary action being initiated against you or termination of your employment with the
Company. The Company Policy including the code of conduct is incorporated by
reference into this Letter of Appointment and are subject to change, replacement or
withdrawal at the sole discretion of the Company.
You will not own, manage, operate, control, participate in or be contacted in any manner
with the ownership, control, management or operation as an individual or as a partner,
joint venture, director, shareholder of a company or entity, of any business which directly

competes with the present business of the company or such other business activity in
which the company may substantially engage during the term of the services. You must
not directly or indirectly either during the employment or for a period of 12 months after
separation thereof, solicit, or try to entice away from the company any person or
business at any time in the 12 months before the separation that you may have dealt
with or was a potential client of the company.
During the course of your employment here with us, you will frequently have access to
certain vital business information, trade secrets proprietary information, customer related
information that are confidential in nature. It is expressly understood and clear that you
shall not divulge or part with any such information to anyone other than those dealing
with such matters in the company nor will you reveal it to anyone even after your leaving
the services of the company.
10. You shall be required to provide the Company all documents and information as set forth
in Annexure I of this letter of Intent
11. This letter of intent is valid for Nov 1, 2019 from the date of issue unless otherwise
specified. In case any terms or conditions are not met, this letter of intent will be
considered automatically withdrawn without any obligation on part of the Company.

Joining will not happen without these documents.
A. Last Salary Slip/ Professional Relieving Letter from previous employer (last employment)
B. Most recent and highest qualification certificates.
C. Date Of Birth Proof(ONE of the following): Birth Certificate, Class 10 Board Certificate,
Passport, Pan Card, Driving license)
D. Photo ID (ONE of the following): Voters ID, Driving license, Passport, Ration Card, PAN
card,
E. Affidavit (Original with Photo) duly attested by the Gazetted Officer , Bank Pass Book
(with photograph) duly attested by Bank , 10th Class Certificate (with photo on it).
F. Address proof(ONE of the following): Govt−issued ID Card Copy − Voters ID, Aadhar
