SPECIAL POWER OF ATTORNEY

KNOW ALL MEN BY THESE PRESENTS:

I, BRUCE WAYNE, of legal age, Filipino and with address c/o Wayne
Enterprises, Inc., Unit 1 Wayne Building, Vale Street, Gotham City, after being
sworn in accordance with law, hereby depose and state that:

1. I am the Respondent in the civil case entitled “Jack Napier vs.

Wayne Enterprises, Inc./Bruce Wayne”, docketed as NLRC Case No. NCR-11-
12345-00, and pending before the office of the Hon. Labor Arbiter Clark Kent,
National Labor Relations Commission, National Capital Judicial Region in
Quezon City;

2. I hereby name, constitute, and appoint the law firm of GRAYSON

& ASSOCIATES, any of its partners and/or associates, with office address at
Suite 123 JLA Tower, Wonder Road, Central City, as my attorney-in-fact and
representative, in my place, name, and stead, to the following acts and deeds,
to wit:

(a) To attend, on my behalf all proceedings before the

Honorable Labor Arbiter and all subsequent stages
thereof;

(b) To consider and/or to

i. negotiate, conclude, execute, sign and deliver a just and

equitable compromise agreement.

ii. submit to alternative modes of dispute

resolution;

iii. file the necessary position paper and other

necessary pleadings and documents as may be
required; and

iv. determine such other matters as may aid in the

prompt disposition of the action.

HEREBY GIVING AND GRANTING unto said attorney full power and
authority whatsoever requisite necessary or proper to be done in and about
the premises as fully to all intents and purposes as I might or could lawfully do
if present, with full power of substitution and revocation, and hereby ratifying

and confirming all that my said attorney-in-fact shall lawfully do or cause to
be done under and by of this special power of attorney be.
