CONTRACT TO PURCHASE

KNOW ALL MEN BY THESE PRESENTS:

This Contract to Purchase, entered into by and between:

______________________________., a corporation duly organized under the


existing laws of the Philippines, with business and postal address at
____________________________________, represented herein by its
_______________, ____________________, herein referred to as the “SELLER”;

-and-

__________________________________, of legal age, single, Filipino Citizen,


resident of and with postal address at
_________________________________________, herein referred to as the
“BUYER”.

WITNESSETH: THAT –

For and in consideration of sum of ______________________________


Philippine Currency, which the BUYER has bound himself to pay the SELLER in the
manner hereinafter specified and for other good and valuable considerations herein-below
set forth, the SELLER hereby agrees to sell unto the BUYER and the BUYER have
agreed and bound himself to buy from the SELLER, a Condominium Unit situated at
___________________________________________, with an approximate area of
_________________________________ located at _______ Floor, with one (1) parking
slot; _________ with an approximate area of _________________________________ in
accordance with as authorized under Condominium Certificate of Title (CCT) No.
______________________________ issued by the Registry of Deeds for
________________________ registered under the name of the SELLER, subject to the
following terms and conditions, to wit:

1. PAYMENTS – The BUYER agreed to pay the SELLER at the latter’s office
address at ________________________________________ the consideration
herein-above stipulated with the following manner, to wit:

1.1. Upon signing of this Contract, the BUYER shall pay the
SELLER, the initial sum of ______________________________
PESOS, as down-payment;

1.2. The balance of _____________________________________


PESOS shall be paid by way of ____________________ loan
proceeds amounting to PhP_____________________, copy of
such ______________________ approved Guarantee Letter is
attached as Annex “A”.

1.3. It is a special condition of this Contract that upon receipt of


________________________ Letter of Guarantee or undertaking
to pay the sum of ________________________, the SELLER
shall transfer title in favor of the BUYER as required by

shall be delivered directly to Metrobank by the SELLER.

2. TAXES AND ASSESSMENTS – All taxes and assessments levied or maybe


levied on the subject property shall be shouldered by the BUYER upon taking
possession or occupancy.

3. POSSESSION – The possession of the above Condominium Unit herein


contracted to be sold will be delivered to the BUYER only upon signing of this
Contract to Purchase, and upon payment of the initial amount as stipulated
hereinabove in paragraph (1) (1.1) and as long as the BUYER complies with all
the terms and conditions mentioned in this Contract, but the ownership of said
Condominium Unit shall remain with the SELLER and shall not be considered
as transferred to the BUYER unless after all the conditions herein contained
would have been complied with full purchase price contracted for shall have
been fully paid. That all the expenses for the execution,
notarization/documentation of the Absolute Deed of Sale, registration thereof,
documentary stamps, transfer tax and other expenses necessary or incidental to
the issuance of the torrens title in favor of the BUYER, shall be borne by and be
for the account of the BUYER except capital gains tax which shall be for
SELLER’s account. It being further understood that notwithstanding the above,
the SELLER shall not be obligated to execute the Absolute Deed of Sale should
the BUYER fail to submit the Metrobank Letter of Guarantee of
PhP1,500,000.00

4. CANCELLATION OF THE CONTRACT – In case the BUYER fails to


satisfy any payment herein agreed upon, the SELLER may declare this Contract
cancelled and of no effect, and a consequence thereof, the BUYER shall
forthwith vacate the property, and the SELLER is hereby authorized by these
presents to enter the premises, retake possession and/or dispose the subject
Condominium Unit covered by this Contract together with all improvements
made in the premises in favor of other persons as if this Contract has never been
entered into. In case of such cancellation of this Contract, all the amounts which
may have been paid by the BUYER in accordance with this Agreement,
together with all the improvements made on the premises shall be considered as
rents paid for the use and occupation of the above-mentioned premises and for
the liquidated damages suffered by virtue for the failure of the BUYER to
comply part of this agreement; and the BUYER hereby renounces, relinquishes
and waives all their rights over the premises and oblige the return of the above
premises and further obligated themselves peacefully to vacate the premises or
deliver the same to the SELLER.

5. INSPECTION OF THE PROPERTY – The BUYER hereby make manifest


and represents that they had inspected and investigated the premises subject
matter of this Contract and that they are in good and tenantable conditions.

6. NO WAIVER – Whatever consideration the SELLER may concede to the


BUYER as not exacting a strict compliance with any of the terms and
conditions of this Contract, as well as any other consideration that the SELLER
may give to the BUYER with regard to the obligations of the latter, the same
should not be considered as abandonment or cancellation of covenants,
conditions, terms or options by this Contract in case of any default or non-

compliance by the SELLER. No waiver by the SELLER shall be deemed to


have been made unless expressed in writing and signed by the SELLER.

7. TRANSFER OF RIGHTS – The BUYER cannot sell, mortgage, cede,


transfer, assign, or in any other manner alienate or dispose in whole or in part,
the rights acquired by, and obligation imposed on the BUYER by virtue of this
Contract, without the express written consent of the SELLER first had, said
consent being necessary for the validity of any such transaction, neither shall be
lease or sublease any part or all of said properties nor give possession thereof to
any other person.

8. HOMESELLERS ASSOCIATION – The BUYER bind themselves, their


heirs, successors-in-interest, assigns, representatives and administrators to
accept membership in a Homeowner’s Association composes of homeowners of
the Condominium Unit of which lot forms a part. This Homeowner’s
Association will have authority to prescribe rules and regulations it may deem
necessary for the project subject to Master Deeds of Restrictions.

9. VENUE OF SUIT – The venue of any court action arising out of this Contract
may at the option of the SELLER be in City of Manila, and the BUYER waive
his right to raise any objection thereto.

10. INDEMNITY AND ATTORNEYS FEES – Should the SELLER resort to the
Court of Justice in order to eject the BUYER and/or for in protection of his
rights or redress of its grievances under this Contract, the BUYER agree to pay
the SELLER by way of attorney’s fees, reasonable sum of which in no case
shall be less than PhP50,000.00 if the case is in the City Trial Court, additional
PhP50,000.00 if the case reaches Regional Trial Courts, and the sum of
PhP50,000.00 each if it reaches the Court of Appeals or Supreme Court, and in
addition, the cost and expenses of litigation and the damages, actual or
consequential, to which the SELLER maybe entitled by law.

Nothing in this section shall construed as in any way amending the provisions
provided in paragraph 4 hereof.

11. MISCELLANEOUS – (a) The BUYER hereby represent and make manifest
that this entire agreement has been read and/or translate in a language or dialect
known and understood by them; (b) This contract shall be binding upon heirs,
executors, administrators, assignees, successors-in-interest of the respective
parties hereof.
