Subject Matter of the Contract: Memorandum of Agreement (MOA) among Turkel and KNCCI

1. REFERANCE: CINCTURKEL and the officers and directors of KNCCI

2. PURPOSE: The purpose of this MOA; KNCCI will actively seek and solicit participation
from its association member companies in East Africa in to exhibit PROJECT
KENYA International Infrastructure, Building & Construction Materials, Technologies &
Machineries Exhibition which will be held by Turkel Fair Organization between the
dates of 12-15 August 2016 at KICC in Nairobi Kenya, according to the prices, terms
and conditions of the organizer.

3. SCOPE: This Mao provides guidance to KNCCI members sharing with a vision to
promote, protect and develop PROJECT KENYA interests in the East African business
community. KNCCI provide full information about PROJECT KENYA International
Infrastructure, Building & Construction Materials, Technologies & Machineries
Exhibition

4. AGREEMENT/UNDERSTANDING/RESPONSIBILITIES

Both parties agree to be bound by the following terms and conditions when bartering
products and/or services as outlined below.

a. Allocation of duties of TURKEL

i. TURKEL will provides KNCCI with 9 square meter info stand on ‘Project
Kenya’
ii. TURKEL shall submit written international exhibitor list to from the date of
signing this agreement or when requested by KNCCI.
iii. TURKEL will be made 200,000 Kenyan Shilling payment to have official
membership

b. Allocation of duties of KNCCI

Term

This agreement will come in to force from the moment of signing by both Parties till the completion of
the Fair. The agreement has undersigned by both parties in the term of 1 year. The maximum
notification timeframe for the cancellation of the agreement is 3 months in advance.

Force- Majeure

1. TURKEL shall not bear responsibility for delay, damages, losses or other cases caused by
circumstances of force- majeure circulation ; specifically fire, natural calamities, military
operations, as well as introduction of special regime on the Territory of the Fair and holding
and other circumstances beyond Parties’ control.
2. In case force-majeure circumstances last for more than 2 months Parties effect negotiates
for the purpose of defining possibility of further cooperation. At that, in case Parties make
decision on termination of the present agreement, TURKEL reserves the right of withhold the
rental for reimbursement of the expenses incurred.
