Kindly take note that each criterion for payout schedule should be met in order to receive the
cash incentive. Furthermore, tax will be deducted at source as per the provisions of the National
Internal Revenue Code.

In consideration of the joining bonus to be given, you hereby agree that you shall continue and
maintain your employment with ExlService Philippines, Inc. (the “Company”), for a period of
twelve (12) months from date of employment, specifically on June 22, 2022 hereinafter referred
to as (“Commitment Period”).

In the event that you resign, or your employment with the Company is terminated for just cause,
prior to the completion of the Commitment Period, you shall reimburse the Company, without
need of demand, the joining bonus that you received as of the effective date of resignation or
termination. Accordingly and for this purpose, you hereby authorize the Company to recover
and deduct this amount from any amounts payable to you, and you commit that you shall pay
the balance, if any, immediately upon demand by the Company.
