Annexure - A

A. GENERAL TERMS AND CONDITIONS


The following points which have been mutually agreed upon will form part of this contract

1. SCOPE OF WORK
The Sub- Contractor’s scope of work under this contract shall include all as detailed in the Bill of
Quantities enclosed along with this order agreement.

2. ADDRESS FOR CORRESPONDANCE


The Sub- Contractor hereby agree, for the proper and effective administration of the Contract, all notices,
instructions, payments etc. under the Contract shall be addressed to the office mentioned above, but with
an option of handover to the Sub- Contractors authorized representative at the site office for the works.
Such notices and instructions shall be deemed as duly served on the Sub- Contractor pursuant to the
conditions of the Contract.

3. CONTRACT VALUE
The Contract value as mutually agreed is INR /- (Indian only).
The above mentioned contract value is excluding of taxes, duties, levies as applicable. (The agreed rates
shall be firm and binding on you for the entire duration of contract including any extensions of time as
granted by the Main Contractor, and no subsequent claim for extra or escalation whatsoever will be
allowed.

Note: The item wise rate break-up has been attached here with. The Quantities given in the BOQ are
tentative & the scope of work may increase or reduce as per the sub- Contractor’s performance. The
authority to allot work to sub- Contractor lies with the project manager.

4. TYPE OF CONTRACT
This is purely an Item Rate Contract, and the payments shall be made for the works actually executed,
measured and certified by the SPCPL authorised Engineer. The contract price is inclusive of all Labour,
tools & tackles, consumables, chemicals, equipment to complete the work within the agreed time frame
under this contract with instruction.

5. SPECIFICATIONS
All work shall be executed in conformity with the specifications mentioned in the BOQ and Design
Drawings issued, which form part of the contract.

Time is the essence of this contract. The scope of the works covered under this contract shall be
completed within the specified timelines and handed over.

So the total duration of this work order is 2 months from Commencement of works.

8. TERMS OF PAYMENT

 20% with GST within seven days from the date of shell plan approval
 70% with GST within 15 days after receipt of material at site.
 Balance 10% with GST after two pour or 45 days whichever is earlier.

9. TAXES & DUTIES


The agreed rates exclude GST .You have to submit the tax Invoice for all the Running Bills and declare the
Tax components separately to enable us to avail input credit of the same. (Pl. incorporate the provisions
for payment of GST regularly by the Sub- Contractor.- For the purpose of payment of GST component, -
Amount of GST shall be paid to Sub- Contractor against submission of copies of tax paid
receipts/challans. If Sub- Contractor fails to produce such documents of tax payment to Authority, Main
Sub- Contractor shall have right to withhold running bill payments)

10. SUBMISSION OF BILLS


Billing will be done as per the actual refabricated quantities supplied to site. Measurement of material
will be done jointly by both parties.

11. PRIORITY OF CONTRACT DOCUMENTS


The Several documents forming the contract are to be taken as mutually explanatory of one another, but
in case of ambiguities or discrepancies the same shall be explained and as directed by the Main
Contractor. The Main Contractor who shall there upon issue to the Sub- Contractor instructions thereon
and in such event, the priority of the documents forming the contract shall be as mentioned in the Tender
document.

1) Contract Agreement / WO
2) Priced Bill of quantities/ Schedule of quantities.
3) Approved Drawings.

12. IDLING, DELETION & ESCALATION

1. No idling charges whatsoever will be entertained. Sub- Contractor shall ensure that the work
proceeds with prior planning and without any hurdles.
2. No Escalation shall be entertained on any items of contract till the date of the completion of
the project. (Limited to quantum of this work order.)

13. SUPERVISION & COORDINATION


You will deploy experienced and technically capable Supervisors (Mate) for Supervision of Job.

You will interact with our Engineer for the levels and any other clarification before carrying out the
work.

14. Free MATERIAL SUPPLIED TO SUB-SUB- CONTRACTOR


No material shall be supplied to the sub-sub- Contractor on free issue basis.

15. SPECIAL CONDITIONS:


1. Scope of BOQ item no. 1 i.e. charges for chemical cleaning includes
a) Cleaning of concrete.
b) Chemical cleaning.
c) Cleaning with water jet.
d) Shot blasting where ever required.
e) Lacquer coat of 30 microns (Matcon)

2. Mode of measurements for BOQ item no. 2 -


Only quantity which is actually refurbished shall be paid under said item.
3. The old aluminium formwork will be dispatched from various sites to your factory at Pune. Your
representative should be available on the site of dispatch for taking over aluminium material and
should sign off received materials.
4. Transportation of material will be in scope of SPCPL.
5. You have to reconcile entire material and handover balance scrap to SPCPL representative after
adjusting burning wastage of 2.5%. Reconciliation will be done in Sqm & MTON also. For wastage
calculation average weight of refurbish material will be taken for MTON calculation.
6. Packaging charges- Included in rate.
7. Delivery – As per mutual agreed schedule.
8. Unloading of material at plant and reloading refurbished material is in contractor’s scope.
9. Loading & unloading of materials at our site will be in our scope.
10. Packing list to be provided for each and every delivery of refurbished material.
11. You should do actual mock up in plant before dispatch of material in presence of SPCPL
representative.
12. You should provide supervisor on site to support execution of formwork for 1 st two slab or 45 days
whichever is later.
13. Designing as per existing material list & GFC drawing given by SPCPL.
14. All material should be packed room wise.
15. You have to supply all accessories 20% more than actual requirement at addition cost.
16. You will be fully responsible for the safe custody of all materials handed over by SPCPL till it again
reach to site.

16. TERMINATION
The Main Sub- Contractor reserves the right to terminate/alter the contract with a prior intimation to
you. In which case the Main Sub- Contractor shall not be liable pay any sort of damages including
foreclosure damages which may be incurred by you. Such termination and/or alteration will be
indicated to you at the outset of 30days in writing and if no improvements/changes indicating
progress are noted, the same will result in termination.

17. SETTLEMENT OF DISPUTES / ARBITRATION

All disputes and difference of any kind whatsoever arising out of or in connection with this Contract
whether during the progress of the work or after their completion shall be settled mutually.
For any of the disputes courts of Mumbai shall have the exclusive Jurisdiction.
