DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:

THIS DEED made and entered into by and between FIRST BALFOUR, INC., a
corporation duly organized and existing under the laws of the Republic of the Philippines, with
principal business address at Km 19 West Service Road, Marce Green Village, Sucat, Paranaque,
represented herein by Mr. HUMPREY LEVI T. DY (Deputy Division Head of Plant and
Equipment Division), hereinafter referred to as the VENDOR, for and in consideration of the
amount of SEVEN HUNDRED THOUSAND PESOS (₱700,000.00), Philippines Currency,
and other value consideration, receipt of which hereby acknowledge from, NELSON CUBOS
VICENTE, Likewise of legal age, married/single with residence and postal address Purok 5
Palimbang Calumpit Bulacan, hereinafter referred to as the VENDEE, HEREBY SELLS,
TRANSFERS AND CONVEYS and by these presents have SOLD, TRANSFERRED AND
CONVEYS unto said the following private vehicle described as follows:

Of which I am the Absolute Owner

I hereby warrant that said Motor Vehicle is free from any liens encumbrances and that I
will defend the title and rights of the VENDEE from any claims of whatever kind or nature from
third persons.

THIS SALES IS ON “AS IS WHERE IS BASIS” LIKEWISE RECEIVED MOTOR

VEHICLE IN SATISFACTORY CONDITION.
