LOAN AGREEMENT AND PROMISSORY NOTE

THIS LOAN AGREEMENT AND PROMISSORY NOTE (the “Note”), is made this 20 th day of December 2021,
by and among Engr. Manuel Ramos and Ms. Jane Paler (hereinafter, known as “LENDER”) Filipino and
with residence at 51J Consul Street West Fairview Quezon City.

and

UNITED MARZ PETRO-CHEMICAL TRADING INC., a Corporation organized under the laws of the
Philippines herein represented by virtue of a Secretary Certificate by Vice President and Chief Finance
Officer Mr. Abner M. David with office address at 2 nd Floor Margimel Building, Brgy. Halang, Calamba
City Laguna (hereinafter, known as “BORROWER”).  BORROWER and LENDER shall collectively be known
herein as “the Parties”.  In determining the rights and duties of the Parties under this Loan Agreement,
the entire document must be read as a whole.

PROMISSORY NOTE

FOR VALUE RECEIVED, BORROWER promises to repay to the order of LENDER, the sum of P5,000,000.00
pesos together with interest thereon at a rate of one Peso per liter. Said Loan are for TAYSAN,
LANCASTER, SARIAYA AND LUCENA gasoline stations.

ADDITIONAL LOAN TERMS

The BORROWER and LENDER, hereby further set forth their rights and obligations to one another under
this Loan Agreement and Promissory Note and agree to be legal bound as follows:

A. Principal Loan Amount Php. 5,000,000.00

B. Loan Repayment Terms.


The BORROWER agrees to lodge their FIVE MILLION fund for a period of one year. Should there be an
instance of pre-termination of loan, a sixty (60)-day advice is necessary and be executed in writing.

C. Interest Earning
The BORROWER shall be entitled to an earning equivalent to ONE PESO (php1.00) per liter of fuel sold
depending on the branch of operations the FIVE MILLION shall be invested such as but not limited to
Marz Fuel Lancaster, Marz Fuel Sariaya and Marz Fuel Lucena. Attached herein are the actual
production of Marz Fuel Lancaster, Marz Fuel Sariaya and Marz Fuel Lucena in terms of outliters.
Indicatively, this is the basis of earnings of the LENDER’s investible funds.

IN WITNESS WHEREOF and acknowledging acceptance and agreement of the foregoing, BORROWER and
LENDER affix their signatures hereto.
