In the course of our forthcoming discussions, negotiations, and your investigation of the business know as ___________________________________________________________________( the business or the property), we may reveal to you certain confidential or proprietary information of the Business or the Property. Any information provided on any business or property is sensitive and confidential, and disclosure of such information to others may damage the business and /or its owners. In the interest of avoiding misunderstandings about the basis on which such information is disclosed to you, we are requesting that you read and agree to the following terms: 1. Except to secure the advice and recommendation of your business advisors (accountants, attorneys, etc.), you agree not to disclose to any person who has not also signed this Agreement any confidential or proprietary information of the Business. The confidential or proprietary information in this context includes but is not limited to the following: Financials, appraisals, pricing, names, addresses, locations and any other information related to the operation of the business. You also agree to do all things necessary to prevent any of your employees, representatives, and agents from disclosing any such information to third persons including, without limitation, requiring each employee, representative, and agent to sign a copy of this agreement before being authorized by you to have access to such information. 2. You further agree to use any confidential or proprietary information disclosed to your solely for the purpose of determining whether to purchase the Business or Property. On termination or expiration of our discussions, you shall surrender to Seller or its authorized representatives all originals and all copies of such information in your possession. 3. You agree not to contact the business owners, property owners, landlords, employees, suppliers, or customers. All correspondence, inquires, offers to purchase, and negotiations relating to the purchase or lease of business presented to you by ------ shall be conducted exclusively through -------.

4. Should you enter into an agreement to purchase the Business or Property, you agree to provide a financial statement and a personal and business history, and you authorize the Seller to obtain through standard reporting agencies, credit and financial information about you or you company.
