AGREEMENT

(FOR PERPETUAL RIGHT OF WAY)

KNOW ALL MEN BY THESE PRESENTS:

This AGREEMENT made and entered into this ___ day of

_____________ 2021 at _______________ by and between:

______________________________, Filipino, both of

legal age, with postal address at
___________________________ (hereinafter referred to as the
“GRANTOR”);

- and -

_________________________________________., a
corporation duly organized and existing under the laws of the
Republic of the Philippines, with office address at New Street
Building, Mc Arthur Highway, Balibago, Angeles City, Pampanga,
represented in this transaction by its ___________,
______________________, and hereinafter referred to as
the “Corporation”;

WITNESSETH:

WHEREAS, the ___________________ is the absolute and registered owner of

a parcel of land located in ___________________________, with an area of
________________________ Square Meters (_____ sq.m.), covered by Transfer
Certificate of Title No. _______________________ issued by the Register of
Deeds for _________________________ (the “Subject Property”);

WHEREAS, the Subject Property is surrounded by other lots and is without

adequate access to a public road;

WHEREAS, as an act of liberality, cooperation and goodwill, the Grantor is

willing to grant perpetual access/right of way through a portion of his adjacent
property covered by Transfer Certificate of Title No. _________________ issued
by the Register of Deeds for _______________________ (the “Affected
Property”) is hereto attached as Annex “A” and the Corporation has signified its
acceptance of the grant of such perpetual right of way, subject to the terms and
conditions of this Agreement;

NOW, THEREFORE, for and in consideration of the foregoing premises, the

parties herein agree and covenant as follows:

1. The Grantor, as an act of liberality, cooperation and goodwill, hereby

grants unto the Corporation, its successors and assigns, a perpetual right
of way over a portion of the Affected Property, with a length of
__________________ (___) meters and a width of _______(___) meters,
or a total area of ____________________ Square Meters (___ sq.m.)
square meters (hereinafter referred to as the “Access Road”) subject to
such terms and conditions as provided in this Agreement. A sketch plan
 of the Access Road through the Affected Property is hereto attached as
Annex “B” and made an integral part hereof; The Corporation hereby
accepts and receives the grant of perpetual right of way over the Access
Road made in its favor by the Grantor, together with the conditions and
obligations hereinafter set forth.

2. The Access Road shall always be kept open and accessible to the
Corporation, its representatives and guests.

3. Any and all expenses in connection with the construction, development,

repair and maintenance of the Access Road shall be for the account of the
Corporation.

4. The failure of any of the parties hereto to insist upon a strict performance
of any of the terms, conditions, and covenants, hereof shall not be
deemed a relinquishment or waiver of any right or remedy that said party
may have, nor shall it be construed as a waiver of any subsequent default
or breach of terms, conditions, and covenants herein contained, unless
expressed in writing and signed by both parties.

5. The mere presentation of this Agreement shall be sufficient authority for

the Assessor's Office of the _________________________, as well as the
Registry of Deeds for _______________________, to annotate on the
title and tax declaration covering the Affected Property the rights of the
Corporation set forth in this Agreement.

6. Invalidation of any of the covenants under this Agreement or any part

thereof shall in no way affect any of the other provisions which shall
remain in full force and effect.

7. This Agreement shall not in any way be amended, modified or notated

except by virtue of a written instrument signed by the duly authorized
representatives of the parties hereto.

IN WITNESS WHEREOF, the parties hereto have caused this Agreement to be

executed by their respective duly authorized representative on the day and year

This instrument, which refers to an Agreement for the grant of perpetual

written, and the annexes thereto, and are signed by the parties and their
instrumental witnesses on each and every page thereof.
