AND IN THE MATTER OF SALE OF A MOTOR CYCLE

SALE AGREEMENT

THIS AGREEMENT is made and entered into this ……………. day of

…………………. 2022,

BETWEEN

KAKEETO WILSON of Bulenga, Mobile No. …………………………..

(the “Vendor” which expression shall where the context so admits include
his nominees, successors in title and assignees) of the one part,

AND

FIDES LEGAL ADVOCATES of Plot 1-3 Coral Crescent, Lower Kololo

Terrace (the “Purchaser” which expression shall where the context so admits
include its successors in title nominees and assignees) of the other part,
SHOWETH;

WHEREAS:

A. The Vendor is the Registered owner of a motor cycle

…………………………… registered in Uganda with registration
number ………………….., engine number ………………, chassis
number …………………, model ………………….. (the “Motor
cycle”);

B. The Vendor is desirous of selling to the Purchaser and the Purchaser is

desirous of buying from the Vendor the motorcycle.

NOW THEREFORE THIS AGREEMENT WITNESSETH that in

consideration of the Motor cycle and of the mutual covenants and
agreements hereinafter contained, the parties hereto agree as follows:-
 1. PURCHASE PRICE

C. The Vendor has agreed to sell to the Purchaser and the Purchaser has
agreed to buy from the Vendor the Motor cycle at the purchase price
of Ugx. 2,700,000/= (Uganda Shillings Two Million Seven
Hundred Thousand only).

D. The Purchaser shall pay to the Vendor in cash the total sum at the
signing of this Agreement and which the Vendor acknowledges
receipt thereof by appending his signature to this Agreement.

2. INCIDENTS OF EXECUTION

a) The parties hereto hereby agree that the Purchaser shall take
possession of the motor cycle and the Vendor shall handover
the original Registration Card of the Motor cycle.

b) The Vendor shall procure and ensure that the Vendor hands
over to the Purchaser a commitment and undertaking by
both the Vendor and the Purchaser stating that all claims
(legal and/or beneficial) by the Vendor over the Motor cycle
have been passed on to the Purchaser and that the Registered
owner has no claims over the Motor cycle and the
Registered owner will ensure expedient transfer of the
Motor cycle into the name of the Purchaser.

c) Each party will bear its legal fees incurred in this

transaction.

3. WARRANTIES AND REPRESENTATIONS

a) The Vendor hereby warrants that he has a good and valid title to the
motor cycle, with an unfettered right to sell and transfer the same.

b) The Vendor hereby warrants that all the necessary consents, if any,
have been obtained prior to this sale and transfer.

c) The Vendor further warrants that he has entered into no contract or
agreement with any third party in respect of the motor cycle; the terms
and conditions of which may render the sale and transfer of the same
herein void or voidable.

4. GOVERNING LAW AND JURISDICTION

This Agreement and the relationships between the parties shall be

governed by the Laws of the Republic of Uganda and the Ugandan
Courts shall have jurisdiction over any disputes arising under or in
relation to this Agreement.

5. INTENT OF THE AGREEMENT

Each of the parties hereto shall from time to time and at all times
perform all such acts and things and shall execute and deliver all such
deeds, documents, and writings, and shall give all such further
assurances as may be necessary to carry out the intent of this
Agreement

6- ARBITRATION

Any doubt, dispute, difference, controversy or claim arising from, out

of or in connection with this Agreement, in its interpretation or in
connection to the rights, duties and obligations as hereinabove or
hereinafter provided shall be referred to arbitration in accordance with
the Arbitration and Conciliation Act Cap 4 of the Laws of the
Republic of Uganda and any amendments thereof as may be made
from time to time.

7- MISCELLANEOUS

i) Each of the provisions in this Agreement is severable and

distinct from the other and if at any time one or more of such
provisions is or becomes invalid, illegal or unenforceable,
the validity, legality and enforceability of the remaining
provisions of this Agreement shall not in any way be
affected or impaired thereby.

 ii) This Agreement constitutes the whole agreement between
the parties relating to the subject matter hereof and, if
applicable, supersedes any oral agreement concluded
between them in relation to the subject matter contained
herein and the Parties hereby warrant they have not relied on
any prior representations, written or oral, in entering into
this Agreement which have not been reduced into writing
and included in this agreement.

IN WITNESS WHEREOF both parties hereto have set their respective

hands at KAMPALA this 13th day of July, 2022.
