CONTRACT

KNOW ALL MEN BY THESE PRESENTS:

This Contract is entered into by and between:

MCX INTERNATIONAL, INC., with postal address at 1614

Sunnymede I.T. Center, South Triangle, Quezon Avenue, Quezon
City, herein represented by _______________, hereinafter referred
to as the FIRST PARTY;

SPECIFY HERE THE NAME/S AND DETAILS OF EACH

CONTRACTOR; EACH CONTRACTOR SHOULD HAVE
INDIVIDUAL CONTRACTS AND ENSURE THAT THE
PERSON/S REPRESENTING AND SIGNING FOR THE
CONTRACTOR IS DULY AUTHORIZED; IF CONTRACTOR
IS A COPORATION – THERE SHD BE A CORRESPONDING
BOARD RESOLUTIONAND/OR SEC CERT., referred to as the
SECOND PARTY.

SUBJECT AND SCOPE:

The FIRST PARTY is engaging the services of the SECOND PARTY for the
supply of materials and labor for the complete fabrication of Kolong-Kolong Body to be
mounted on SPECIFY HERE THE NUMBER OF UNITS PERTAINING TO THE
SPECIFIC CONTRACTOR units of brand new Kawasaki Motorcycle Barako II Kick
Start, including paintings and decals on the units and delivery. To specify, the SECOND
PARTY for the fees herein agreed upon, undertakes to:

1. Provide the supply of materials and labor for the complete fabrication of
Kolong-Kolong Body to be mounted on SPECIFY HERE THE NUMBER OF
UNITS PERTAINING TO THE SPECIFIC CONTRACTOR units of brand
new Kawasaki Motorcycle Barako II Kick Start;
2. WILL THE CONTRACTOR ALSO MOUNT THE KOLONG2 ON THE
MOTORCYCLE?IF SO, INDICATE THIS: Mount each Kolong-Kolong
Body to the corresponding Kawasaki Motorcycle Barako II Kick Start unit;
3. Paint the units;
4. Have the specified decals installed on each unit; and,
5. Have the units delivered on the place and time as would be specified by the
FIRST PARTY.
*INCLUDE/SPECIFY HERE ANY AND ALL OTHER JOBS/ACTIVITIES
THE CONTRACTOR IS EXPECTED TO DO/PERFORM/DELIVER

PAYMENT:
 For and in consideration of the subject, MCX International, Inc. agrees to pay the
SECOND PARTY the total amount of SPECIFY HERE THE TOTAL AMOUNT IN
WORD AND IN (FIGURE) OF THE TOTAL CONTRACT PRICE, which shall be
payable as follows:

1. Fifty percent (50%) as down payment upon SPECIFY HERE THE

DATE/PERIOD WHEN THE DOWNPAYMENT IS TO BE PAID TO THE
CONTRACTOR.
2. Fifty percent (50%) as balance and full payment upon completion and delivery
of the subject as specified and in good order, in the place and on the date
subsequently specified/agreed upon.
*PAYMENT TERMS MAY BE VARIED DEPENDING ON THE
AGREEMENT WITH THE CONTRACTOR; IF SO, THE TERMS OF
PAYMENT SHOULD BE SPECIFIED, AS WHAT IS INDICATED HERE
IS BASED ON THE JOB ORDER/S PROVIDED BY GRACE SP.

PERIOD, CONDITIONS AND PENALTIES:

Upon receipt of the down payment as specified, the SECOND PARTY has
SPECIFY HERE THE PERIOD. THE JO INDICATES 30-45 DAYS UPON
RECEIPT OF DOWNPAYMENT. IT IS BETTER TO SPECIFY ONLY 1 OF THE 2-
IT SHOULD BE EITHER 30 OR 45 DAYS , from receipt of the down payment within
which to have the completed and fully executed subject delivered at the place
subsequently specified by the FIRST PARTY.

Prior to delivery, the FIRST PARTY has SPECIFY HERE THE PERIOD or
immediately prior to actual delivery, within which to inspect the completed units to
determine their conditions prior to delivery/deployment to the place specified subsequent
to the execution of this Contract.

If the subject unit/s are by one way or another, rejected by the FIRST PARTY’S
client/s, the SECOND PARTY undertakes to effect the necessary revision/s. In the
event of full rejection and/or refusal of the FIRST PARTY’S client/s to accept the unit/s
upon delivery, the SECOND PARTY undertakes to return the subject unit/s to the point
of origin.

In the event that the SECOND PARTY delays in the completion and delivery of
the units as specified, it shall be liable to the FIRST PARTY for a penalty of 1/10 of
10% of the contract price herein specified, for everyday of delay until completion and
full delivery of the unit/s.
