 AGREEMENT TO RESUME INSTALLMENT PAYMENT

AN AGREEMENT made the day of , 2022

BETWEEN

NAME (NRIC NO.) of Address (the Seller) of the one part;

AND

COMPANY (COMPANY NO.) of Address (the Buyer) of the other part.

WHEREAS:-

A. By a Hire Purchase Agreement dated X (hereinafter referred to as “the Hire Purchase

Agreement”) made between BANK (Registration No.), a company incorporated in
Malaysia with its business address at XXX (hereinafter referred to as “the Bank”) of one
Part and Seller Name (NRIC No) of the other part, the Bank agreed to finance a motorcar
vehicle brand XXX model XXX and bearing vehicle registration number of XXX
(hereinafter referred to as “the Vehicle”) (description of the Vehicle as stated on the
Vehicle Registration Certificate from Road Transport Department Malaysia attached
herewith) and the Seller agreed to hire-purchase the Vehicle from the Bank.

B. The Seller agreed with the Bank to pay the monthly installment of RM 1,100.00 for 9
years period (hereinafter referred to as “the Installments”) starting from XX 2019 until
2028 (hereinafter referred to as “the Completion Period”).

C. The Vehicle Ownership Certificate is currently with the Bank pending the full settlement
of the Installments based on the Hire Purchase Agreement.

NOW IT IS HEREBY AGREED BY THE PARTIES HERETO AS FOLLOWS:-

1. The Seller has agreed to give the possession of the Vehicle to the Buyer with all rights,
interests and benefits thereto pursuant to the Hire Purchase Agreement subject to the
Buyer RESUME paying the Installments until the Completion Period.
2. The Seller shall deliver the possession of the Vehicle to the Buyer within 3 days from the
date of this Agreement.

3. The Seller shall simultaneously with the Seller’s execution of this Agreement deliver to
the Buyer the followings:-
i. the Seller’s Vehicle Loan Account’s statement;
ii. a copy of the Vehicle Registration Certificate;
iii. a copy of the Hire Purchase Agreement; and
iv. a copy of the Vehicle’s clearance summon.

4. Upon completion of the Installments by the Buyer,

i. the Seller undertakes to collect the Vehicle Registration Certificate from the
Vehicle’s Distributors Company or the Bank;

ii. the Seller undertakes to collect the Release Letter from the Bank (hereinafter
referred to as “the Release Letter”) and ensure that the Vehicle is free from
encumbrances or any outstanding from the Bank and deliver the Release Letter
to the Buyer; and

iii. The Seller undertakes to remove the Bank’s ownership in the Vehicle
Registration Certificate and transfer the ownership into the Buyer’s name at any
Road Transport Department Malaysia’s Office.

5. The Buyer undertakes to pay the Installments on/before 7th day of every month and
settle all of the outstanding outgoings in respect of the Vehicle until the end of
Completion Period without any failure from the Buyer.

6. The Buyer shall pay the Vehicle’s Insurance and renew the Vehicle’s Road Tax (which
are under the Seller’s name) until the transfer of ownership into the Buyer’s name has
been completed.
7. The Buyer shall pay any claims and summons, but it is not limited to PDRM, Road
Transport Department Malaysia and Local Authorities against the Vehicle, fee relating
to maintenance of the Vehicle, and other payment accruing and payable in respect of the
Vehicle until the Completion Period.

8. The Seller shall never reclaim the possession of the Vehicle and the Buyer shall never
return the Vehicle to the Seller until the Completion Period of this Agreement.

9. Both Parties undertake that this Agreement is construe that there will be no future
claims will be made by both Parties.

10. This Agreement shall be binding and both Parties are obligated to follow all the terms
set herein.

 AGREEMENT

AN AGREEMENT made the day of , 2022

BETWEEN

CO. NAME (NRIC NO.) of Address (Company Debtor) of the one part;

AND

CO. NAME (NRIC NO.) of Address (Company Creditor) of the other part.

WHEREAS:-

A. By a Hire Purchase Agreement dated X (hereinafter referred to as “the Hire Purchase

Agreement”) made between BANK (Registration No.), a company incorporated in
Malaysia with its business address at XXX (hereinafter referred to as “the Bank”) of one
Part and Company Debtor Name (Registration No) of the other part, the Bank agreed to
finance a motorcar vehicle brand XXX model XXX and bearing vehicle registration
number of XXX (hereinafter referred to as “the Vehicle”) (description of the Vehicle as
stated on the Vehicle Registration Certificate from Road Transport Department Malaysia
attached herewith) and the Company Debtor agreed to hire-purchase the Vehicle from
the Bank.

B. The Company Debtor agreed with the Bank to pay the monthly installment of RM
1,800.00 for 3 years period (hereinafter referred to as “the Installments”) starting from
XX 20xx until 202x (hereinafter referred to as “the Completion Period”).

C. The Vehicle Ownership Certificate is currently with the Bank pending the full settlement
of the Installments based on the Hire Purchase Agreement.

NOW IT IS HEREBY AGREED BY THE PARTIES HERETO AS FOLLOWS:-

1. The Company Debtor has agreed to give the possession of the Vehicle to the Company
Creditor with all rights, interests and benefits thereto pursuant to the Hire Purchase
 Agreement subject to the Company Debtor continue paying the Installments until the
Completion Period.

2. The Company Debtor shall deliver the possession of the Vehicle to the Company
Creditor within 3 days from the date of this Agreement.

3. The Company Debtor shall simultaneously with the Company Debtor’s execution of this
Agreement deliver to the Company Creditor the followings:-
i. the Company’s Debtor Vehicle Loan Account’s statement;
ii. a copy of the Vehicle Registration Certificate;
iii. a copy of the Hire Purchase Agreement; and
iv. a copy of the Vehicle’s clearance summon.

4. Upon completion of the Installments by the Company Debtor,

i. the Company Debtor undertakes to collect the Vehicle Registration Certificate
from the Vehicle’s Distributors Company or the Bank;

ii. the Company Debtor undertakes to collect the Release Letter from the Bank
(hereinafter referred to as “the Release Letter”) and ensure that the Vehicle is free
from encumbrances or any outstanding from the Bank and deliver the Release
Letter to the Company Creditor; and

iii. The Company Debtor undertakes to remove the Bank’s ownership in the Vehicle
Registration Certificate and transfer the ownership into the Company Creditor’s
name at any Road Transport Department Malaysia’s Office.

5. The Company Debtor undertakes pay the Installments on/before 7th day of every
month and settle all of the outstanding outgoings in respect of the Vehicle until the end
of Completion Period without any failure from the Company Debtor.
