MEMORANDUM OF AGREEMENT

It has been agreed by and between:

ESA UNGGUL UNIVERSITY, a Higher Education Institution accredited by the


Ministry of Education and Culture which was established in 1993 under the
Kemala Bangsa Education Foundation, is recognized nationally and
internationally for excellence in education and research and a history of
collaboration with many leading institutions in academic matters and
educational exchange, located at Jalan Arjuna Utara No.9 Kebon Jeruk, West
Jakarta 11510, represented by its Dean of ……………Faculty, (Name of Dean)
and hereinafter referred to as “EUU”.

ARTICLE 1

SCOPE OF WORK

Both Parties have agreed to develop educational cooperation consists of various


activities as describe below:

1. Joint Research and Conference

Both institutions will promote opportunities for collaborative research


projects and joint publications.

a) Both institutions will develop and raise levels of scholarship on topics of


mutual interest and related fields of inquiry through conducting joint
research and joint research events, including conferences, seminars
and/or workshops.
b) Both institutions agree to promote the successful realization of a
potential joint conference on a mutually agreed date. Recognizing the
multi-disciplinary perspectives in pedagogy and research in both schools,
the conference will be expected to attract academics from other schools
in … and UEU.
c) Each research activity will have a deliverable, either in form of a Book,
White Paper, Discussion Paper Series, Conference Volume, Set of
Working Paper, Essays and/or Research Report.
d) Details concerning the exact timing, location and funding for the
conference will be mutually decided upon in advance through extensive
discussions among faculty members and program administrators of both
institutions,
e) Both institutions will promote opportunities for collaborative research
projects and joint publications, to include research visits as necessary.

ARTICLE 2

DURATION OF AGREEMENT

This Agreement remain into force for a period of 3 (three) years being in effect
from the date of signing of this MoA. It may be extended for any further
period/s upon mutual consent in writing by both Parties.

ARTICLE 3

INTELLECTUAL PROPERTY RIGHTS

3.1. The protection of intellectual property rights shall be enforced in
conformity with the respective national laws, rules and regulations of the
Parties and with other international agreements signed by both Parties.
3.2. This Agreement shall not be constructed as any transfer, assignment or
infringement of any intellectual property rights between the two
institutions.
3.3. The use of the name, logo and/or official emblem of any of the Parties on
any publications, document and/or paper is prohibited without the prior
written approval of the Party.
3.4. The intellectual property rights in respect of any technological
development, and any product and service development, were obtained –
3.4.1.jointly by the Parties or if the research results were obtained
through the joint activity or effort of the Parties, then these shall be
jointly owned by the parties in accordance with terms to be
mutually agreed upon; or
3.4.2.solely and separately by a Party or if the research results were
obtained through the sole and separate effort of the Party, then
these shall be solely owned by the Party concerned.

ARTICLE 4

DISPUTE RESOLUTION

The First Party and The Second Party shall base their contractual relationship
on the fundamental principles of goodwill and good faith. Any differing
viewpoints and interpretations of this Agreement shall be settled by mutual
consultation or negotiation.

ARTICLE 5

MISCELLANEOUS

1. The agreement shall bind and inure to the benefit of the parties, their
respective successors and permitted assigns.
2. In the event of any conflict between this Agreement and any Exhibits hereto,
the terms of this Agreement shall govern. This Agreement may only be
ended in writing signed by both parties that explicitly states that it is
intended to amend this Agreement.
3. The Contract shall be effective and come into force when it is signed by both
Parties. In witness where of authorized representative of the Parties here to
have set their hands this day and year first above written.

ARTICLE 6

NOTICES

Any notice or request given or made by one Party to the other under this MoA
shall be writing in English language. For purposes of implementing this
agreement, the contact persons will be:
