General Nondisclosure Agreement THIS AGREEMENT (the “Agreement”) is made between FUTURE

CONNECT a company having its office at 7/16, Subbarayan street, Nungambakkam, Chennai 600034
and

Josmi joseph at Residence Address Egmore, Crest halls VILLA opposite to Sun Park hotel Chennai
600008

and entered into this Non-Disclosure Agreement to furnish FUTURE CONNECT (company) with
certain information that is proprietary and confidential, both parties hereby warrant, represent,
covenants, and agrees as follows:

1. Engagement. Josmi Joseph, during engagement by Company (Future Connect), may or will have
access to or learn certain information belonging to Company that is proprietary and confidential.

2. Definition of Confidential Information. Confidential Information as used throughout this

Agreement means any secret or proprietary information relating directly to Company's business and
that of Company's affiliated companies and subsidiaries, including, but not limited to, products,
training materials, educational papers and materials, customer lists, pricing policies, employment
records and policies, operational methods, marketing plans and strategies, product development
techniques or plans, business acquisition plans, new personnel acquisition plans, methods of
manufacture, technical processes, designs and design projects, inventions and research programs,
trade “know-how”, trade secrets, specific software, algorithms, computer processing systems, object
and source codes, user manuals, systems documentation, and other business affairs of Company and
its affiliated companies and subsidiaries.

3. Nondisclosure Josmi Joseph agrees to keep strictly confidential all Confidential Information and
will not, without Company's express written authorization, signed by one of Company's authorized
officers, use, sell, market, or disclose any Confidential Information to any third person, firm,
corporation, or association for any purpose.

Josmi Joseph further agrees not to make any copies of the Confidential Information except upon
Company's written authorization, signed by one of Company’s authorized officers, and will not
remove any copy or sample of Confidential Information from the premises of Company without such
authorization.

4. Return of Material. Upon receipt of a written request from Company (Future Connect), Josmi
Joseph receiving party will return to disclosing party all copies or samples of Confidential Information
that, at the time of the receipt of the notice, are in Josmi Joseph possession.

5. Obligations Continue Past Term.

The obligations imposed Josmi Joseph shall continue with respect to each unit of the Confidential
Information following the termination of the business relationship between FUTURE CONNECT
(company)

And Josmi Joseph, and such obligations shall not terminate until such unit shall cease to be secret
and confidential and shall be in the public domain, unless such event shall have occurred as a result
of wrongful conduct by Josmi Joseph agents, servants, officers, or employees or a breach of the
covenants set forth in this Agreement.

6. Equitable Relief. Josmi Joseph acknowledges and agrees that a breach of the provisions of
Paragraph 3 or 4 of this Agreement would cause Company to suffer irreparable damage that could
not be adequately remedied by an action at law.

Accordingly, Josmi Joseph agrees that Company shall have the right to seek specific performance of
the provisions of Paragraph 3 to enjoin a breach or attempted breach of the provision thereof, such
right being in addition to all other rights and remedies that are available to Company at law, in
equity, or otherwise.

7. Invalidity. If any provision of this Agreement or its application is held to be invalid, illegal, or
unenforceable in any respect, the validity, legality, or enforceability of any of the other provisions
and applications therein shall not in any way be affected or impaired. FUTURE

8. This NDA be valid for 24 months from the time of agreement signed between Josmi Joseph and
FUTURE CONNECT. .

9. Non-Solicitation of Staff: For the purpose of this agreement, Josmi Joseph agrees not to solicit
either directly or indirectly with a view to provide or offer employment to, offer to contract with or
entice a staff member of the Company during the term of this agreement and for an additional
period of 2 years after termination.

10. Confidentiality : Both parties undertake to each other to keep confidential all information
(written or oral) concerning the business and Affairs of the other, which has been obtained or
received because of the discussion leading up to or the entering into of this agreement save that
which is :  Inconsequential or obvious;  Already in its possession other that as a result of a breach
of this clause;  In the hands of the public other than as a result of a breach of this clause. (a) Each of
the parties undertakes to the other to take all such steps as shall from time-to-time be necessary to
ensure compliance with the provisions of the above clause by its employee agents and sub-
contractors.

12. Action in Good Faith: under this agreement, the action of both the parties shall be deemed as
actions in good faith (bona fide) unless there is evidence to the contrary.

13. Both parties agree to extend the NDA period mutually upon request from either party. IN
