Dear Fahil Ejaz,

This is in reference to the interview you had with us. We are pleased to appoint you with SQUARE
BRIDGE TECHNOLOGIES PVT.LTD, Bengaluru as an Associate System Engineer effective from
06th- July-2020 on the conditions given below.

1. Compensation
Your annual compensation will be Rs 3,50,000/-. This comprises of your salary, allowances,
bonus and benefits as specified in Annexure- I.

2. Probation period and conformation

The initial period of probation will be six months. However, the Management reserves
the rights to extend this period, if necessary. On completion of the probation period if you are
found suitable your appointment will be confirmed with intimation in writing.

3. Benefits
 Gratuity – On completion of five years of service with the Organization, you will be
eligible for gratuity as per the payment of Gratuity Act.
 Medical Insurance – In accordance with the Organization’s policy you will be covered under
Group Health Insurance plan, Group Personal Accident Insurance plan & Maternity Benefit
plan. However this insurance coverage starts after one month of your date of joining.

4. Joining formalities
Kindly bring the following documents in original along with a photocopy of the same.
 Mark sheet of final year Degree and Post Graduate Degree along with the certificates.
 Proof of the permanent and current address (Ration card/Passport/Driving License).
 Previous employment relieving letter.
 Previous employment salary certificate (Form 16).
 Four copies of colored passport size photographs.
 Bank statement for last 6 months.
 PAN Card copy.
 ITR for the last two years (Copy).

5. Background Check and Verification

The Organization reserves the right to verify your documents of background through internal and/or
external agencies. This may include your current/previous employment history,

Education/professional credential and other background checks. If any declaration given, or
information furnished by you, to the Organization is found to be flash, misleading or wailfully
suppressed, the Organization reserves the right to take strict action against you, including termination
of the employment.

6. Location
You will be based in Bengaluru but the Organization may require you to work at other location and/or
customers’ site in India or abroad. The Organization will seek to give you reasonable notice of
extensive travel requirements, and to take into account you personal circumstances where appropriate.

7. Working Hours and Holidays

You will observe the working hours and holidays as observed by the Organization and the location to
which you are assigned. However, during deputation on a project at customer’s site, you will observe
the working hours and holidays as observed by the customer.

8. Annual Leaves
No leave of any kind is permissible during the period of probation. You will eligible for 21 working
days of leave, on pro-rate basis, after conformation of your service with the Organization.
Your unauthorized absence from work for a continuous period of more than the week will be treated as
duty, and the same would be treated as“voluntary abandonment of service”. In such a case, the
Organization strict action against you, including termination of the employment.

9. Notice Period/Termination
Duties the period of probation, either party will be allowed to terminate the contract of employment by
given by 30 days notice in writing to that effect to the other party, subject however to the organizations
right to pay one month’s salary in lieu thereof.

In the event of willfull neglect or breach of any of the terms here of or refusal on your part to carry out
the lawful instructions of any member of the Organization or being guilty of misconduct, the
Organization may employment forth with notice.
During the tenure of your employment, the Organization may incur training/certification expenses on
you. In the event you leave our service within a period of months from the date of
training/certification, you will be required to reimburse the entire training costs.
Depending on the expenses involved, you may also be required to sign a service agreement with the
Organization for A specific period, which will be indicated to you at that time.

10. Trade Secrets and confidential Information

During the terms of your employment, you may have access to Hardware, Software, Software
Modules and Programs, Software Development and Solutions and you may become familiar with
various trade secrets and confidential information belonging to be Organization, its affiliates and its
customers. You shall acknowledge that such confidential information and trade secrets are owned and
shall continues to be owned solely by the Organization, its affiliates and its customers, as the case may
be. You shall not use, communicate, reveal or otherwise make available such information for any
purpose whatsoever or divulge such information to any person, partnership, corporation to any person,
partnership, corporation or entity even in good faith of the Organization or otherwise, without written
prior consent of the Organization.

11. Restrictive Covenant
The Organization is in the business of providing various service including software development,
implementation, sales and support service. You will acknowledge that,
The Organization’s services are highly specialized.

12. Intellectual Properties

Additionally, you will also be bound by the police of the Organization with respect to Intellectual
Property as described in Annexure –II.

13. Information Security

You are expected to maintain confidentiality of information residing in mobile computing
devices such as portable laptops, notebooks, palmtops, other transportable computers and storage
media. You are expected to maintain secrecy and not to pass on any information deliberately or
otherwise in any ofthe form, including but not limited to, verbal, hard copies, soft copies, electronic
data, e-mails, etc.

14. Personal particulars

During the period of employment, you will keep us informed of any change in your residential
address, your family status or any other relevant particulars. You would also let us know the name and
address of your legal heirs/nominees.

15. General

 It is expected that individual compensation package would not be shared with other employees
 Employee shall observe and conform to such duties, direction and introduction as
communication to him/her by his/her superiors.
 Employee shall not use any of the hardware, software, network, documents and literature etc.
of the Organization for any purpose other than the Organization’s business.
 Employee shall not during the continuance of his/her employment, without prior consent of
the Organization in writing, be employed, directly or indirectly in any other trade or business,
employment or occupation whatsoever and will devote the whole of his/her time and attention
to his/her duties.
 A high standard, professional code of conduct is expected from the employee of any behavior
reflecting unfavorable, on him/her or the Organization, is questionable and liable for
disciplinary action.
 Employee shall also require to abide by the terms and condition to those mentioned above,
which are in force for the time being or may be framed from time to time.

16. Acceptance of Joining

Please countersign the duplicate of this letter in token of your acceptance and return the same to us.

Notes:

a. Only Basic will be considered for the purpose of Gratuity.

b. Ad.Hoc allowance is adhoc in character which may either increase or decrease with change in

c. Income tax will be deducted at source wherever applicable

Compensation structure is subject to change without affecting emoluments adversely.

Intellectual Property

Following is a statement of the Organization's policy with respect to intellectual property:

Accept as otherwise may be agreed by the Organization in writing, in consideration of

the employment of the employee by the Organization, and free of any additional obligations of the
Organization to make additional payment to the employee, the employee agrees to irrevocably assign
to the Organization any and all inventions, software, manuscripts, documentation, improvements or
other intellectual property. Whether or not protectable by any national or state laws relating to the
protection of intellectual property, relating to the present or future business of the Organization that are
developed by the employee prior to the termination of his/her employment with the Organization,
either alone or jointly with others, and whether or not developed during normal business hours or
arising in the scope or his/her duties of employment. The employee agrees that all such inventions,
software, manuscripts, documentation, improvement or other intellectual property shall be and remain
the sole and exclusive property of the Organization. The employee hereby agrees to execute such
assignments and other documents as the Organization may consider appropriate to vest all right, title
and interest therein to the Organization. This provision does not apply to an invention for which no
equipment, supplies, facility, or trade secret information of the Organization was used and which was
developed entirely on the employee's own time, unless-

(a) The invention relates

• Directly to the business of the Organization or
• To the Organization's actual or demonstrably anticipated research or development or
(b) The invention results from any work performed by the employee for the Organization

The employee agrees that all services performed by the employee for the Organization shall be the
original work of the employee and shall not incorporate any third party materials or work in which
the employee or any third party asserts an ownership interest without the express written consent of
the Organization.
