Two different cabinet systems available - 59" high cabinets

(2 per system) or 44" high cabinets (3 per system).

Uses minimum floor area - Footprint of each separate cabinet is

30" wide x 27.75" deep. 2 cabinet system: 60" x 27.75", 3 cabinet
system: 90" x 27.75".

Optional 35" high overhead shelf cabinets with locking doors -

For storage of tools in plastic cases, large tools and shop items

A. Dealer/Distributor agrees to participate in the Essential Tool Program administered by Kent-Moore under
which the Dealer/Distributor will receive those special tools and equipment that are deemed by Harley-
Davidson Motor Company to be essential for the repair and maintenance of Harley-Davidson Motor Company
and Buell products and which it is the dealer’s responsibility to have under the terms of the Dealer/Distributor
contract for the sales and service of Harley-Davidson Motor Company and Buell Distribution Corporation
products. With this program, essential tools will be developed by Harley-Davidson Motor Company, Buell
Distribution Corporation and Kent-Moore as dictated by new model or component introduction.
B. This Agreement commences on the date signed and terminates the following August 31. Thereafter, this
Agreement shall continue for successive one (1) year periods initiating on September 1st.
C. This Agreement shall remain in effect until revoked by either the Dealer/Distributor or Kent-Moore upon 90 days
prior written notice or until termination of the Dealer/Distributor contract with Harley-Davidson Motor Company
and/or the Buell Distribution Corporation.
D. The Dealer/Distributor’s account shall be billed by Kent-Moore, on or about September 1st (during each year
the Agreement is in effect) a sum, to be determined by Harley-Davidson Motor Company and Kent-Moore, not
to exceed $900.00 in U.S. dollars. The annual package cost will vary each year with the number of tools, but
will not exceed $900.00 U.S. dollars for Harley-Davidson Tools and not to exceed $500.00 for Buell Tools each
calendar year. All duties, brokerage fees, state, local, use and other taxes will be added to the invoice where
applicable. Kent-Moore payment terms are Net 30 days.

For Distributors Only: The Distributor will be billed for each of their dealers that have submitted a signed
contract. Each Distributor operated dealership must sign and return a contract to their Distributor in order to
be enrolled in the Program.

E. International Distributor information. This form covers one Essential Tool Package. If additional packages are
required by your Dealers, indicate how many additional tool packages you will require.
