LEASE AGREEMENT( Business Agreement)

THIS AGREEMENT OF LEASE IS MADE AND EXECUTED AT PUNE on 3rd


JULY, 2021

BETWEEN
ZAAD FOUNDATION, a limited liability Section 8 company incorporated under Companies
Act, 2013 having its Registered office mno.420, gno 446, theur rd a/p kesnand, tal haveli dist
pune mh 412307 in represented herein by its Director Mr. Dattatray Maruti Hargude hereinafter
referred to as the LESSOR on the other part.

AND

REXTRACT PRIVATE LIMITED, a limited liability company incorporated under Companies


Act, 2013 having its Registered office at 117-, H.No. 1.13.343, Sambhaji nagar, H.No.98,
431203 jalna MH 431203 IN represented herein by its Director Mr. Nitin Bangad hereinafter
referred to as the LESSEE on the other part.

The expressions LESSOR and LESSEE shall wherever the context so require be deemed to
include their heirs, executors, legal representatives, successors-in- interest and assigns.

WHEREAS

a) The LESSOR represents that he is the sole and absolute owner of the property (Plant) situated
at Gat no. 353 ladoba wasti, shiv shambho nagar, datatre maruti hargude, keshnand, Pune-
412207 and entitled to lease out the same;

b) The lessee required the afore-mentioned property / portion thereof comprising an extent of
12000 sq.ft. carpet area more fully described in the schedule hereunder and hereinafter referred
to as the Schedule Premises for use as its office.( Segregation and Processing Plant)

c) The Lessor has agreed to provide and the Lessee has agreed to take on lease the Premises,
subject to terms set out hereunder;

NOW THIS INDENTURE OF LEASE WITNESSETH BETWEEN THE PARTIES AS


FOLLOWS: -

1. DURATION:

The lease shall be for a period of ONE YEAR with lock-in-period of ONE YEAR shall be
renewed at the option of the Lessee. Neither the Lessor nor the Lessee are entitled to
terminate/cancel the LEASE AGREEMENT during the lock-in-period. If he Lessor for any or
whatsoever reason terminate or cancel the Lease Agreement during the lock-in-period, then also
he will be liable to pay the loss suffered by the Lessee due the termination/cancellation the
LEASE AGREEMENT.

2. COMMENCEMENT:
The lease shall commence from ______date and shall be valid till the _____DATE after which
the Lessee has to handover the vacant position of the schedule premises back to the lessor in as
it where basis.

3. RENT AND OTHER EXPENSES:

Lessee shall not pay any rent for the Schedule Premise taken on lease as mentioned in the
schedule. The profit (Revenue generated and operational costs incurred will be shared as per the
below agreed ratio) earned from the Schedule premise is divided in certain percentage between
the Lessor and the Lessee as mentioned below:
Sharing Ratio –

1. REXTRACT PRIVATE 70%


LIMITED
2. ZADA FOUNDATION 30%

If any loss incurred in operations of the plant (Schedule Premises) during the lease period such
loss shall be borne by both the parties i.e., Lessor and the Lessee in the sharing ratio as
mentioned above.

All the operational cost of the Schedule Premises during the lease period shall be borne by both
the parties i.e. Lessor and the Lessee in the profit sharing ratio as mentioned above.

Operational cost includes Water and Electricity, Transportation cost (Daily waste collection),
Collection cost (Labor payment for waste collector), Plant labor cost, Society Credit cost
(Incentives to be given to societies for Rextract limited).

All the necessary cost ancillary to Plant (Schedule Premises) setup excluding the procurement of
additional machinery which includes the levelling of site of operation and external boundary
construction at the site along with the pit digging and maintenance cost shall be borne by Lessor.

4. MAINTENANCE:

The Lessor shall pay to the Lessee all the maintenance charges required for the Schedule
Premises to be operational as and when required.

The Lessee shall maintain the Schedule Premises, Fixture & Fittings in good and tenable
condition and handover the property in the same condition as it was leased out this day, when
vacating the Schedule Premises or termination of the tenancy.
5. BAR ON SUB-LET:

The Lessee shall not sub-let, assign, underlet or give on license the Schedule Premises as a whole
or any portion thereof without the written permission of the Lessors.

6. USE OF SCHEDULE PREMISES:

The Schedule Premises shall be used by the Lessee for “(Segregation and processing of solid
waste )Trade and Business of Recycling of waste” in the name and style of “Rextract private
Limited” purpose only and shall not be used for any objectionable or offensive trade or business
or as a manufacturing unit or any other unlawful or illegal activities or any other use which is not
permitted by Law.

The Lessee shall not do or permit to be done any nuisance or annoyance or shall not carry out or
permit to carry on any offensive trade or business and shall not use the Schedule Premises for
any illegal or immoral purpose and the lease shall be terminated if the lessee also changes the
nature of the trade or business without the permission of the Lessor.

7. BAR ON ADDITION/ALTERCATION:

The Lessee shall have the full power to make any structural altercation or addition or
modification either temporary or permanent to the Schedule Premises with or without the
permission of the Lessor.

8. RIGHT OF INSPECTION:

The Lessor or any or their representative/agent/workmen shall be entitled to enter the schedule
property at all reasonable hours for the purpose of inspection/carrying out any repairs relating to
the building with prior intimation to the Lessee.

The Lessor or any or their representative/agent/workmen shall have no right to interfere in the
day to day business activity nor have any say in any decision taken by the Lessee related to the
Schedule Premises.

9. JURISDICTION:

In the event of default or dispute between the parties the matter shall be subject to the
Jurisdiction Courts at Pune City only.

10. LEASE DEED:


It is mutually agreed between the parties that the cost of Stamp papers and expenses of
registration of lease deed in respect of this lease and its renewals if any shall be shared equally
by the Lessors and Lessees.

This Agreement of lease has been prepared in two originals. One retained by the Lessor and the
other handed over to the Lessee.

11. TERMINATION OF LEASE:

The lease shall be entitled to terminate the lease by giving 3 (Three) months written notice to the
lessor only after initial Lock-in-period of One year.

12. The Lessor represents and warrants that he is fully empowered, authorized and able to let out
the Scheduled Premises on lease to the Lessee as envisaged in this Agreement and that there is
no mortgage, charge or any other encumbrance of any nature in respect of the Scheduled
Premises and that he will keep the LESSEE harmless and indemnified from any proceedings
initiated by others in respect of the quiet possession and enjoyment of the Scheduled Premises by
the Lessee.

13. On the expiry of the lease or on earlier termination of the lease, the Lessee shall deliver the
vacant possession of the Scheduled Premises to the Lessor in good condition, subject to natural
wear and tear.

All that piece and parcel of the premises of carpet Area 12000 Sq.ft. situated at Gat no. 353
ladoba wasti, shiv shambho nagar, datatre maruti hargude, keshnand, Pune-412207.

Macinary along with Scheduled property - 1. Conveyor Belt.

IN WITNESS WHEREOF the parties hereto have executed this LEASE DEED on the day,
