Explaination: Here in after known as RUPS, shall be a Corporation element that has
authority that is not provided to the Directors and Board of Commissioners within a

4. When is the company obtains the legal status
a. On date the Decree of the Minister concerning the Company’s ratification as a legal
entity is issued.

Explaination: As long as the approval has not been obtained by a limited liability
company in its establishment it is still not a legal entity. The legal act is the
responsibility of a limited liability company after a limited liability company becomes a

Explaination: There are several provisions that allow companies to buy back that have

1. Organ Perseroan dari perseroan terbatas berarti:
a. Memiliki maksud dan tujuan serta kegiatan usaha yang tidak bertentangan dengan
ketentuan peraturan perundang-undangan, ketertiban umum, dan/atau kesusilaan.
b. Melakukan penawaran umum saham sesuai dengan ketentuan peraturan perundang-
undangan di bidang pasar modal.

kontrak untuk menjalankan kegiatan usaha dengan modal dasar

Penjelasan: Yang selanjutnya disebut RUPS adalah unsur Perseroan yang mempunyai
wewenang yang tidak diberikan kepada Direksi dan Dewan Komisaris dalam jangka
waktu yang ditentukan dalam Undang-Undang dan/atau Anggaran Dasar ini.
4. Kapan perusahaan memperoleh status hukum?
a. Pada tanggal diterbitkan Keputusan Menteri tentang pengesahan Perseroan sebagai badan
hukum.
b. Dengan akta notaris yang dibuat dalam bahasa Indonesia
c. Memiliki akta pendirian, anggaran dasar dan keterangan lain yang berkaitan dengan
pendirian Perseroan.

Penjelasan: Dalam Pasal 7 (4) UU 40/2007 “Perseroan memperoleh status hukum pada
tanggal dikeluarkannya keputusan menteri tentang pengesahan badan hukum
perseroan”. Pengesahan Menteri (mendapat status Badan Hukum [7:4]), Data
Perusahaan (Daftar Perusahaan [29:3]), Pengumuman Menteri [30:1]
5. Perbuatan hukum atas nama perseroan terbatas yang belum memperoleh status badan
hukum hanya dapat dilakukan oleh:
Penjelasan: Karena Tanggung Jawab Lingkungan dan Sosial merupakan bagian dari
rangka pengembangan kualitas hidup. Dan kemudian lingkungan yang bermanfaat
baik untuk Korporasi itu sendiri atau komunitas situs atau publik.
7. Rapat Umum Pemegang Saham” berarti
a. Pertemuan Tahunan untuk menentukan misi dan visi perusahaan dan untuk menyetujui
anggaran tahunan
b. Organ Perseroan yang mempunyai wewenang tidak diberikan kepada Direksi atau Dewan
Komisaris dalam batas-batas yang ditentukan dalam Undang-undang ini dan/atau
anggaran dasar
c. Mengangkat Wakil Presiden Perusahaan untuk membantu Direksi

Penjelasan: Anggaran Dasar sebagaimana dimaksud dalam Pasal 8 ayat (1) paling
sedikit memuat: Nama dan tempat kedudukan perseroan; Maksud dan tujuan serta
kegiatan usaha korporasi; jangka waktu pendirian korporasi; jumlah modal dasar,
modal ditempatkan dan modal disetor; Jumlah saham, klasifikasi saham jika ada,

9. Perusahaan dapat membeli kembali saham yang telah dikeluarkan dengan ketentuan:

10. Para pemegang saham dan kreditur lain yang mempunyai tagihan terhadap Perseroan tidak
boleh saling hapus piutangnya dengan kewajiban membayar harga saham yang telah diambilnya,
kecuali.
Penjelasan: Piutang kepada Perseroan sebagaimana dimaksud pada ayat (1) yang
dapat dikompensasikan dengan pembayaran saham adalah piutang atas tagihan
kepada Perseroan yang timbul karena:
• Perusahaan telah menerima uang atau penyerahan barang berwujud atau tidak
berwujud yang memiliki nilai moneter
• Pihak yang menjadi penjamin utang Perseroan telah membayar lunas utang
Perseroan, sebesar yang dijaminkan
• Perseroan menjadi penjamin utang pihak ketiga, dan Perseroan telah menerima
manfaat berupa uang atau barang yang bernilai uang, yang sebenarnya telah diterima
oleh Perseroan secara langsung maupun tidak langsung
