I II. GENERAL CONDITIONS OF CONTRACT

1. GENERAL PROVISIONS

1.1 Definitions
I Unlessthe context otherwiserequires,the following terms wheneverused in this
Contracthavethe followingmeanings:
I (a) "ApplicableLaw" meansthe lawsand any otherinstrumentshavingthe force

1.4 Notices
I Any notice,request,or consentmadepursuantto this Contractshallbe in writing and

I 1.8 Leader of Joint Venture

In case the Consultantsconsist of a joint venture of more than one entity, the

JointVenture,for the purposeof receivinginstructionsfrom the Client.
I 1.9 Relation betweenthe Parties

2.5 Modification

performance of its obligationsunderthe Contractimpossibleor so impractical
as to be consideredimpossibleunderthe circumstances, and includes,but is
t not limited to, war, riots, civil disorder, fire,
earthquake, explosion,storm,
flood or otheradverseweatherconditions,strikes,lockoutsor otherindustrial
actions(exceptwhere such strikes,lockoutsor other industrialactionsare

I 2.7.2 No Breachof Contract

The failure of a Partyto fulfill any of its obligationsunderthe Contractshall not be


I consideredto be a breachof, or defaultunderthis Contractinsofaras suchinability
arisesfrom an eventof ForceMajeure,providedthat the Party affectedby suchan
event;(a) has taken all reasonable precautions,due care and reasonable alternative

I measuresin orderto carry out the termsand conditionsof this Contract;and (b) has
informed the other Party in writing not later than fifteen (15) days following the
occurrence of suchan event.

I 2.7.3 Extensionof Time

Any periodwithin which aParty shall,pursuantto this Contract,completeany action


I or task,shallbe extendedfor a periodequalto the time duringwhich suchPartywas
unableto performsuchactionas a resultof ForceMajeure.

t 2.7.4 Payments

During the periodof their inabilityto performthe Servicesas a resultof an eventof

I The Client may, by written notice of suspensionto the Consultants,suspendall


paymentsto the Consultants hereunderif the Consultantsfail to performany of their
bbligationsunderthis Conhact,includingthe carryingout of the Services,provided
(i) shallspecifythe natureof the failure,and (ii) shall

I (a) if the Client fails to pay any moniesdue to the Consultantspursuantto this
Contractand not subjectto disputepursuantto Clause8 within forty-five (45)
I days after receivingwritten notice from the Consultantsthat such paymentis
overdue;

I (b) if the Client is in materialbreachof its obligationspursuantto this Contract


and has not remediedthe samewithin forty-five (45) days (or such longer
period as the Consultantsmay have subsequentlyapproved in writing)

3. OBLIGATIONS OF THE CONSULTANTS
I 3.1 General

I 3.1.1. Standardof Performance

The Consultants shallperformthe Servicesandcarryout their obligationswith all due


I diligence, efficiency, and economy, in accordancewith generally accepted
professional techniquesand practices,and shallobservesoundmanagement practices,
and employ appropriateadvancedtechnologyand safe methods. The Consultants
t shallalwaysact,in respectof any matterrelatingto this Contractor to the Services,as
faithful advisersto the Client,and shallat all times supportand safeguard the Client's
or third parties.

The remunerationof the Consultantspursuantto Clause 6 shall constitutethe

or similar paymentin connectionwith activities pursuantto this Contract or to the

consultants,and agents of either of them similarly shall not receive any such

t 3.3 Confidentiality

eitherduringthe term or afterthe expirationof this Contract,discloseany proprietary

I 3.4 Liability of the Consultants

The Consultants are liablefor the consequence of errorsandomissionson their partor

t 6. PAYMENTS TO THE CONSULTANTS

6.1 CostEstimates,CeilingAmount
I (a) An estimateof the costof Servicespayablein foreignand local currenciesis
set forth in AppendicesD and E respectively.Exceptas may be otherwise
I agreedunder Sub-Clause2.5 and subjectto Sub-Clause6.1 (b), payments
under this Contract shall not exceedthe ceilings in foreign currency in
