21 ENABLE Opportunities Educational Assitance MOA
MEMORANDUM OF AGREEMENT
KNOW ALL MEN BY THESE PRESENTS:
This Memorandum of Agreement (“Agreement”) is made and entered into this ____ day of ___________ 2020, by and among:
UNILAB FOUNDATION, INC., a non-stock, non-profit organization duly organized and existing under Philippine laws, with office and postal address at No. 132 Pioneer Street,
Mandaluyong City, Philippines herein represented by its Executive Director, Ms. ELIZABETH C. ARISTORENAS hereinafter referred to as “ULF”;
- and –
PROJECT INCLUSION NETWORK INC., a non-stock, non-profit corporation duly organized and existing under the laws of the Philippines with address at No 132 LVP
Compound Pioneer St., Mandaluyong City, represented herein by its Executive Director, GRANT C. JAVIER, and its Trustee, SEDFREY M. CANDELARIA, hereinafter
referred to as “PIN”
- and –
[NAME OF EDUCATIONAL ASSISTANCE RECIPIENT], of legal age, Filipino, with address at [ADDRESS], hereinafter referred to as “EA RECIPIENT”
;
Witnesseth:
WHEREAS, ULF is a non-stock, non-profit organization whose purpose is to create an enabling environment for inclusive development through social innovations and impactful
programs that will
● improve the mental health and well-being of young Filipinos.
● nurture integrated STEM learners and innovators.
● improve the active participation of the youth in promoting good health and well-being of Filipinos.
WHEREAS ULF is implementing an ENABLE Opportunities program which aims to support the inclusion of Persons with Disability in the new normal of education, employment,
and community participation. The program includes an Education for Employment Track which provides Educational Assistance to qualified Students with Disability, and provides
Skills Development Scholarships to qualified Persons with Disability.
WHEREAS, PIN envisions a nation where Persons with Disability are able to realize their potential to actively participate in and productively contribute to society.
WHEREAS, PIN was chosen as an implementing partner of the ENABLE Opportunities Program, for its knowledge and expertise in disability inclusion.
WHEREAS, EA RECIPIENT is qualified for, and was selected as a recipient of the ENABLE Opportunities Program’s Education for Employment: Educational Assistance.
NOW, THEREFORE for and in consideration of the foregoing premises, ULF and PIN and EA RECIPIENT do hereby agree to and stipulate the following:
I. SCOPE OF THE AGREEMENT
As a qualified Educational Assistance recipient in ULF’s ENABLE Opportunities Program, ULF shall provide the EA RECIPIENT with monetary support to help ensure completion
of the school year, in light of the new normal of the COVID-19 pandemic. EA RECIPIENT will be monitored and evaluated by PIN.
II. TERM
Subject to the provisions for termination found elsewhere in this Agreement, the “Term” of this Agreement shall be for a period commencing from October 1, 2020 and shall
terminate on June 30, 2021. The Term of this Agreement may be extended provided that it shall be made in writing and signed by the Parties herein.
III. DUTIES AND OBLIGATIONS OF ULF
3.1 ULF shall provide the Educational Assistance as stipulated in Clause V hereof once recommended and approved by ULF and PIN.
3.2 Process and issue check directly to EA RECIPIENT within timeline stipulated in Clause V.
IV. DUTIES AND OBLIGATIONS OF PIN
4.1 PIN shall provide the necessary guidance and support for EA RECIPIENT;
4.2 PIN shall organize and implement a capacity-building program and peer support communities for the EA RECIPIENT, and other ENABLE Opportunities Program participants;
4.3 PIN shall regularly monitor and evaluate the educational status of the EA RECIPIENT.
V. OBLIGATIONS OF EA RECIPIENT
5.1 EA RECIPIENT shall comply with all the rules and requirements of the ENABLE Opportunities Education for Employment Educational Assistance Track, including, but not
limited to (a) Maintenance of passing grades for all subjects (no failing grades); (b) compliance to monitoring and evaluation procedures set by PIN; (c) Participation in at least 3
ENABLE Opportunities online activities; (d) Participation in ENABLE Opportunities peer support program;
5.2 EA RECIPIENT shall consent to the use of his/her name (or selected pseudonym) and profile by PIN in communication materials and activities in relation to the ENABLE
VIII. TERMINATION
8.1 In case of breach of this Agreement, the non-breaching party may terminate this Agreement by written notice of at least fifteen (15) days prior to the intended termination date to
the breaching party, without prejudice to all other remedies available to the non-breaching party.
8.2 All Parties agree that they shall exert earnest efforts to amicably settle any of their disputes or differences so as to preserve the continuity of this contractual arrangement.
IX. CONFIDENTIALITY
All information, data, reports, specifications, operations, organizations, plans, drawings, designs, and the like, given by any party pursuant to this Agreement, (hereinafter collectively
referred to as "Confidential Information") are to be maintained in strict confidence and used solely for the purpose for which they were supplied or prepared. Disclosure of such
Confidential Information to third parties shall be made only with prior written permission from the party who provided the Confidential Information. This undertaking shall survive the
termination or expiration of this Agreement.

X. MISCELLANEOUS PROVISIONS
10.1 No part of this Agreement shall be amended or modified, except by a written instrument signed by all the Parties.
10.2 All suits or actions arising out of or in relation to this Agreement shall exclusively be instituted in the appropriate Courts of Mandaluyong, Metro Manila, to the exclusion of all
other courts.
10.3. Should any provision of this Agreement be declared by the Court as null and void, the nullity shall not affect the validity of this transaction or any other provisions herein which
shall then be considered as valid and binding between the Parties herein.
10.4 The parties are each responsible for complying with their respective obligations under applicable data protection laws . Each party shall take steps necessary to comply with the
Data Privacy Act of 2012 and its implementing rules and regulations consistent with the terms of this Agreement.
XI. REPRESENTATION
IN WITNESS WHEREOF, the parties have signed this Agreement on the date and place first above written.
