● INTRODUCTION-
Torrent Power is one of the leading brands in the Indian power sector,
promoted by Rs.21000 crore. It is an integrated power utility and is one of the largest
private sector players in India having interests in power generation, transmission,
distribution and manufacturing and supply of power cables. Torrent ranks amongst
the best run power utilities in the country with highly efficient generation assets. It
has a portfolio of coal based, gas based and renewable power plants with an
aggregate generation capacity of 3879 MW. The gas based plants of the Company
possess greater environmental value with state of the art technology and in-built
efficiency enhancing design features.The company distributes power to over 3.65
million customers annually in its distribution areas of Ahmedabad, Gandhinagar,
Surat, Dahej SEZ and Dholera SIR in Gujarat; Bhiwandi, Shil, Mumbra and Kalwa
areas of Mumbai Metropolitan Region in Maharashtra; and Agra in Uttar
Pradesh.Annually Torrent Power distributes over 10 billion units of power in cities of
Ahmedabad, Gandhinagar and Surat. It has a base of over 1.9 million customers in
these cities.The Company offers highly personalized and innovative customer
services that incorporate various convenience features.Torrent Power operates 249
km and 105 km 400kV double circuit transmission lines implemented by it for
evacuating power generated at SUGEN (the 1147.5 MW gas based power plant near
Surat in South Gujarat) and DGEN (the 1200 MW combined cycle gas based Power
Plant at Dahej SEZ) plant to various off-take centres. The cables unit of the company
manufactures Power & Control Cables and is one of the market leaders in HT Power
Cable segment with a manufacturing capability of up to 132 kV XLPE Cables.

● HISTORY-
➢April 29 2004- Incorporated as a private limited company with the name Torrent Power Trading Pvt
Ltd.
➢ January 25 2006-the name of the company was changed to Torrent Power Private Ltd.
➢ February 8 2006- the company was converted into a public limited company and the name was
changed to Torrent Power Ltd.
➢ July 28 2006- the company divested their stake partially in AEC Cements & Constructions Ltd a
non-material and non-listed subsidiary and hence AEC Cements & Constructions Ltd ceased to be
a subsidiary company.
➢ October 19 2006-Torrent Power Grid Ltd (erstwhile Torrent Power Transmission Pvt Ltd) a joint
venture company with Power Grid Corporation of India Ltd became a subsidiary of the company.
➢ December 20 2006- the company signed a distribution franchise agreement with Maharashtra
State Electricity Distribution Company Ltd for the Bhiwandi circle in Maharashtra for a period of
ten years.
➢ January 26 2007-the company commenced the Distribution Franchise for Bhiwandi circle of
Maharashtra State Electricity Distribution Company Ltd catering to 1.4 lakh customers with an
unrestricted demand of about 700 MW.
➢ May 2007-the company signed a memorandum of understanding (MoU) with Gujarat Power
Corporation for setting up over 1000-MW coal based power project at Pipavav Amreli Dist in
Gujarat
➢ September 25 2007-the company formed a subsidiary company namely Torrent Pipavav
Generation Ltd for the development of a coal-based thermal project.
➢ September 2008- the company formed Torrent Power Bhiwandi Ltd (formerly known as Torrent
Power Distribution Services Ltd) as a subsidiary company for providing infrastructural and
manpower support for Bhiwandi operations of the company.

➢ October 2008- the company entered into a Power Purchase Agreement with Gujarat Paguthan
Energy Corporation Pvt Ltd for supply of 49.6 MW wind power.
➢ During 2009-10-the company signed the shareholders' agreement with Gujarat Power Corporation
Ltd for implementation of the 1000+ MW Coal-Based Power Project at Pipavav Dist. Amreli
Gujarat.
➢ April 1 2010-the Company commenced distribution franchisee operations at Agra
➢ During 2010-11-the 382.5 MW UNOSUGEN brown field expansion to the SUGEN Power Plant
received Mega Power Project Status from the Ministry of Power, environmental clearance from
MoEF and connectivity approval from Central Transmission Utility.
➢ March 22 2012- Torrent Power successfully commissioned its first 49.6 MW Wind Power Plant at
Lalpur District Jamnagar Gujarat.
➢ During 2013-14- DGEN (the 1200 MW combined cycle gas based Power Plant at Dahej SEZ) and
UNOSUGEN (the brown field expansion to SUGEN Power Plant) were successfully registered
with the United Nations Framework Convention on Climate Change under the Clean
Development Mechanism.
➢ October 1 2015-Torrent Energy Limited and Torrent Cables Limited amalgamated with Torrent
Power Limited
➢ During 2015-16- Torrent Power inked an agreement for regasification and storage capacity with
Petronet LNG Limited up to 1 MMTPA for 20 years starting from April 2017.
➢ February 14 2018-Torrent Power Limited entered into a contract with Siemens Gamesa
Renewable Power Private Limited for setting up of wind power projects upto the aggregate
capacity of 120 MW.
➢ September 26 2018- the company participated in the competitive bidding process (by way of E-
reverse auction process) conducted by Solar Energy Corporation of India Ltd. (SECI) and
emerged as one of the winning bidders for the capacity of 115 MW project.

II.PRODUCTION MANAGEMENT
● INTRODUCTION-
● GENERATION OF ELECTRICITY-
➢ What is Electricity Generation?
Electricity generation is the process of generating electric power from sources of
primary energy. For utilities in the electric power industry, it is the stage prior to its
delivery (transmission, distribution, etc.) to end users or its storage.Electricity is not
freely available in nature, so it must be "produced" . Production is carried out in power
stations (also called "power plants"). Electricity is most often generated at a power plant
by electromechanical generators, primarily driven by heat engines fueled by combustion
or nuclear fission but also by other means such as the kinetic energy of flowing water
and wind. Other energy sources include solar photovoltaics and geothermal power.

based plant has is combined cycle Power Plant running with natural gas having a single shaft
configuration and Siemens F-class (4000F) Gas Turbines coupled with Siemens Steam Turbine
and Doosan HRSG. The UNOSUGEN plant is connected to the Natural Gas trunk pipeline of
GSPL with access to all major sources of NG and RLNG. The power is taken from the 400 KV
Double Circuit Line to PGCIL's Pirana Substation in Ahmedabad, through Torrent Power Grid
Limited, which is a joint venture with PGCIL. It also has 3x220 KV dedicated transmission lines
in order to cater the power requirements of the Surat distribution area. It also has 220 KV line to
the Kim Substation of GETCO. The major part of the power produced is supplied under long-
term PPA to Ahmedabad & Surat Discoms of TPL. The capacity that is left,which is spare
capacity, is sold to Merchant power on demand. UNOSUGEN is Certified with ISO 9001:2015,
ISO 14001:2015, ISO 45001:2018, ISO 50001:2018, ISO 27001:2013, ISO-55001:2014, 5S
certification by Union of Japanese Scientist and Engineers (JUSE).
The 786.5 MW Renewable plant consists of two renewable plants: Wind - 648.5
MW and Solar - 138 MW.
➢ The Wind Renewable plants are:-
● TRANSMISSION OF ELECTRICITY-

Electric power transmission is the bulk movement of electrical energy from a
generating site, such as a power plant, to an electrical substation. The interconnected
lines which facilitate this movement are known as a transmission network. This is
distinct from the local wiring between high-voltage substations and customers, which
is typically referred to as electric power distribution. The combined transmission and
distribution network is part of electricity delivery, known as
the electrical grid.
● DISTRIBUTION OF ELECTRICITY-
● CABLES-
Torrent Cables Limited has become Torrent Power Limited with effect from 1st
October, 2015. The ISO 9001:2008, ISO 14001:2004, OHSAS 18001:2007
accredited Torrent Cables (Unit of Torrent Power Limited) are winning against all
odds. It was acquired from Mahindra Electricals Ltd in 1989. Torrent Cables has a
completely integrated manufacturing facility located at Nadiad about 40 kms from
Ahmedabad. Torrent Cables manufactures large varieties of cables upto 132kv, which
include XLPE insulated cables, Corrugated Cables; Elastomer insulated cables and
PVC insulated cables. Torrent Cables products meet Indian, British and other
International standards. They are regularly tested at reputed independent test
laboratories like Central Power Research Institute – Bangalore; National House –
Mumbai; Electrical Research Development Association – Baroda. Torrent Cables
also manufactures cables to suit a client’s specific needs. The Cables Unit
manufactures Power & Control Cables and is one of the market leaders in the HT
Power Cable segment with a manufacturing capability of up to 132 kV XLPE Cables.
Torrent Cables has been an established source of cables since 1989. Torrent cables is

the first company in the cable industry to get ISO 9001 : 2000 certification. Torrent
has a track record of maintaining delivery commitments and offering quality
products. The company is among the top and one of the very few profitable power
cable companies in India today with a capability to manufacture EHV, HT-XLPE,
LT-XLPE/PVC Power Cables and Control Cables. They also have an in-house
facility to cater to all Routine, Type, Acceptance and Special Tests with a very well
equipped R&D centre, which has made it possible to develop new products, new
compounds, analyse material & products. Torrent is committed to maintaining high
quality standards; hence, all EHV and HT XLPE Cables (both single & multi-core) of
different types and sizes get regularly tested at CPRI and at ERDA laboratories. The
products of the company are BIS certified and generally comply with IEC standards.
● PLANT LAYOUT-
Plant layout is the overall arrangement of the production process, store-room, stock-room,
tool-room, material handling equipment, aisles, racks and substores, employee services and
all other accessories required for facilitation of the production in the factory.
It encompasses production and service facilities and provides for the most effective
utilization of the men, materials and machine‟ constituting the process. It is a master
blueprint for coordinating all operations performed inside the factory.
● WASTE MANAGEMENT-

Torrent Power enhances the circulation of the system based on the ‘Reduce,
Reuse, Recycle’ principle. They have established processes to treat the generated
waste and make every effort to minimise the quantity of waste sent to the landfill.
The company recycles 100% of the fly ash generated from the coal-based plant. The
distribution units undertake oil filtration of power and distribution transformers for
reutilisation of oil. Wet waste is composted and used as manure. More than 90% of
the PVC scrap is recycled and reused at the cable unit. Sludge recovered from raw
water is compacted through the Chamber Filter Press and is used for landfill.
Hazardous waste such as used oils, batteries, e-wastes, biomedical wastes, among
others are disposed of only through SPCB authorised Treatment, Storage and
Disposal Facilities (TSDF) and recyclers. Similarly, plastic and paper waste are
handed over to authorised recyclers. They have substituted materials to decrease the
amount and kind of waste generated. For example, use steel cable drums instead of
wooden ones.

III.MARKETING MANAGEMENT
● INTRODUCTION-

Price points of Torrent Power are high as it supplies to most industrial areas which
use electricity for commercial purposes.Commercials have to pay a higher price for
electricity as there are higher tax norms on it. Torrent Power Ltd. is one of the
licensed distributors under the UJALA scheme. The UJALA scheme entails
distribution and sale of LED bulbs at a discounted price. This affects the pricing of
these bulbs in terms of subsidy provided. They also offer an EMI scheme to make
payments for poor sections of the society. The tariffs in 2016-17 were the same with
a Prompt Payment Discount facility to customers. As Coal India Ltd. one of the
leading suppliers of coal, increased coal processing it is reflected in the increasing
prices of power provided by Torrent Power Ltd.
Torrent Power has three million customers in cities like Ahmedabad, Surat, Dahej
SEZ, Gandhinagar all in Gujarat, Bhiwandi from Maharashtra and Agra in Uttar
Pradesh. All these cities are major industrial or commercial centres. Therefore, this
company is mostly functioning in Gujarat and Uttar Pradesh. The distribution
channels of Torrent Power are one of its weaknesses as unlike its competitors it does
not have a wide presence across all states in India and globally. The absence of
ownership of raw material sources also puts Torrent Power at the disadvantage.
Torrent Power is a B2B company so its most promotional activity is targeted at its
customers and not at a mass level. Torrent Power has used information technology to
make websites very accessible and easy. Bill payment, energy calculator, tariff, new
connection, etc. They have made it very user-friendly for customers. In B2B the
transaction success is heavily dependent on relationship building and management.
Torrent Power Ltd. has garnered love and support in Gujarat due to its help in
rehabilitation post-earthquake in 2001, it has also provided electricity to slums,
invested in health and education as well. Torrent Power Ltd. funds the cardiology
wing of U.N. Mehta Hospital in Gujrat.
Torrent Power has a broad network of electricity distributing hubs across Gujarat.
In Uttar Pradesh, the agreement to distribute electricity in Agra and Kanpur was
cancelled as it was in direct competition with the state electricity department. Torrent
Power has also invested in unconventional forms of power like wind and solar power.

At Torrent Power, seven thousand two hundred employees are put through a
rigorous training module. They also have regular workshops to help the employees
stay adept to the changing skill requirements. To ensure employee engagement,
Torrent Powers also has annual celebrations. They also have recreation facilities. As
Torrent Powers is an energy producing company they have a systematic work culture.

Number of Employees shows the total number of permanent full time and part
time employees working for a given company and processed through its payroll.
Number of employees at Torrent Power Ltd. are 7803.
● REMUNERATION POLICY.-
The Remuneration Policy of Torrent Power provides the framework and key
guiding principles to be followed in determination of remuneration of Directors and
other employees (including Key Managerial Personnel (KMP) and those in senior
management positions), but excluding certain categories of employees indicated
herein after. This Policy is applicable to all categories of employees except Staff
Cadre and employees governed by Employee Union Agreements. The key objectives
of this Policy are as under:
a) To ensure that employee remuneration is in alignment with business strategy &
objectives, organisation values and long-term interests of the organisation.
b) To ensure objectivity, fairness and transparency in determination of employee
remuneration.
c) To ensure that the level and composition of remuneration is reasonable and
sufficient to attract, retain and motivate a high performance workforce and is in
compliance with all applicable laws.
-Employee remuneration may have any one or more of the following elements.
a) Fixed Pay, which includes Basic Salary, House Rent Allowance, Car Allowance
or Conveyance Allowance, Special Allowances (for specific purposes), Company’s
Contribution to Provident Fund & Superannuation Fund and Gratuity.

b) Variable Pay, which may be in form of Performance-based Pay (upto 20% of total
remuneration), Retention Pay (determined case-by-case basis), One-time Reward (in
addition to agreed remuneration) and Commission based on profits (for Directors on
the Board).
c) Other benefits, comprising Hospitalisation Insurance & Personal Accident
Insurance, both with defined benefits provided to all employees; annual leave and
accumulation / encashment thereof; provision of Company maintained Car; and
Directors & Officers Liability Insurance with defined benefits.

● LEADERSHIP DEVELOPMENT-
Training sessions are organised by the HR team, customised as per the needs of
the employees at the managerial positions. These sessions are based on a pragmatic
approach with high applicability in the employee's day-to-day work. The results of
these programmes are monitored. Selected employees are promoted to higher levels
and further given need-based training sessions to enhance their managerial and
administrative skills.
External training sessions are conducted for developing specific competencies.
Internal promotions, transfers and job rotation have also been an essential factor in
helping budding talents to become future leaders by experiencing different functions.

● INTRODUCTION.-
Finance may be defined as the art and science of managing money. • It includes
financial service and financial instruments. • Finance function is the procurement of
funds and their effective utilization in business concerns.Financial Management
means planning, organizing, directing and controlling the financial activities such as
procurement and utilization of funds of the enterprise. It means applying general
management principles to financial resources of the enterprise. Financial
management refers to the functions involved in the management of financial
resources. These functions are fund procurement, working capital management,
capital budgeting, and capital structure designing of an organization.Financial
management is that area of business management devoted to a judicious use of
capital and a careful selection of the source of capital in order to enable a spending
unit to move in the direction of reaching the goals. Financial Management is
concerned with investment decisions, dividend decisions and financing decisions.

➢ The company’s current liabilities during FY21 stood at Rs 4,623.05 crore as compared
to Rs 4581.50 crore in FY20, thereby witnessing an increase of 0.91%.
➢ Long term borrowings stood at Rs 6071.12 crore as compared to Rs 7296.28 crore, a
decline of 17%.
➢ Current assets decreased to -4.41% and stood at Rs 4333.52 crore, while fixed assets
rose 0.37% and stood at Rs 16419.62 crore in FY21.
➢ Overall, the total assets and liabilities for FY21 stood at 22778.01 crore as against
22879.63 crore during FY20, thereby witnessing a decline of -0.44%.

VI. CORPORATE SOCIAL RESPONSIBILITY-
Torrent power is committed to create long-term social and economic value. Torrent
power’s commitment is aligned with their strategy to drive sustainable growth for all
of their stakeholders. Torrent Power's thrust areas for carrying out CSR initiatives are
Community Healthcare, Sanitation & Hygiene, Education & Knowledge
Enhancement and Social Care & Concern.
During the year, the Company incurred CSR expenditure of `33.74 Crore, which is
2.50% of the average net profit of the past three financial years as against statutory
requirement of 2%. Additionally, `1.69 Crore was utilised by the CSR implementing
agency out of the surplus arising from funds invested temporarily pending the
expenditure. This has resulted in total CSR expenditure of `35.43 Crore for the year.
The Board in its meeting held on May 20, 2021 revised the existing CSR Policy of
the Company to harmonize with the amendments carried out by the Ministry of
Corporate Affairs in Section 135 of the Act read with the Companies (Corporate
Social Responsibility Policy) Rules, 2014.

In 2011, Shiksha setu was initiated with an aim to provide quality learning
to students and improve age appropriate skills at the level of primary
education. This is a unique initiative to enhance quality education among
underprivileged children at 21 government and trust-sponsored schools by
bridging the gaps between teaching and learning processes at schools using
modern technological methods. This initiative was implemented across schools
in Banaskantha, Mehsana, Surat districts and urban slums in Ahmedabad. As a
part of this initiative, the government teachers were trained to teach using
innovative and interactive pedagogies so that students gain better clarity while
learning. In Phase1, total of 15 computer labs were established and more than
230 teachers and 6,500 students were reached through MindSpark, an e-
learning programme and teacher training programme and in Phase2, additional
facilities, such as smart digital classrooms, skill based adaptive self learning
for five subjects through tablets, enhancing effective teaching & learning
methodologies and soft skills of teachers and sensitisation of parents towards
education were implemented. . During FY 2020-21, practice assignments were
prepared for students containing questions and activities based on skills of

previous standards and current curriculum. Also, various virtual workshops on
important concepts of Maths, Science and Computer as per revised curriculum
were organised for teachers of 6th to 8th standard, in which 78+ teachers from
36 schools of Shiksha Setu / Chappi / Memadpur / other schools (around
Project schools) participated and benefitted.
6) DONATIONS-
During the pandemic, the company donated a total of Rs. 26.55 crore
towards various social causes which are:
➔ 10.05 Crore to various organisations engaged in activities related to healthcare,
education, arts & culture, science, relief to disaster victims; socioeconomic
development including de-addiction, skill development, self-help groups,
upliftment of women, integrated development of tribes, protection of consumer
rights, building of toilets etc.

➔ 11.5 Crore to various charitable organisations and the Chief Minister’s Relief
Fund to fight the effects of COVID -19 pandemic and its fallout on poorer
sections of the society.
➔ 5 Crore to the Prime Minister’s Citizen Assistance and Relief in Emergency
Situations Fund (PM CARES Fund).

VII. FUTURE PLANS OF THE COMPANY-
Torrent Power has recorded a significant capex of about Rs 1.9 billion for the
Ahmedabad and Surat distribution areas for 2019-20 and 2020-21. The key focus areas
include IT implementation, meter management, advanced metering infrastructure and extra
high voltage network automation. The company has also planned a capex of Rs 5 billion over
a period of five years for developing the distribution network in the Dholera SIR. Further, it
has planned a capital expenditure of Rs 3 billion for SMK, of which Rs 1.5 billion is
expected to be invested in the first five years. On the generation front, wind power projects
aggregating over 840 MW are under development in Gujarat and Maharashtra. These
projects were secured in various national and state auctions conducted by Solar Energy
Corporation of India and Maharashtra State Electricity Distribution Company Limited. Also,
the company is going to set up 300 MW solar plant generation in Gujarat.
VIII. CONCLUSION-
✔ Torrent power has a strong presence in Maharashtra, Gujarat and Uttar Pradesh.
✔ The opportunities are ample in the market to grow despite several threats.
✔ The company is trying to give maximum satisfaction to its consumers with its new
innovation and also by setting up more and more power plants.
✔ Despite so many regional as well as competitors in the market, the position of Torrent
Power is not going to be affected that much. But in some cases the more competitive
environments provide a better opportunity to grow.
✔ Also, the company invests a lot in the corporate social responsibility projects.
✔ The generation capacity of all the power plants is very good and the company is
growing every year.
