A RESOLUTION APPROVING THE CANCELLATION OR POSTPONEMENT OF THE CONDUCT

OF THE GENERAL ASSEMBLY OF THE SANGGUNIANG PANLUNGSOD COMMUNITY
MULTI-PURPOSE COOPERATIVE (SPCMPC) DURING THE PERIOD COVERED BY THE
CURRENT ECQ/MECQ DECLARATION OF THE NATIONAL GOVERNEMNT, OR WHERE THE
RESPECTIVE LOCAL GOVERNMENT UNITS PROHIBIT MASS GATHERINGS

WHEREAS, General Manager Mary Abigail T. Borromeo informed the Members of the Board
on the ADVISORY she received recently from the Cooperative Development Authority stating that all
cooperatives who have scheduled its general assembly meetings during the period covered by the current
ECQ/MECQ declaration on the National Government, or where its respective local government units
prohibit mass gatherings, may cancel or postponed the same with the guidelines stated therein;

WHEREAS, the Board in its previous board meetings acted on the recommendation of the
General Manager on the conduct of general assembly where adjacent were made just to comply with the
rules for the conduct of general assembly, the plan on conducting a face to face sequential general
assembly but due to local regulations of mass gathering and considering the precautions to ensure social
distancing to the extent possible within the scope of the preventative measures against the spreading of
COVID-19, and providing an RTPCR for the participants and the management, the Board finds it
difficult to comply in this regard since RTPCR is not part of the budget for the conduct of general
assembly;

WHEREAS, that the Cooperative has considered to conduct an online general assembly but
considering that not all members of the cooperative have access to the internet, not all members possess
android phones, and most of the members are from far flung areas thus, there is the hindrance of
availability of internet connection, in which the result on the number of respondents will affect the
required number of members to constitute a quorum, the Board removed the idea, and that the
cooperative do not want to sacrifice the safety of the individual members;

WHEREAS, due to the confirmation of the Department of Health (DOH) that communities in the
Philippines detected more transmissible Covid-19 Delta Variant prompting lockdowns, Her Honor, the
City Mayor under Executive Order No. BC 674-2021 providing Guidelines for its Implementation as of
July 30, 2021, whereas under Section 16 of Republic Act 7160, otherwise known as the Local
government Code of 1991 provides that the Local Government Units shall ensure and within promote
health and safety and preserve the comfort and convenience of their inhabitants there respective
territorial jurisdiction; whereas Section 4 of Ordinance 532, series of 2020, otherwise known as
“COVID-19 Emergency Ordinance of the City of Zamboanga”, provides, among others, that the City
Mayor is empowered to perform all powers and may issue executive order in pursuit of combatting
COVID-19; the City of Zamboanga is declared under General Community Quarantine, that under this
above-mentioned Executive Order, General Community Quarantine refers to the implementation of
temporary measures limiting movement and transportation, regulation of operating industries and
presence of uniformed personnel to enforce community quarantine protocols, as per NIAFF declaration
on July 28, 2021, Zamboanga City will continue to be placed on GCQ until August 31, 2021;

NOW THEREFORE, for and in consideration of the foregoing, the Members of the Board
hereby RESOLVED, on motion by BOD Mayer E. Delgado, duly seconded by BOD Maria Fe
Mendoza-Mangila, approved the cancellation or postponement of the conduct of its general assembly,
for the reasons stated above, and that the incumbent officers shall serve on a hold-over capacity,
notwithstanding any provisions in the by-laws to the contrary, until the conduct of the next regular GA
meeting and election of officers;

RESOLVED FINALLY, To transmit this resolution Under Secretary Joseph B. Encabo,

Chairperson, Cooperative Development Authority, Quezon City, thru the Regional Director,
Cooperative Development Authority, Region 9, Pagadian, and thru the SPCMPC General Manager, for
their information and appropriate action.
