Memorandum of Understanding

This MoU is made and entered as on / /2013 between Strive India Education Foundation, a
Section 25 Company registered under the Companies Act of 1956, having its registered office at 501,
Tower No.5, Planet Godrej, Keshavrao Khade Marg, Byculla (West), Mumbai 400011, Maharashtra,
India.

AND

Ananya Manpower Solutions Pvt. Ltd.

2nd Floor, #202 Unitech City Center, M.G. Road, Panaji, Goa - 403001

WHEREAS Strive India Education Foundation runs an Institution in the name of Universal Business
School offering technical education in Management.

AND WHEREAS Strive India Education Foundation provides success based fee for supporting its
marketing activities to pre-identified education counsellors of repute.

AND whereas Ananya Manpower Solutions Pvt. Ltd. provides the following services:

1) Enrolment of students for BBA/MBA education at Universal Business School, Karjat

2) Supports Universal Business School’s endeavour to project itself as as finishing school for under
graduate and post graduate courses in business administration and

3) Placement of students who have completed their BBA/MBA courses at Universal Business
School, Karjat

NOW THIS MOU WITNESSES AND THE PARTIES HERETO AGREE AS FOLLOWS:

I. TENURE: This agreement shall have deemed to commence w.e.f. / /2013 and shall be
enforced till 31/12/2014

II. TERM AND CONDITIONS:

a. Strive India Education Foundation will pay all inclusive consolidated amount of
Rs. 50,000/- (Rupees Fifty Thousand only) for every student who is selected, joins
Universal Business School and pays the full year fees without any cancellation request.
 b. The amount payable to you is subject to TDS as may be applicable.

c. Please note that the student must indicate your name in the application form under
“References section” for you to be eligible for counting student as identified and
counselled by you.

d. The total amount due to you would be paid once the academic session is started and
student has paid the full fee without any cancellation request.

e. Please indicate on which name the payment has to be made

f. For the services rendered by Ananya Manpower Solutions Pvt. Ltd. in getting under
graduate and post graduate students to be admitted at Universal Business School,
Karjat for upgrading their skills and preparing them for interviews and supporting their
efforts to find internships/full-time assignments, they will get a fee of Rs. 5,000/- per
student. The fees chargeable by Universal Business School, Karjat to these students will
be Rs. 30,000/- p.m. as academic fees and Rs. 17,500/- p.m. as hostel/meals expenses.
It is expressly clarified that the finishing school batches will consist of minimum 30 BBA
or MBA students and will spend 3 months at Universal Business School, Karjat

g. It is expressly agreed between the parties that Universal Business School, Karat will not
be required to pay any service charges to Ananya Manpower Solutions Pvt. Ltd. for
the placement of their students either as Interns or in full-time assignments with
corporates.
