DEED OF ASSIGNMENT AND TRANSFER WITH WAIVER OF RIGHTS

KNOW ALL MEN BY THESE PRESENTS:

This Deed of Sale and Transfer with Waiver of Rights was made and executed by and between:

JAMES CARLO ARELLANO, of legal age, Filipino, and resident of Sitio Manggahan,
Daraitan, Tanay, Rizal, hereinafter referred to as the FIRST PARTY.

EMMANUEL JOHN MANUEL, of legal age, married Filipino, and resident of D and G
University Suites Moret St, Brgy 465 Sampaloc, Manila / ANTHONY DELANTAR of legal
age, married and a resident of Purok 2 Zone 1 Lower Sakura, Mahabang Parang, Angono, Rizal /
CRIS E. RARAS, of legal age, married and a resident of Purok 2 Zone 1 Lower Sakura,
Mahabang Parang, Angono, Rizal hereinafter referred to as the "SECOND PARTY" .

WITNESSETH: That-

WHEREAS, the FIRST PARTY is the beneficiary of a parcel of land located at Daraitan, Tanay,
Rizal with an area of 12 hectares more or less;

WHEREAS, the FIRST PARTY has agreed to transfer and convey the said rights to claim any/or
sale conveyed to the SECOND PARTY over the parcel of land including all crops, trees and
plants and existing improvements thereof and both had a mutual agreement;

NOW, THEREFORE, for and in consideration of the sum of about THREE MILLION
(Php3,000,000.00) PESOS, Philippine Currency, will be hand paid by the SECOND PARTY to
the FIRST PARTY. An earnest amount of Php500,000.00 shall be initially given by the
SECOND PARTY to the FIRST PARTY on June 3, 2022. The total of Php 500,000.00 will be
the first/initial payment, followed by another Php500,000.00 on June 16, 2022, and another
Php500,000.00 on June 23, 2022. The balance of Php1,500,000.00 will be paid in 15 equal
monthly payments of Php100,000.00 starting on July 30, 2022, until October 30, 2023, with
post-dated checks.

This agreement/waiver is considered an Absolute Sale agreement between the FIRST AND
SECOND PARTIES. The FIRST PARTY do hereby SELLS, TRANSFERS, and CONVEYS by
way of DEED OF ASSIGNMENT AND TRANSFER WITH WAIVER OF RIGHTS FOR ANY
CLAIMS FOR SALE/TRANSACTIONS unto said SECOND PARTY, his heirs, aforementioned
parcel of land, free from all liens and encumbrances of whatever nature;

That the herein SECOND PARTY do hereby accept this DEED and shall assume any and all
responsibilities and liabilities that may arise in connection with the execution of this DEED over
the said parcel of land.

The FIRST PARTY by these presents warrants peaceful possession and ownership of the above-
described property subject of this sale in favor of the SECOND PARTY. The FIRST PARTY
further binds to defend the right of the SECOND PARTY, its assigns, successors, and nominees,
against any and all claims whatsoever, shall render said SECOND PARTY free and harmless
from any suit whatsoever arising therefrom.

It is further agreed that the SECOND PARTY shall assume possession of the property
immediately upon the delivery of the initial payment of Php 680,000.00.

KNOW ALL BY MEN BY THESE PRESENTS:

I, JAMES CARLO ARELLANO, legal age, with residence address at Sitio Manggahan,
Daraitan, Tanay, Rizal, hereby acknowledged having received from EMMANUEL JOHN
MANUEL, ANTHONY DELANTAR & CRIS E. RARAS, the amount of __________, as partial
payment of the total amount of P3,000,000.00 for a parcel of land located at Daraitan, Tanay,
Rizal with an area of 12 hectares more or less.
