Consultant’s General Acknowledgment and Undertaking

Prior to commencing any Project within the jurisdiction of the Dubai Development Authority
(“Authority”), the Consultant hereby accepts all responsibilities and liabilities as outlined herein.

a. The Consultant shall comply with all the laws, rules and regulations and any other related regulations
of the Authority (including any local or federal UAE laws as applicable) as may be implemented from
time to time.

b. The Consultant acknowledges that the gross floor area (“GFA”) as indicated in the Site Plan may
increase, vary or change at any stage during the period from the Design Stage up to the Completion
Stage. Thus, the Consultant shall act in accordance with the standard guidelines, rules and
regulations of the Authority in calculating the GFA of the Project and shall endeavor to submit with
the Authority the genuine and unaltered GFA calculated. Consequently, in the event of any
knowledge of any excess, increase or additional of the GFA, the Consultant shall voluntarily, willfully
and without any objection or delay notify in writing the Authority. In the event of breach of the
above mentioned, the Consultant undertakes to take full responsibility and liabilities as may
sanctioned or imposed by the Authority.

c. Review and approve Project Health, Safety and Environment Plan (“Project HSE Plan”) to ensure
that, the Project HSE plan is in line with requirements of the Authority

d. Ensure implementation of approved Project HSE Plan as a minimum requirement at construction

Project sites to comply with Authority, Local and Federal legal and regulatory requirements to
prevent accidents.

e. The Consultant shall ensure that all sub-Consultants hired by him/her comply with the terms of this
document as if they were a signatory hereto and the Consultant hereby indemnifies the Authority
for any actions of the sub-Consultant.

f. Any dispute that may arise in relation to the Project located within the Authority’s jurisdiction, the
Consultant acknowledges full responsibility and undertakes that any or whatever amounts or any
issues being subject of any proceedings shall be binding among the Consultant without comprising,
implicating and incriminating the Authority. The Authority is not an adjudication body for any
dispute; instead it is an independent regulatory body with full, independent and sovereign Authority.

g. This document together with the laws, rules and regulations of the Authority (and any applicable
laws and regulations of the UAE) governs the construction operation of the Consultant on the
Project. The Authority in the exercise of its administrative power shall enforce all the remedies
available including eviction of the Consultant or revocation of the Consultant’s permit in the event
of any breach of the terms of this document and any laws, rules and regulations of the Authority (or
the UAE)

h. The Consultant hereby waives his right or any other applicable rights to contest this document and
agrees not to make any further claims of any nature relative to Authority’s issuance of permit,
approvals, consents or submissions.
