CONTRACT OF LEASE

KNOW ALL MEN BY THESE PRESENT:

This AGREEEMENT is made and entered into by and between:

CLARYS ANN JUDAINI ABDULLAH, represented by ELVISON


QUE JUDAINI, of legal age, married, Filipino, and a resident of 29-I,
Baliwasan Grande, Zamboanga City, Philippines, herein after referred to as
the LESSOR;

-And-

OCEAN BROTHERS INT’L TRADE CORPORATION, duly


oraganized and existing under the Philippine Laws with Company
Registered No. CS201819875, and principal address at Door 3, Eleuterio Sr.
Drive, Kalubihan, Marigondon, Lapu-Lapu City (OPON), Cebu City,
Philippines, represented by ABDO FRANCIS, of legal age and a resident
of the Corporation’s address, herein after referred to as LESSEE;

WITNESSETH

That the LESSOR hereby leases unto the LESSEE and the latter
accepts from the former, one (1) unit of warehouse located at 29-I,
Baliwasan Grande, Zamboanga City, under the following terms and
conditions:

1. The term of this lease is for Thirty-Six (36) months or Three (3)
years to start on ______________ to _________________
and shall be renewable upon mutual agreement of the parties;

2. The monthly rental shall be TWELVE THOUSAND PESOS


(Php12,000.00), Philippine Currency, excluding expenses for
repair and maintenance or taxes, if any, which must be paid by
the LESSEE every 15th day of the month, and it is expressly
agreed and understood that the payment of the rental herein
stipulated shall be made without the necessity of an express
demand and without delay on any ground whatsoever;

3. Upon execution of this contract or occupation of the premises,


whichever comes first, the LESSEE agrees to pay the amount of
TWELVE THOUSAND PESOS (Php12,000.00) for ONE (1)
months advance and TWELVE THOUSAND PESOS
(Php12,000.00) for ONE (1) month deposit;

4. It is expressly agreed by the parties that the LESSOR shall pay the
electric and water bills of the leased premises up to TWO

THOUSAND PESOS only. The excess of the said amount, if any,
shall be paid by the lessor during the duration of this contract;

5. If the LESSEE shall at any time fail or neglect to perform or


comply with any of the condition, this lease contract shall become
automatically terminated and cancelled and the lease premises
shall be vacated peacefully by the LESSEE FOR THE LESSOR to
hold and enjoy. And upon such cancellation of the contract, the
LESSEE shall grant to the LESSOR the right to enter and take
possession of the leased premises. Furthermore, the LESSOR shall
have the right to collect all the accrued rents;

6. The LESSEE shall not sublease the premises hereby leased or any
part of the leased premises;

7. It is expressly agreed by the parties that when mezzanine floor


will be built on the leased premises at the Lessor’s expenses in
advance, the cost of this improvement will be chargeable on the
Lessor’s account to be deducted from the monthly rental which is
SIX THOUSAND PESOS (Php6,000.00) until the same shall be
fully paid;

8. The lessee is also authorized to construct an aquarium and water


pool, and to install machineries and pipes at his/her own cost.
Thereafter, the lessee has the right to remove of whatever he/she
constructed or installed upon the expiration of the contract;

9. The LESSEE shall comply with all sanitary rules and safety
regulations which may be promulgated by the LESSOR from time
and shall keep the premises in clean and sanitary condition and
dispose all rubbish and waste only through the means and places
indicated by the LESSOR;

IN WITNESS WHEREOF, the parties hereto set their hands this 8th
day of August 2019 at Zamboanga City, Philippines.

appeared to me ELVISON QUE JUDAINI, lessor’s representative, and exhibited his

FRANCIS who also presented his valid ID No. ___________ issued on _________ at
_________________ representing to be the Authorized Representative of OCEAN
BROTHERS INT’L TRADE CORPORATION, known to me to be the same person who
executed the foregoing instrument for, and in behalf of the said corporation, and he
acknowledged to me that the same is the corporate act and deed of the said
Corporation; and that he is duly authorized to sign the same consisting of three (3)
pages including this page where this acknowledgement is written; and they further
acknowledged to me that the same is their own free and voluntary act and deed.

CONTRACT OF LEASE

This AGREEEMENT is made and entered into by and between:

AGNES O. BERNARDO, of legal age, single, Filipino, and a resident of 41 Crispin St., Tetuan,
Zamboanga City, herein after referred to as the LESSOR;

-and-

TIONGGUAN A. KOH, of legal age, single, Filipino and a resident of Tugbungan, Zamboanga City,
herein after referred to as LESSEE;

WITHNESSETH

That the LESSOR hereby leases unto the LESSEE and the latter accepts from the former,
one (1) unit commercial building located at Tetuan, Zamboanga City under the following terms
and conditions:

10. The term of this lease is for twelve (12) months to start on FEBRUARY 23, 2017 and
shall be renewable upon mutual agreement of the parties;

11. The monthly rental shall be THREE THOUSAND PESO (P3,000.00), Philippine
Currency, to be paid by the LESSEE every 1 st day of the month, and it is expressly
agreed and understood that the payment of the rental herein stipulated shall be
made without the necessity of an express demand and without delay on any ground
whatsoever;

12. Upon execution of this contract or occupation of the premises, whichever comes
first, the LESSEE agrees to pay the amount of Six Thousand pesos (P6,000.00) as
deposit and one (1) month advance of Three Thousand Pesos (P3,000.00) which
shall be consumable or returned after the termination of the contract;

13. If the rental herein stipulated, or any part thereof, at any time, shall be in arrear or
unpaid, or if the LESSEE shall at any time fail or neglect to perform or comply with
any of the condition, this lease contract shall become automatically terminated and
cancelled and the lease premises shall be vacated peacefully by the LESSEE FOR THE
LESSOR to hold and enjoy. And upon such cancellation of the contract, the LESSEE
shall grant to the LESSOR the right to enter and take possession of the leased
premises. Furthermore, the LESSOR shall have the right to collect all the accrued
rents;

14. The LESSEE shall not sublease the premises hereby leased or any part of the leased
premises;

15. It is expressly agreed by the parties that it shall be for the expenses of the LESSEE
when later it shall introduce improvements or make alteration of whatsoever nature
as may be made thereof, shall upon completion ,form integral part of the leased
premises and shall not be removed there from, but, shall belong to and become
exclusive property of the LESSOR without any right of the part of the LESSEE to
reimbursement for the cost or value thereof;

16. The LESSEE shall comply with all sanitary rules and safety regulations which may be
promulgated by the LESSOR from time and shall keep the premises in clean and
sanitary condition and dispose all rubbish and waste only through the means and
places indicated by the LESSOR;

17. The LESSOR agrees that it shall not allow any business of the same nature to be put
up on its adjacent or adjoining to the leased property.
