 Quote is intended for a minimum order requirement of Sling Bag Type (1)
Portland Cement
Per Week or Month.
 Validity: Above Price is strictly valid until ______________2018.
 Price is subjective to change without prior notice
 Inclusions:
 Delivery Costs that will be incurred from Manufacturer to Processing and Delivery of
goods to the designated Destination Port in Only____days
will be given to the client to unload the goods.
 Exclusions
 Demurrage Fee per day: Php 100,000.00
 ALL COSTS related to the unloading of materials at the Destination Port or warehouse

 PAYMENTS TERMS
 Cash on Delivery100% payment upon the Vessel Arrival to the Distention Port of the client.
 Manager check proof fund (Xerox copy)
 This Transaction should have a Bank fund Guarantee.
 The payment should be made through via Electronic Bank Transfer.

 Trade Ring will only release orders once needed Manager Check, Bank fund Guarantee is secured,
together with the approved Purchase Order (PO) per transaction.
 Payment should be made via Electronic Bank Transfer only. Unloading of the orders at the
destination port shall only start once payment confirmation is secured or balance is reflected in
Trade Ring Construction Supply ‘Bank Account.

 CANCELLATION- A Cancellation Fee of _Php. Twenty Percent 20%


of the total Contract Volume Php. Shall be imposed should the client wished
to cancel or terminate this Agreement issuance of the signed Conforme.

 AMENDMENTS AND SUPPLEMENTS- Amendments and supplements to this Agreement shall not be
effective unless the same is in writing and signed by both Parties.

 FORCE MAJEURE- In case of the occurrence of force majeure , such as but not limited to earthquakes,
storms , floods , fires , epidemics, strikes and other concerted labor actions, civil unrests, riots, wars ,or any
other unforeseen or unavoidable disaster or event which shall be beyond the control of a Party, the Party
affected shall be excused from performing its obligation under this Agreement for a period equivalent to
the number of days that they are affected or prevented by the event of force majeure, provided that:
 The force majeure is the proximate cause which delayed or prevented the Party’s performance of
its obligation under this agreement;
 The Party concerned took all possible measures to overcome and mitigate the effects of such force
majeure ; and
 The Party affected shall inform the other Party in writing of the occurrence as well as the
abatement of such force majeure, including a detailed description thereof and the measures taken
to overcome and mitigate the effects of the same.
Each Party shall hold the other free from any liability, claims, and/or damages of any kind and nature
arising from or in connection with the occurrence of any force majeure, as well as for those incidents or
events attributable to Third Parties.

 SCHEDULE

 Delivery of goods : Delivery schedule will be provided ____________working days upon receipt
of Signed Conforme , Approved Purchase Order (PO) per transaction , and the required manager
check, Bank fund guarantee. (Xerox copy)

 RESPONSIBILITIES

a. Trade Ring Construction Supply is responsible for the safe delivery of goods to the
Designated Destination Port in _________________. Trade Ring Construction supply
responsibility for the products stop upon arrival at the Destination Port.
b. The client is responsible in ensuring the safe unloading of goods once delivered to the
Destination Port.
c. The client shall deploy a checker to help monitor the unloading. The checker should sign each
DR confirming that all details declared by Trade Ring Construction Supply representative for
each delivery are correct.
