Pre-Commercial Thinning Agreement


August 4, 2022

This pre-commercial thinning agreement made and entered into by Ring Family Limited Partnership
(RFLP), P.O. Box 1058, Port Angeles, WA 98362, and Escobar Reforestation LLC, 703 Reynolds Ave, Centralia,
WA 98531, hereinafter referred to as "The Contractor."

The parties mutually agree as follows:

1. Ring Family Limited Partnership agrees to pay The Contractor for pre-commercial thinning of areas (aka
“Units”) identified below and in attached Exhibits “A,” and other work directly related to accomplishing the
job according to the following schedule:

2. Ring Family Limited Partnership will instruct The Contractor as to the objective and scope of the work in a
pre-work conference. All work shall be completed to RFLP’s satisfaction according to specifications identified
in attached “Exhibit B.”

3. The Contractor shall provide all Workman's Compensation Insurance, adequate crew supervision, safety
equipment, tools, clothing, transportation and lodging, to satisfactorily accomplish the work.

4. Ring Family Limited Partnership will provide any materials required to complete the work exclusive of those
stated in item #3.

5. Ring Family Limited Partnership will determine the quality of The Contractor's work through field
inspections and written or oral communication.

6. The Contractor will start work no earlier than August 5, 2022, and complete the work by December 31, 2022,
as needed. Extensions to this work period may be granted if work has to be suspended because of weather, or
conditions beyond the control of The Contractor. The Contractor shall notify Ring Family Limited
Partnership of start date 7 days prior to starting work.

7. Ring Family Limited Partnership will instruct The Contractor's representative according to specifications
described in “Exhibit B,” and The Contractor agrees to follow all such instruction. If such instructions are not
complied with, Ring Family Limited Partnership may terminate the work immediately by verbal or written
notice.

8. The Contractor will be liable for any wastage or damage of Ring Family Limited Partnership’s materials.

9. Payments for completed work will be made by the fifteenth day of every month for all work completed during
the previous month or within fifteen days of the completion of the job.

10. The Contractor must provide Ring Family Limited Partnership with verification from the Department of
Labor and Industries, that The Contractor has a valid Farm Labor Contractor's License.

11. The Contractor shall comply with all applicable laws and regulations of the United States, the State of
Washington, and counties wherein the work is executed. The Contractor is obligated to know and understand
all federal laws concerning employee eligibility. The Contractor shall comply with laws and regulations
governing forest practices, fire protection and suppression, and clean air and water, and the conservation or
protection of fish and wildlife.

12. It is distinctly and particularly understood and agreed between the parties hereto that Ring Family Limited
Partnership is in no way associated, or otherwise connected, with the actual performance of this agreement on
the part of The Contractor, as to the employment of labor or the incurring of other expenses; that The
Contractor is an independent contractor, or operator, in the performance of each and every part of this contract
and solely and personally liable for all labor and expenses in connection therewith, which may be occasioned on
account of the operations under this agreement, whether they be for personal injuries or property damage of any
kind. The Contractor shall hold Ring Family Limited Partnership harmless from all claims for injuries to all
persons whomsoever on said premises arising out of the operations of The Contractor or resulting from the
condition of the above described premises. The Contractor shall carry and maintain at all times hereunder a
satisfactory policy or policies of insurance protecting Ring Family Limited Partnership, as their interests may
appear, against all liability for such loss, with minimum limits for personal injury of $100,000 per individual,
and $300,000 per accident, and for property damage of $50,000 for all of the operations performed by The
Contractor, its employees or equipment hereunder and for loss or damage by fire. Contractor agrees to furnish
certificate or certificates executed by an authorized agent of each insuring company to the effect that such
insurance is in force, that Ring Family Limited Partnership is a named insured on the policy, and providing for
ten (10) days' prior notice of cancellation to be given to Ring Family Limited Partnership.

14. No assignment of this agreement shall be valid unless the same shall be endorsed on or attached to a copy of this
agreement and consented to in writing by Ring Family Limited Partnership. It is agreed that Ring Family
Limited Partnership will not unreasonably withhold its consent to any such assignment.

IN WITNESS WHEREOF, the parties hereto have executed this Pre-Commercial Thinning agreement.

Exhibit B
PCT & Slashing Specifications

1. Conifer will be thinned to 12 X 12 spacing (Approx. 300 TPA). Minimum


spacing for individual crop trees is 6 feet. Maximum spacing for individual
crop trees is 18 feet.
2. Hardwoods within 10 feet of a conifer crop tree shall be cut if the hardwood is
greater than 50% of the total height of the conifer crop tree, or taller.
3. Crop tree selection will favor the highest quality tree exhibiting normal
growth characteristics. After quality, species will be selected in the following
order:

Western Red Cedar


Douglas fir
Western Hemlock
Red Alder
Sitka Spruce

4. Cedar greater than half the height of adjacent conifer should be favored. Cedar
less than half the height of adjacent conifer may be left as understory trees at
6’ X 6’ Spacing.
5. Slashing shall include the cutting of hardwood trees and woody brush for the
purposes of crop tree release. Hardwood trees and woody brush include, but
are not limited to, red alder, big leaf maple, vine maple, cherry, willow,
cascara, elderberry, hazel, ocean spray, and other similar tree and/or woody
brush species.
6. Alder will be favored when it is found to be twice the height of competing
conifer or greater than 15 feet from other viable crop trees.
7. Big leaf maple clumps within 25 feet of a conifer crop tree will be cut
completely or girdled. Big leaf maple clumps greater than 25 feet from a
conifer crop tree will be cut, leaving one vertically oriented stem per maple
clump.
8. Contractor will clear all roads and ditches of debris resulting from PCT or
slashing operations.
9. Do not cut trees greater than 8” dbh.
10. All hardwoods shall be cut leaving no more than a 6” stump, or below the
lowest live limb, whichever is shorter.
11. Trees with bear damage greater than 50% in circumference shall be left un-cut
and shall not be considered and spaced as a crop tree.
12. These specifications may be amended or modified on a unit by unit basis, or at
the discretion of a company forester.
