Sub: Work order for External Electrical works along with supply,
installation, testing, Commissioning and handover in all respect at
Orion One32 marketing office project of WellGrow Infotech Pvt ltd.

1. PARTIES:

Vashistha Electrical company (hereinafter referred to as “Contractor”,


which expression shall unless repugnant to the context be deemed to include
its successors and permitted assigns).

AND

WellGrow Infotech Pvt. Ltd., a company registered under the Companies


Act, 1956 and having its registered office at Plot A-9, Sector 132, Noida
(hereinafter referred as “WIPL”, which expression shall unless repugnant to
the context be deemed to include its successors and permitted assigns).
2. GENERAL:

This Work Order sets out the major points and is not intended to be
exhaustive. The detailed terms and conditions concerning the execution of
Work shall be recorded in Articles of Agreement, General Conditions of
Contract (GCC) and Special Conditions of Contract (SCC) (hereinafter
collectively referred to as “Contract Documents”) and this Work Order
shall form part of the definitive Contract Documents to be executed between
the Parties. No understanding purporting to modify or change any terms,
conditions or specifications of this Work Order shall be recognized unless it is
in writing and signed by both the Parties.

3. SCOPE OF WORK:

3.1 The scope of Work under this service order includes installation, testing,
commissioning & hand over of External Electrical work in all respects at Site
in accordance with the specifications & Bill of Quantities (BOQ), enclosed
herewith as Annexure A.

3.2 The general character and the scope of the Work is defined in the
specifications and BOQ. The Contractor shall carry out the Work as per
agreed specifications and in accordance with the Contract Documents and to
the satisfaction of WIPL.

3.3 Where any parts of the Work may be executed by any sub-contractors
appointed by the Contractor in accordance with this Work Order, such
responsibility and liability of the Contractor shall cover and extend to the work
of all such sub-contractors.

4. CONTRACT PRICE:

The total value for execution of Work by the Contractor shall be Rs 677250/-
(Rupees Six lac seventy seven thousand two hundred and fifty only), subject
to deduction of income tax deductable at source (TDS). GST is exclusive.

This is an item rate contract and payment will be made as per actual work done
at site.

Subject to the terms of Contract Documents, there shall be no escalation in


Contract Price thereof during the stipulated period for completion of Work and/or
extension, if any till 15th May 2022, beyond which Parties shall mutually agree
for price escalation for balance / left over work.
1) Terms of Payment

a.) 40% advance against swork order.

b.) 50% against Performa Invoice with inspection.

c.) 10% on pro- rata basis against hand over.

2) Retention Money:
5% retention money of DLP period can be released only against the
irrevocable Bank Guarantee (BG) for 03 months.

3 ) Approvals:

All type of material like hardware, makes, mechanism, Colour


should pre approved and signed by WIPL. Contractor will make Annexure
for same.

4) Defect Liability Period (DLP)/ Guarantee period:

The entire installation work shall be covered under “Defect Liability


Period” which will be for six months after getting the completion
certificate of the work (except for normal wear and tear) from the
date of Handing Over. Any defects, other faults that may appear
within this period arising out of poor quality of material or bad
workmanship, shall be rectified/replaced by the Contractor at its
own cost at the direction of the Client.

5) Schedule of Rates:

a. This is an item rate order and payment shall be made as per


the certified approved bill for work done. The quantities shall
be certified by the Engineer-in-Charge within 7 days after
raising the bill. Cumulative Final bill shall be submitted at the
end of the works i.e. after completion of job.

b. The rates and prices shall be firm till the completion of the
entire works and shall not be subject to escalation due to any
reason whatsoever. The Contractor agrees that if the scope of
works is reduced or increased for any reason there shall be no
change in the rates for the various items of works. The
Contractor also agrees that if there are any reduction(s) in
Taxes, Duties and / or Statutory Levies, the rates and prices
of the items shall be reduced accordingly.

6) Liquidated Damages:

The Contractor will be liable/responsible for liquidated damages @


Rs 2000/ (Rupees Ten Thousand) per day subject to maximum
deduction of 5% of contract value for delay beyond the completion
period of 5 days.

7) Site Supervision:

The Contractor’s representative shall remain at site during the


entire execution of work and shall Co-ordinate and supervise the
work and will be responsible for day-to-day execution and take site
instructions from the Project Manager of Client.

8) Other Conditions:

a) The Contractor shall cover their workers under the requisite


Insurance policies. The Contractor shall take out insurance in
respect of Workmen’s Compensation Act and the Contract Labor
Act etc. as applicable, and copies will be submitted to the client
within a week time. In the event of any accident, covered by
insurance, Contractor shall replace the equipment/ material, do
the installation and pay compensation to the employees and
other personnel without waiting for payment due to be received
by the Contractor from the insurance agency.

b) Contractor shall cover all work under the requisite Contractor All
Risk Policy that are in vogue. CAR policy act as applicable, shall
be taken out by the contractor and copies of it lodged with
Client.

c) The Contractor shall alone be responsible for the payment of


contribution and other obligation(s) under any Central, State,
Local Legislation applicable to the persons engaged as aforesaid
i.e. Contribution towards ESI, Provident Fund etc. If any time,
any liability or obligation (Financial or otherwise) is imposed
upon the Client under the provision of any legislation or any
enactment and/or schemes, rules, regulation, by laws framed
there under such amount shall be recovered from the
Contractor’s dues.
d) The Contractor shall enforce upon their workers that they will
abide by the safety stipulations and other rules enforced by the
Owner’s Management and observe discipline called for within the
premises.

e) The work shall proceed in accordance with the drawings issued


by Architect. In case of any dispute, the instructions of our
Project Manager /Site Engineer shall be final and binding.

f) The Contractor’s material shall enter/ leave the premises from


the material gate only, where the Client’s Security Personnel
would register the movements of material.

g) Any change of work/terms/conditions etc. must be duly written


and signed by both the parties.

h) The Contractor shall not be entitled to any compensation for any


loss suffered by him on accounts of delays in commencing or
executing the works, whatever and howsoever be the cause for
such delays.

i) No part of the contract shall be sublet without the written


permission of the “Client “nor shall transfers be made by the
“Power of Attorney” authorizing others to carry out the work or
receive payment on behalf of the Contractor of order agreement
along with the advance.

j) All the required forms, registrations, applications, approvals,


permissions etc to complete the entire work of this order would
be done by the contractor only and it is made very clear that
Client has not registration under the Sales Tax, Custom, Excise
etc. so client would not be able to provide any type of form or
permission etc. Contractor will complete the entire work at his
own risk and cost.

9) Storage and Custody:

The Contractor shall set up suitable stores at its own cost and shall
be responsible for the safe custody of the equipment/material in the
premises till the entire tenure of the work.

The Contractor shall be responsible for set-up and maintenance of a


Store for keeping materials and Site Office with reasonable facilities.
10) Termination of Order:

If Client feels that contractor is not capable to complete the work as


per specification and schedule then Client can terminate the
contract on 15 days written notice.

11) Scaffolding: Provide by WIPL if require

12) Duration of Completion : 30 Days

13) Validity of works rate : 15th May 2022

14) Water & Electricity: Shall be in account of WIPL only.

15) Stay for Labour:

It is the responsibility of the Contractor to make own arrangement


for the stay of its labour WIPL only provide place if require.

17) Handed over to WIPL by Contractor : All External Electrical work


in good condition also handed over sheet should be signed by both
parties.

18) Billing Intructions


a.) All R.A. bills must be in the same format of BOQ only.

b.) All R.A. bills must be duly stamped and signed by the
contractor.

c.) All R.A. bills bust be in the name of Client ““WellGrow Infotech
Pvt. Ltd.”

d.) All R.A. bills must be supported with all the required documents.

e.) All R.A. bills must be supported with covering letter with the
summary of bill and with the complete break up of taxes etc.

f.) R.A. Bills would be submitted on fortnight basis.

g.)All statutory documents like P.F., ESI etc. must be submitted


with the R.A. Bills. Without these documents payment can be on
hold/reduced.
