Article 2) Second Party's Liabilities Second Party undertakes the following: 1- To deliver the goods at the stores of the first party, located in (Cairo, Hurghada, El Gouna and Taba) on condition that the second party presents, his order according of the required quantity in Purchase Order that issued from each hotel Delivery will be within 5 days from date of request mentioned on the Purchase Order 2- To supply goods under this agreement according to the industrial/ hygienic’ and ecological specifications according to general codes and standards according to the purchase order sent from the First Party indicating item description, quantity, the agreed upon price as well as delivery date. That goods are fit for human use. To supply well packed goods where indicated production and expiry date according to the applied laws and regulations. To respect and follow all rules and regulations of the First Party’s Affiliates and not to violate them under this agreement. To withdraw the goods which are not complying with the applicable specifications and codes and shall bear all the due expenses in this regard and shall replace them with goods conforming to the said specifications on time required by First Party. Otherwise, First Party shall have the right to apply article 2-10. 10- In case item(s) are not available at Second Party or he fails in supplying items in due time or supplied incomplete quantities, after | week from the date of the Purchase Order handed to the Second Party; First Party shall have the right to purchase it (them) from any other supplier or buy a competitive good, and Second Party undertakes to pay the price difference if any. 1-Second Party hereby undertakes not to divulge any trade secrets or information concerning the First Party under this agreement. Second Party also undertakes to keep such information confidential during and after the termination of this contract, whatever the reason of termi shall be. Otherwise Second Party shall indemnify the First Party for the material and ‘moral damages sustained as a result of such divulgence. It is understood that the terms of this contract are secrets of First Party 12-Second Party also confirms that all licenses, distribution permits & or trademarks related to his products under this agreement are owned by him and First Party shall not be responsible of any other party’s claim whatsoever in this regard. Article (7) Contract Period This contract has been made for a period of 1 year & 3 months starting from 30/09/2012 till 30/12/2013. The renewal of this contract shall be with a new lependent contract. = Both parties shall have no right to terminate this, contract before its expiry date unless any party violates any of his obligations stipulated herewith, provided that an official written notice of | termination is sent to the party in default = This contract shall be automatically terminated without warning or legal procedures in the following cases: 1) Ifthe Second Party could not abide by the delivery schedule more than two times, 2) Ifthe Second Party fails to deliver the goods according to the industrial’ hygienic or ecological standards or it caused any sort of harm 3) If Second Party supplies goods with no production or expiry date according to applied rules 4) Ifthe Second Party fails or fraud to execute any condition of this contract, Inall above cases, First Party shall have the right to claim the suitable compensation from the Second Party for the damages/ harm incurs.
