NON-DISCLOSURE AGREEMENT (NDA)

NON-DISCLOSURE AGREEMENT PARTIES:

This is a useful and international protective NDA between two parties, Heyz
General Services Limited and Green City Developers Ltd.
This confidentiality agreement (hereinafter referred to as the "Agreement") has
been concluded on October 8, 2022 and the Effective Date.
Heyz general services Limited with an address of Makka Al Mukkarama road 117,
Mogadishu Somalia hereinafter referred to as the “Disclosing Party”) and Green
City development ltd ( The Newfund ) with an address of P.O. Box 625 – Port
Moresby – ANG Haus Level 1 – Hunter St. NCD, Papua New Guinea (hereinafter
referred to as the “Receiving Party”) (collectively referred to as the “Parties”). A
non-disclosure agreement (NDA) is a contractual agreement under which certain
information will remain confidential. As such, the NDA binds the person who
signed it and prevents them from discussing the information contained in the
agreement outside of anything, and would not be able to meet or enter into
similar agreements with another person or companies.
Confidentiality Agreement And Commitment, Green City Developers Ltd Cannot
Enter Or Procure New Contract Or Cooperation Agreement In Somalia Without
Heyz General Services Limited, Also Heyz Cannot Interfere In Green City
Developers Financial Affairs. Heyz Is The Only Company That Manages The Affairs
Of Green City Developers Ltd In Somalia.
Green City Developers Ltd Is Obligated To Transfer 10% Of The Entire Funding
Money To The Heyz Account. This 10% of the payment Heyz handles the agreed
and intended payment
Confidential Information
The Receiving Party agrees is to disclose, copy, clone, or modify any confidential
information related to the Disclosing Party and agrees not to use any such
information without obtaining consent.
“Confidential information” refers to any data and/or information that is related to
the Disclosing Party, in any form, including, but not limited to, oral or written.
Such confidential information includes, but is not limited to, any information
related to the business or industry of the Disclosing Party, such as discoveries,
processes, techniques, programs, knowledge bases, customer lists, potential
customers, business partners, affiliated partners, leads, know-how, or any other
services related to the Disclosing Party.
RETURN OF CONFIDENTIAL INFORMATION
The Receiving Party agrees to return all the confidential information to the
Disclosing Party upon the termination of this Agreement.
OWNERSHIP
This Agreement is not transferable and may only be transferred by written
consent provided by both Parties.
GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws
of somalia and USA law.

The Parties hereby agree to the terms and conditions set forth in this Agreement
and such is demonstrated by their signatures below:
