GENERAL DURABLE POWER OF ATTORNEY

KNOW ALL PERSONS BY THESE PRESENTS: That I, John Smith, referred to herein as Principal, residing at
100 Main Street, New Jersey USA, hereby designate my daughter, Jane Smith Wong, only upon my
disability, as my attorney-in-fact and agent, (hereinafter called "Agent'') in my name and for my benefit.
Should Jane Smith Wong be unable or unwilling to act as my Agent, then I appoint my son, Joshua Smith
to be my Agent.

1. General Grant of Power, To exercise or perform any act, power, duty, right or obligation
whatsoever that I now have or may hereafter acquire, relating to any person, matter,
transaction or property, real or personal, tangible or intangible, now or hereafter acquired by
me, including, without limitation, the following specifically enumerated powers.

a. Powers of Collection and Payment

To forgive, request, demand, sue for, recover, collect, receive, hold all such sums of money,
debts, dues, commercial paper, checks, drafts, accounts, deposits, legacies, bequests,
devises, notes, interest, stock certificates, bonds, dividends, certificates of deposit,
annuities, pensions, profit sharing, retirement, social security, insurance and other
contractual benefits and proceeds, all documents of title, all property, real or personal,
intangible and tangible property and property rights, and demands whatsoever, liquidated
or unliquidated, now or hereafter owned by, or during, payable or belonging to, me or in
which I have or may hereafter acquire an interest

b. Power to Acquire and Sell

To acquire, purchase, exchange, grant options to sell, and sell and convey real or personal
property, tangible or intangible, or interests therein, on such terms and conditions as my
agent shall deem proper.

c. Insurance Policies
To execute such documents as may be required to effect an assignment or change of
beneficiary designation and otherwise deal in any manner with any policy of life or disability
insurance with respect to which I am owner, beneficiary or insured;

d. Gifts

My agent may make outright gifts of cash, real estate, or direct or indirect interest therein
or other personal property including stocks, bonds, or other securities, to adults, or to
minors under an applicable Gift to Minor's Act or Transfer to Minor's Act. For purposes of
this paragraph, my agent may make gifts any of my assets to or among my family members,
including the agent, or trust created for them.

e. Sale or Transfer of Assets

My agent may sell any asset or assets which I may own, or otherwise transfer such assets,
including cash, upon such terms and conditions as my agent may deem appropriate,
including but not limited to the use of a sale or transfer or any asset or assets of mine upon
a private annuity basis, or otherwise it being my expressed intention that my agent shall

have the absolute right to deal with my assets in any manner in order to legally reduce the
potential Federal Estate Tax, New Jersey Inheritance Tax or any other state death, estate or
inheritance tax which might otherwise be payable by my estate. For purposes of this
paragraph, my agent may sell or transfer any of my assets to or among my family members,
including the agent, or trust created for them.

2. Durability and Effectiveness

a. Disability of Principal

N.J.S.A. 46:2B-8 authorizes me to provide that this power of attorney shall not be affected
by my disability as principal, and I do hereby so provide, it being my intention that all
powers conferred upon my attorney in fact herein shall remain at all times in full force and
effect, notwithstanding my incapacity or disability, or any uncertainty with regard thereto,
or any uncertainty relating to whether or not I am alive.

b. Effectiveness

This Power of Attorney is effective immediately upon both execution of this document by
the principal and acceptance of duties by the agent, per section 2.c below.

c. Acceptance of Duties

This Power of Attorney shall not be effective until and unless the Acceptance of Duties as
Agent (the last page of this Power of Attorney) has been signed by the Agent and the
Agent’s signature has been notarized. Regardless of the order in which persons have been
named as Agent and Successor Agent, third parties shall treat the person who has executed
the Acceptance of Duties as Agent as the Agent of John Smith and shall be under no duty to
inquire about the availability o any prior named agents.
