Adamjee Acquisition History:

Mian Mansha’s entire group was holding directly and indirectly more than 40 per cent of the
equity thus causing the company to be a subsidiary of Mansha group.
A suit has been filled by AIC, Abdul Hamid Adamjee, Abdul Razak Adamjee and Ashraf
Adamjee against Muslim Commercial Bank (MCB) and Mian Muhammad Mansha in which the
plaintiff says
"The Defendant's intention to take over the Plaintiff (through a hostile takeover) is
against the public policy and if allowed by the court it would also cause injury to the general
public as a whole, as it would destroy a blue-chip and well-managed company by allowing a
nominee of the bank to interfere in its business set negative precedent as regards the aspects of
good governance of the company Cause with the same ease as the Defendant has to acquire by
8
hostile takeover of companies in Pakistan.
But Adamjee registers also shows that MCB holds 40% shares in actual MCB has taken over
these shares when people, who had pledged these shares, failed to discharge their liabilities and
MCB also maintains investment portfolio which include AICL. Since AICL was making profit
and issuing bonus shares, MCB's investment in AICL has also grown which give base for the
acquisition of AICL.

Then finally the honorable court after listen the plea of both Parties, decide based on facts in
favor of Mansha Group. So, in April 08, 2002
Mian Mansha had acquired a controlling position in Adamjee Group, the countries largest non-
life Adamjeelife Assurance Company.
The diversity of AICL's portfolio allows the Company to be the insurer of choice, for an array of
clients and needs. Whilst expanding our customer base, AICL dedicates as much effort in

behavior. These values promote confidence, especially in our clients for whom security is vital.
In addition, AICL insures sensitive Petrochemical and complex Industrial Risk projects of great
value. AICL specializes in insuring Engineering and Telecom concerns, whereby it has secured
the greatest share of clients in those sectors. On the other end of the spectrum, AICL services the
primary industries of Pakistan by covering several Cement Factories, as well as numerous

Departments of Adamjeelife Assurance:

1. Underwriting Department

2. Claims Department

3. Accounts Department

4. Re-Insurance Department

5. Human Resource Department

6. Marketing Department

7. Investment Department
1: Underwriting Department
Adamjee underwriting department evaluates the risk and exposures of potential clients. It
decides how much coverage the client should receive, how much they should pay for it, or
whether even to accept the risk and insure them. Underwriting involves measuring risk exposure
and determining the premium that needs to be charged to ensure that risk.
The function of the underwriter in this is to acquire or to "write" business that will make the
insurance company money, and to protect the company's book of business from risks that they
feel will make a loss. In simple terms, it is the process of issuing insurance policies. Adamjee
like other insurance company has its own set of underwriting guidelines to help the underwriter
determine whether the company should accept the risk.
The information used to evaluate the risk of an applicant for insurance will depend on the type
of coverage involved. For example, in underwriting automobile coverage, an individual's
driving record is critical.
The factors that underwriting department uses to classify risks should be objective, clearly
related to the likely cost of providing coverage, practical to administer, consistent with

10
applicable law, and designed to protect the long-term viability of the insurance program. The
underwriters may either decline the risk or may provide a quotation in which the premiums have
been loaded or in which various exclusions have been stipulated, which restrict the
circumstances under which a claim would be paid. Depending on the type of insurance product
(line of business), this insurance companies use automated underwriting systems to encode these
rules, and reduce the amount of manual work in processing quotations and policy issuance.

2: Claims Department
As we know that insurance is a promise which is selling. So Adamjee sell insurance and promises to
pay all covered first party claims in a timely manner and to defend and indemnify all third-party
cases. It also promises to act with the utmost good faith towards their insured. But, this only
happens once when the insured has a claim and once the loss happened to the client provides the
claim report to company the work of claim department starts.

FACTORS OF EFFECTIVE CLAIM MANAGEMENT

Following are the factors that Adamjeelife Assurance Company considers may affect to attract the
customer for further business if adopted.
 Claims reporting
 Receipt of claims by the company
 Claims files and procedures
 Fraud detection and prevention
 Claims assessment
 Claim processing
 Complaints and dispute settlement
 Supervision of claims-related services
 Market practices
3: Accounts Department
Most of us do maintain a written record of our income and expenditure. The idea behind
maintaining such record is to know the correct position regarding income and expenditure.
The need for keeping a record of income and expenditure in a clear and systematic manner has
given rise to the subject of 'book-keeping'.

11
The quantum of money must be adequate in relation to the needs. But mere adequacy of money
will not do one must take care of its proper utilization. For this it would be necessary to exercise
economy and maintain proper books of account. It is possible to increase the amount of saving
through proper management and effective control of the expenses. At the end of the year the true
result of the economic activities of a concern must be made available otherwise it will not be
possible to run the concern. In case of a business concern the profit or loss at the end of a year
must be ascertained, because, the amount of profit must be adequate in relation to that of
investment made in the business. If it is not so or if there is a loss, it is an indication of some
defects existing somewhere in the management of the business. All such defects need to be
detected and analyzed and appropriate measures taken for their rectification.
4: Re-Insurance Department
This department is considered with distributing and shredding the risks admitted for insurance by reinsuring
all or a substantial part of such risks with re-insurers. The reinsurance department grants the company an
accommodating capacity enables it to accept easily and quickly insurance operations with large amounts or
risks which it could not have accepted in
The absence of the facilities granted to it through reinsurance and subsequently maintaining the financial
stability of the company about the results of its works.
5: Marketing Department
The marketing concept is the philosophy that firms should analyze the needs of their customers and
then make decisions to satisfy those needs, better than the competition. Today most firms have
adopted the marketing concept, but this has not always been the case. In 1776 in The Wealth of
Nations, Adam Smith wrote that the needs of producers should be considered only with regard to
meeting the needs of consumers. While this philosophy is consistent with the marketing concept, it
would not be adopted widely until nearly 200 years later.
6: Human Resource Department
Human Resource Department is the most important department on which the internal system of
whole organization is based. It motivates the employees and takes in account the incentives and
tactics required to keep the qualified and experienced employees with them and to make them work
in the way organization wants.

Learning Experiences:
This was my second experience working in the corporate sector. I learn a lot because every organization has
different way of doing work. Working for six weeks in the organization I come to know about the structure
of the organization that how to perform different activities how to adjust yourself in the office environment.
The internship program at Adamjeelife company s a commendable step taken by the management of
Adamjeelife Company. Having an organized internship program is a clear indication of the corporate social
responsibility that this organization exercises at its best. One of the things I learned immediately about
Adamjee was that each day would differ significantly from the previous one. Being flexible and open to
change was key in fitting well into this organization. While there was a wide range of tasks assigned, there
were also some routine tasks to be completed every week. I also handled different administrative tasks,
such as answering the phone, making copies, printing, delivering mail, and other office responsibilities. I
have learned many fundamental techniques that have made me a better communicator.
First, my writing skills have advanced and I feel confident in doing tasks expected of me. Next, I am now
more eager to attempt things that intimidate me. Additionally, I have learned that my verbal communication
skills, which I have always thought were above average, have room for improvement. I have learned and
grown from the respect given to me by all the people whom I have encountered in Adamjee. This, in turn,
has prompted me to espouse that respect to others. In closing, this internship has been much more than
learning about a job, it has been learning about life and my abilities.
I was placed in the Marketing Insurance Department all the employees along with the supervisor
Were very cooperative and instructive. The knowledge and guidance that I have received from them is
14
priceless and cannot be quantified.
Pest Analysis:
PESTEL (Political, Economic, Social, Technological, Environmental and Legal) analysis is a framework or
tool used to identify key macro (external) factors that affect the business environment in which the
organization operates and ultimately affect the objectives of the organization.
Understanding each factor is important for the growth of the organization and plays a pivotal role in
planning the right strategies which helps the management in assessing the risks specific to the insurance
industry to take informed decisions. Furthermore, the Company can understand the opportunities and
threats in the external environment and this framework provides the basis for business planning process.
Political:
The political stability of a country has always been a major factor in deciding the growth of an industry.
Government has taken several decisions to overcome uncertainties of exports and gradually imposed duties
on imports which is a positive step to reduce current account deficit. The efforts made by the Government
towards maintaining law & order situation is also creating friendly environment for ‘Ease of Doing
Business’. Strict monitoring by Securities and
Exchange Commission of Pakistan (SECP) ensures transparency for insurance sector.
Government prioritized economic growth and better international relationships which helped in creating a
better image of the country. Measures were taken to increase the penetration and growth of the insurance
sector; some of the measures were reduction in the regulatory fee and relaxation to the industry from
application of IFRS 16 (leases) certain regulatory returns. The policies and efforts of the Government in
managing the Covid-19 pandemic have also gained appreciations at international level.
Economical:
Pakistan’s economic growth is projected to be slow since the challenges of Covid-19 Pandemic that has
created
Crisis in the global economic environment and has caused further uncertainty. The Country is continuously
in a low growth and high inflation situation. Decline in the purchasing country in a state of stagflation. With
the rise in unemployment and lower purchasing power, households have reduced their consumption,
increased external pressures due to global crises caused by the pandemic has resulted in imports and exports
to decrease together with foreign investment in Pakistan.
The IMF has forecasted Pakistan’s GDP at 1%, inflation at 8.8%, current account deficit at 2.5% of GDP
and unemployment rising by 0.6 percentage points to 5.1% during the current fiscal year ending June 2021.
This is in sharp contrast to the government’s targets of 2.1% GDP growth rate, 6.5% inflation and 1.5%
current account deficit.
15
The measures that were taken to control the outbreak caused the economy to come to a standstill. However,
with the containment measures being lifted and the vaccine being developed, the economy is expected to
recover, and the
State Bank of Pakistan (SBP) has projected a 2.5% growth in the upcoming year, however future growth
projection remains low. Moreover, there is significant uncertainty regarding the pandemic, the effectiveness
and availability of vaccine will result in a slower growth rate.
Social-Cultural:
Global digitalization has changed not only the economic, but also the social vision of the world. The
digitalization has determined the continuous flow of data containing information, knowledge, ideas and
innovations. Covid-19 has pushed the insurance industry to expedite its transformation towards digital
products to its customers and it has also changed the habits of the Pakistan’s consumer market. As Islamic
state, an increase in demand for takaful products has also been witnessed.
Highly uncertain, but the significant flare-ups of the third wave of Covid-19 pandemic will require
restrictions.

Problem Identification and Solution:

1. There's Not Enough Work
As surprising as it may sound to some people, this could pose one of the top internship problems.
You expect you’d be given loads of tasks, but there isn't enough work assigned to you. Thus, you're
bored, underutilized, strumming your fingers at your desk, and tempted to browse social media.
Solution:
The easiest way to solve this internship problem is by asking your senior employees if you can help
with their projects.
Another smart tactic is striking a conversation with the seniors about their role in the office. As an
intern, you are there to learn about the profession, and if they have a conscience, they will comply.
Once you’ve got them talking about their work, try to see where you could fit in. Maybe by voicing
things aloud, they will be inspired to get you on board one of their longer-term projects.
2. There's Too Much Work
19
Because interns are just glad to get a foot in the door, some workplaces may take advantage of young
workers by giving them long hours of dull, repetitive work. You get tired and exhausted at the end of
every day, and it gradually affects your internship experience.
Being new at work can be overwhelming, especially if it’s a new workplace with new faces and
unfamiliar jobs.
Solution:
Keep your long-term career goals in mind to make your internship feel worth the effort.
Give yourself some time, be patient with yourself, and understand it will take some time to get used
to everything. Try hard for a week or two and see if you can manage, but if the pressure and work are
too much and if it is taking a toll on your mental or physical health, talk to your mentor or someone
who can help. Make sure you have a healthy mind and body.

3. Your Work Is Unnoticed, Unappreciated

This internship problem can be heartbreaking. People often do well in their fields of work and other
places to be recognized. The motivation to do well dies when the recognition doesn’t come. It is the
same in internships too.
There are times when you're given a project that you finally feel will make use of your college
education, but it ends up never getting published or lost in their desks or the project being scrapped
totally. Not only is this frustrating because of your seemingly wasted time and effort, but it makes
you less motivated for projects in the future.
Solution:
If you are in this position right now, keep in mind that hard work doesn’t go neglected for a long
time. Try not to look at it as wasted time and effort. Instead, see it as a resume/experience booster and
maintain a list of the tasks and projects you’ve accomplished during your time as an intern. Writing
them down will help you remember what experiences you’ve had and give you the sense of
completion you need to push on.
4. Coping with Unfamiliar Office Culture
It takes time to understand the organizational culture since it varies from office to office. While some
have a rigid structure, others are flexible and trying to observe organizational structure during the first

20
weeks of socializing poses a challenge for many. Based on your observation of the prevailing culture,
you can decide to be friendly or reserved in your conduct.
Solution:
Whether you are starting a new position at your current place of employment or a completely new
company, you may be experiencing the fear of the unknown. However, it’s imperative to recognize
cultural differences at work; that way, colleagues can avoid taking a simple misunderstanding to
heart.
You must stay calm and have the attitude that you will perform your best and, by doing so, you will
impress.
5. Competition from Co-Interns
I was not the only intern working at a company, you might experience a competitive environment.
Often, it’s not that your co-interns are competitive and trying to outdo you but they're just being
hardworking and high-spirited. So instead of taking it for granted, try to work harder as your
competition will make your internship much better.
Solution:
At this stage of your career, the most important quality you can have is to be open-minded, drama-
free, and easy to work with. It's okay if you aren't the smartest and fastest worker or the ruthlessly
ambitious worker. People will want to work with you because you're enjoyable to work with and have
a good attitude.
We recommend you participate in the competition and work towards doing great work every day.
You’ll find that you learn more than you would have without the competition and this will enrich
your internship experience.

RECOMMENDATION:
• Internee should be provided with the rules and regulations before starting his internship which he has to
follow during his internship.
• The computer (PC'S) should be speedier.
• Company should have a cooking department so that it can provide healthy food to their employees
because many of the employees eat from outside and it is very unhygienic. Company can deduct some
amount of food from the salary of the employees.

CONCLUSION:
21
I will conclude that every organization must give opportunities for internships for the students because
when a student finishes his or her education they want a plat form to work and they want companies to
give them internship. Adamjee provides internship in many departments like marketing, Hr., finance,
Health and they provide a plat form to polish the skills of the internees so that they can prove to the best
in their job career.
"Experience is not what happens to you, it is what you do with what happens to you"
